The death of a shareholder can create important legal, administrative and corporate governance issues for a Thai limited company. Although the company continues to exist as a separate legal entity, the deceased shareholder's shares become part of their estate and may pass to legal heirs or beneficiaries under a will. Directors and accounting professionals must understand the procedures for verifying inheritance rights, updating shareholder records and complying with the Civil and Commercial Code and relevant tax legislation.
Under Sections 1599 and 1600 of the Thai Civil and Commercial Code, a deceased person's estate passes to their heirs upon death. Shares in a limited company form part of that estate. Consequently, the death of a shareholder does not automatically cancel the shares, reduce the company's registered capital or require the company to issue replacement shares through a capital increase. The essential issue is identifying who is legally entitled to succeed to the deceased shareholder's ownership.
Section 1132 of the Civil and Commercial Code specifically addresses situations where a person becomes entitled to shares through the death or bankruptcy of an existing shareholder. Where the entitled person surrenders the share certificate, when reasonably practicable, and provides appropriate supporting evidence, the company must register that person as a shareholder. Accordingly, directors should not automatically transfer shares to the deceased shareholder's spouse or children without verifying their legal entitlement.
When informed of a shareholder's death, the company should examine its shareholder register, existing share certificates, articles of association and any relevant shareholder agreements. Appropriate supporting documents may include a death certificate, identification documents, a will, evidence of heirship, an inheritance distribution agreement and a court order appointing an estate administrator where applicable. A court-appointed estate administrator is not automatically required in every inheritance case. However, where there are multiple heirs, disputed ownership claims or insufficient evidence, formal estate administration may be necessary before the company can safely register the successor.
Once satisfactory evidence has been obtained, the company should update its statutory shareholder register, recording the successor's identity, share numbers, number of shares and registration date. The company should also arrange for the relevant share certificates to be surrendered and replaced or updated as appropriate. Supporting documents and the basis for recognising the successor should be retained for future inspection and audit purposes.
A particularly important distinction concerns the Department of Business Development (DBD). The company's statutory shareholder register is the primary corporate record, whereas Form BOJ.5 is a copy of the shareholder list submitted to the DBD. The DBD has explicitly clarified that acceptance of Form BOJ.5 does not itself establish or certify share ownership. Thai limited companies are generally required to submit the shareholder list within 14 days after their annual general meeting. Therefore, a shareholder's death does not automatically create a separate 14-day filing deadline for BOJ.5, although an updated shareholder list may be submitted following changes recorded in the company's register.
The company must also consider dividend payments and voting rights while inheritance matters remain unresolved. Directors should verify who is legally entitled to exercise shareholder rights and receive distributions before recognising voting instructions or releasing dividends. If ownership is disputed, payment should not be made merely to an individual claiming to be an heir without adequate supporting evidence. The company should also review whether the deceased shareholder was a director or authorised signatory. If so, separate director registration requirements apply, generally requiring registration of director changes within 14 days under Section 1157.
From an accounting perspective, inheritance of shares between individuals ordinarily does not change the issuing company's assets, liabilities, share capital or retained earnings. It is a change in ownership rather than a financial transaction of the company.
However, significant changes in controlling shareholders may require consideration of related-party disclosures, changes in control arrangements and the company's governance structure. If the succession results in only one shareholder remaining, directors should also examine Section 1237, under which a court may order dissolution of a limited company. Dissolution is not automatic.
Tax implications primarily concern the beneficiaries rather than the company. Under Thailand's Inheritance Tax Act, an individual receiving taxable inheritance exceeding THB 100 million from a particular deceased person may be liable for inheritance tax on the excess, subject to applicable exemptions. The general rate is 10%, reduced to 5% for ascendants and descendants. Where tax is payable, the beneficiary generally must file the inheritance tax return within 150 days from the relevant inheritance receipt date. For unlisted company shares, statutory valuation rules generally refer to book value, subject to special rules for certain holding structures.
Stamp duty should also be distinguished from inheritance tax. Shares passing by operation of inheritance law should not automatically be treated as an ordinary share sale requiring a conventional share transfer instrument. However, where a separate taxable share transfer instrument is executed, Item 2 of the Stamp Duty Schedule may apply at THB 1 per THB 1,000 or fraction thereof, based on the higher of the paid-up share value and the amount stated in the instrument. The legal substance and documentation of each transaction must therefore be examined.
For CFOs and auditors, the principal risks are incorrect shareholder registration, unauthorised dividend payments, disputed voting rights and failure to identify changes in control. Auditors should consider whether shareholder records agree with supporting legal documents and whether the succession affects related-party disclosures or other financial reporting matters.
Conclusion: When a shareholder dies, the company's primary responsibility is not to redistribute the deceased person's estate, but to recognise the legally entitled successor based on reliable evidence and maintain accurate corporate records. Proper coordination among directors, heirs, estate administrators, accountants and legal advisers is essential to protecting shareholder rights and ensuring compliance with Thai corporate and tax laws.
