A holding company can help a business centralise share ownership, financing, governance, acquisitions, and future exits. However, establishing a holding company does not automatically create a tax advantage. The tax result depends on where the holding company is located, what income it receives, how long it holds its investments, how group transactions are priced, and whether the company has genuine commercial substance.
The first issue is the taxation of dividends. For dividends received from a Thai company, a Thai holding company may qualify for a full or partial corporate income tax exemption. A full exemption may be available where the recipient holds at least 25% of the voting shares, the dividend-paying company does not hold shares in the recipient, and the relevant shares are held for the required period before and after the dividend. The Revenue Department explains that the shares generally need to be held for at least three months before and three months after the dividend.
Dividends received from a foreign subsidiary are subject to separate conditions. A Thai company may qualify for an exemption where it holds at least 25% of the voting rights for at least six months and the dividend is paid from profits subject to foreign corporate income tax at a rate of at least 15%, subject to the detailed legal conditions. The source of the dividend should therefore be traceable to the subsidiary’s taxed profits; merely routing a dividend through another foreign holding company may not necessarily preserve the exemption.
The second issue is withholding tax. When a Thai holding company distributes dividends to a foreign shareholder, domestic Thai law generally requires 10% withholding tax. Payments of interest, royalties, or certain other income to foreign group companies may also be subject to withholding tax under Section 70, although the applicable double tax agreement may change the result. Treaty relief should be supported by a tax residency certificate, analysis of the income classification, and evidence that the recipient is the beneficial owner of the income.
Using an overseas holding company solely to obtain a lower treaty rate may create treaty-abuse risk. Modern tax treaties increasingly apply principal purpose tests, beneficial ownership concepts, or limitation-on-benefits provisions. A company with no meaningful decision-making, employees, office, risk control, or commercial purpose may have difficulty demonstrating that it is more than a conduit company.
The third issue is intercompany financing. Holding companies often borrow funds and lend them to subsidiaries. Interest rates, guarantees, credit terms, and debt levels should be consistent with the arm’s-length principle. In Thailand, the regular provision of loans may also be regarded as a business similar to commercial banking. Interest and related income from such activities may be subject to specific business tax at 3%, plus municipal tax equal to 10% of the specific business tax.
The fourth issue is transfer pricing. Management fees, interest, guarantees, cost allocations, and other transactions between a holding company and its subsidiaries must have a clear business purpose and market-based pricing. Thai entities meeting the related-party conditions and having annual revenue of at least THB 200 million are generally required to file the related-party disclosure form with the annual corporate income tax return.
The fifth issue arises when investments are sold. The group should model corporate income tax on the gain, withholding tax in the relevant country, foreign tax credits, and any treaty protection before deciding which entity should sell the investment. In Thailand, an instrument transferring shares may be subject to stamp duty at Baht 1 for every Baht 1,000 or fraction thereof, calculated on the paid-up value of the shares or the value stated in the instrument, whichever is higher.
A holding company that provides management or administrative services should also distinguish genuine service income from passive investment income. Service charges should be supported by agreements, actual work performed, benefit received by subsidiaries, transfer pricing calculations, withholding tax treatment, and VAT documentation. A company that records substantial management fee income but has insufficient people or operating capability may face questions about whether the services were actually provided.
For large multinational groups, Global Minimum Tax must also be considered. Placing profits in a low-tax holding company may not reduce the group’s overall tax cost if the jurisdictional effective tax rate falls below the minimum level and top-up tax becomes payable. Thailand has enacted its Top-up Tax Emergency Decree and related implementing notifications.
In summary, the value of a holding company should come from genuine commercial benefits such as governance, financing, investment management, risk separation, and efficient ownership restructuring—not merely from an expected tax exemption. Before establishing the structure, the group should model dividend taxation, withholding tax, financing costs, transfer pricing, capital gains, stamp duty, treaty eligibility, substance, and Global Minimum Tax together.

ประเด็นแรกคือภาษีของเงินปันผล หากบริษัทไทยได้รับเงินปันผลจากบริษัทไทย บริษัทผู้รับอาจได้รับยกเว้นภาษีเงินได้นิติบุคคลทั้งหมดหรือบางส่วน สำหรับการยกเว้นทั้งจำนวน โดยทั่วไปบริษัทผู้รับต้องถือหุ้นที่มีสิทธิออกเสียงไม่น้อยกว่าร้อยละ 25 บริษัทผู้จ่ายต้องไม่ถือหุ้นกลับในบริษัทผู้รับ และต้องถือหุ้นตามระยะเวลาที่กฎหมายกำหนด ซึ่งกรมสรรพากรอธิบายว่าต้องถือหุ้นไม่น้อยกว่า 3 เดือนก่อนและต่อเนื่องอีกไม่น้อยกว่า 3 เดือนหลังได้รับเงินปันผล
กรณีได้รับเงินปันผลจากบริษัทย่อยในต่างประเทศมีเงื่อนไขต่างออกไป บริษัทไทยอาจได้รับยกเว้นภาษีเมื่อถือหุ้นที่มีสิทธิออกเสียงไม่น้อยกว่าร้อยละ 25 เป็นเวลาไม่น้อยกว่า 6 เดือน และเงินปันผลนั้นมาจากกำไรที่เสียภาษีในต่างประเทศในอัตราไม่น้อยกว่าร้อยละ 15 ทั้งนี้ ต้องพิจารณาเงื่อนไขตามกฎหมายอย่างละเอียด บริษัทจึงควรตรวจสอบที่มาของกำไรที่นำมาจ่ายเงินปันผล ไม่ใช่พิจารณาเฉพาะจำนวนหุ้นที่ถืออยู่เท่านั้น การส่งเงินปันผลผ่านบริษัท Holding Company อีกชั้นหนึ่งอาจไม่เข้าเงื่อนไขยกเว้นเสมอไป
ประเด็นที่สองคือภาษีหัก ณ ที่จ่าย เมื่อบริษัทไทยจ่ายเงินปันผลให้ผู้ถือหุ้นต่างประเทศ โดยทั่วไปต้องหักภาษีในอัตราร้อยละ 10 ส่วนการจ่ายดอกเบี้ย ค่าสิทธิ หรือเงินได้บางประเภทให้บริษัทต่างประเทศ อาจอยู่ภายใต้มาตรา 70 แห่งประมวลรัษฎากร อย่างไรก็ตาม อนุสัญญาภาษีซ้อนอาจกำหนดผลทางภาษีแตกต่างออกไป การใช้สิทธิจึงควรมีหนังสือรับรองถิ่นที่อยู่ทางภาษี การวิเคราะห์ประเภทเงินได้ และหลักฐานว่าผู้รับเป็นเจ้าของผลประโยชน์ที่แท้จริง
การตั้งบริษัทในต่างประเทศเพียงเพื่อใช้สิทธิในอนุสัญญาภาษีซ้อนอาจมีความเสี่ยงมากขึ้น เพราะหลักเกณฑ์ระหว่างประเทศให้ความสำคัญกับการป้องกันการเลือกใช้อนุสัญญาเพื่อประโยชน์ทางภาษี บริษัทที่ไม่มีผู้บริหาร ไม่มีบุคลากร ไม่มีอำนาจตัดสินใจ ไม่มีการรับความเสี่ยง และทำหน้าที่เพียงรับแล้วส่งต่อเงิน อาจถูกมองว่าเป็นบริษัททางผ่านและไม่ได้รับสิทธิตามอนุสัญญาตามที่คาดไว้
ประเด็นที่สามคือการให้กู้ยืมเงินระหว่างบริษัทในกลุ่ม Holding Company มักเป็นผู้กู้เงินจากภายนอกแล้วให้บริษัทย่อยกู้ต่อ อัตราดอกเบี้ย ค่าค้ำประกัน เงื่อนไขสินเชื่อ และระดับหนี้ต้องสอดคล้องกับหลักราคาตลาด นอกจากนี้ การให้กู้ยืมเงินเป็นปกติธุระในประเทศไทยอาจเข้าลักษณะกิจการเยี่ยงธนาคารพาณิชย์ รายรับดอกเบี้ยอาจอยู่ในบังคับภาษีธุรกิจเฉพาะอัตราร้อยละ 3 และภาษีท้องถิ่นอีกร้อยละ 10 ของภาษีธุรกิจเฉพาะ
ประเด็นที่สี่คือราคาโอน ค่าบริหารจัดการ ดอกเบี้ย ค่าค้ำประกัน การปันส่วนต้นทุน และรายการอื่นระหว่าง Holding Company กับบริษัทย่อยต้องมีเหตุผลทางธุรกิจและคิดราคาเสมือนทำกับบุคคลอิสระ บริษัทไทยที่เข้าเงื่อนไขเป็นกิจการที่เกี่ยวข้องกันและมีรายได้ไม่น้อยกว่า 200 ล้านบาท โดยทั่วไปต้องยื่นแบบรายงานรายการระหว่างกันพร้อมแบบภาษีเงินได้นิติบุคคลประจำปี
ประเด็นที่ห้าคือการขายเงินลงทุน ก่อนขายหุ้น กลุ่มบริษัทควรคำนวณภาษีจากกำไร ภาษีหัก ณ ที่จ่ายในประเทศที่เกี่ยวข้อง เครดิตภาษีต่างประเทศ และสิทธิตามอนุสัญญาภาษีซ้อนของผู้ขายแต่ละราย นอกจากนี้ ตราสารโอนหุ้นในประเทศไทยอาจต้องเสียอากรแสตมป์ 1 บาททุก 1,000 บาทหรือเศษของ 1,000 บาท โดยคำนวณจากมูลค่าหุ้นที่ชำระแล้วหรือราคาที่ระบุในตราสาร แล้วแต่มูลค่าใดสูงกว่า
หาก Holding Company เรียกเก็บค่าบริหารหรือค่าบริการจากบริษัทย่อย ต้องแยกรายได้จากการให้บริการออกจากรายได้จากการลงทุนให้ชัดเจน ค่าบริการควรมีสัญญา หลักฐานการทำงาน ประโยชน์ที่บริษัทย่อยได้รับ ตารางคำนวณราคา ภาษีหัก ณ ที่จ่าย และเอกสารภาษีมูลค่าเพิ่มรองรับ หากบริษัทมีรายได้ค่าบริหารจำนวนมากแต่ไม่มีบุคลากรหรือความสามารถในการให้บริการจริง อาจถูกตั้งคำถามได้ว่าบริการนั้นเกิดขึ้นจริงหรือไม่
สำหรับกลุ่มบริษัทข้ามชาติขนาดใหญ่ ต้องพิจารณาภาษีขั้นต่ำระดับโลกเพิ่มเติม การนำกำไรไปไว้ใน Holding Company ที่เสียภาษีต่ำอาจไม่ช่วยลดภาษีรวมของกลุ่ม หากอัตราภาษีที่แท้จริงของประเทศนั้นต่ำกว่าเกณฑ์และเกิดภาษีส่วนเพิ่ม ประเทศไทยได้ออกพระราชกำหนดภาษีส่วนเพิ่มและประกาศที่เกี่ยวข้องแล้ว
โดยสรุป Holding Company ที่ดีควรสร้างประโยชน์ทางธุรกิจจริงจากการกำกับดูแล การบริหารเงินทุน การจัดการเงินลงทุน การแยกความเสี่ยง และการปรับโครงสร้างผู้ถือหุ้น ไม่ใช่ตั้งขึ้นเพียงเพราะคาดว่าเงินปันผลจะไม่เสียภาษี ก่อนจัดตั้งโครงสร้าง กลุ่มบริษัทควรประเมินภาษีเงินปันผล ภาษีหัก ณ ที่จ่าย ดอกเบี้ย ราคาโอน กำไรจากการขายหุ้น อากรแสตมป์ สิทธิตามอนุสัญญาภาษีซ้อน สาระในการดำเนินธุรกิจ และภาษีขั้นต่ำระดับโลกพร้อมกัน
