Global Minimum Tax, or Pillar Two, creates a new area of discussion between the CFO and the Audit Partner. The discussion should begin before the year-end tax provision is prepared because Pillar Two affects not only tax compliance, but also financial reporting, data governance, internal controls, forecasts, and the group audit plan.


The first question is whether the group is within scope. The GloBE Rules generally apply to multinational groups with consolidated revenue of at least EUR 750 million in at least two of the four preceding fiscal years. The CFO should ensure that the group structure, constituent entities, permanent establishments, excluded entities, acquisitions, disposals, and ownership changes have been properly assessed. The Audit Partner should understand and challenge the basis of management’s conclusion.


The next discussion is how the effective tax rate and top-up tax are calculated. Pillar Two does not simply compare the local corporate income tax rate with 15%. The calculation begins with financial accounting income and covered taxes, followed by detailed adjustments under the GloBE Rules. The CFO should explain the key assumptions, permanent differences, deferred tax adjustments, tax credits, intercompany transactions, elections, and safe harbours used in the model. The Audit Partner should assess whether the methodology is complete, consistently applied, and supported by reliable evidence.


Both parties must also understand which entity is legally responsible for the tax. Depending on the jurisdictions involved, top-up tax may arise under a qualified domestic minimum top-up tax, the Income Inclusion Rule, or the Undertaxed Profits Rule. This affects which entity recognises the liability, where the tax is paid, and whether intercompany tax-sharing arrangements are appropriate. For groups operating in Thailand, the Thai Emergency Decree on Top-up Tax applies to accounting periods beginning on or after 1 January 2025.


Accounting treatment and financial statement disclosure are another important area. IAS 12 provides a temporary exception from recognising deferred tax assets and liabilities specifically related to Pillar Two income taxes, but the exception does not remove the need to recognise current top-up tax when a present obligation exists. Management must also consider whether the financial statements should disclose actual or reasonably estimable exposure, significant judgments, and uncertainty surrounding the calculation.


Data readiness is often the most difficult practical issue. Pillar Two may require information from consolidation systems, tax returns, deferred tax schedules, payroll records, tangible asset registers, ownership records, and country-by-country reporting. The CFO should identify the owner and source of each data item and establish controls over data extraction, adjustments, reconciliations, spreadsheets, system access, and management review. The Audit Partner should understand the data lineage and determine whether the information used in the calculation is complete and reliable.


Global Minimum Tax may also affect forecasts and business decisions. Tax holidays, investment incentives, tax credits, changes in profitability, and deferred tax movements may cause a jurisdiction’s effective tax rate to fall below 15%. The CFO should consider the effects on cash flow forecasts, tax-rate guidance, dividend capacity, project returns, impairment assessments, and investment decisions. The Audit Partner should evaluate whether these effects are reflected consistently in the financial statements and related accounting estimates.


The audit timetable should be agreed early. The CFO and Audit Partner should identify significant jurisdictions, determine whether tax or valuation specialists are required, define the work expected from component auditors, and agree when the calculation and supporting documents will be available. A late or incomplete Pillar Two model can create substantial pressure during the final stage of the audit.


The division of responsibility must remain clear. Management is responsible for the calculation, assumptions, judgments, controls, and disclosures. The Audit Partner may explain accounting and audit expectations and challenge management’s conclusions, but should not make management decisions or prepare the model that the audit team will later audit.


In summary, Global Minimum Tax requires the CFO and Audit Partner to discuss much more than the final tax amount. They should align on scope, entity mapping, calculation methodology, accounting treatment, disclosures, data quality, internal controls, safe harbours, forecasts, specialist involvement, component auditor responsibilities, and reporting deadlines. The most effective discussions take place throughout the year, rather than during the final weeks before the financial statements are issued.

โดยสรุป Global Minimum Tax ทำให้ CFO และ Audit Partner ต้องคุยกันมากกว่าตัวเลขภาษีสุดท้าย ทั้งสองฝ่ายควรหารือเรื่องขอบเขต โครงสร้างกิจการ วิธีคำนวณ การบันทึกบัญชี การเปิดเผยข้อมูล คุณภาพข้อมูล ระบบควบคุม การใช้ข้อยกเว้น ผลต่อประมาณการ การใช้ผู้เชี่ยวชาญ ความรับผิดชอบของผู้สอบบัญชีแต่ละประเทศ และกำหนดเวลาออกงบ การหารือที่มีประสิทธิผลควรเกิดขึ้นตลอดทั้งปี ไม่ใช่เพิ่งเริ่มในช่วงสุดท้ายก่อนลงนามในงบการเงิน
