Before preparing the documents, a Thai private limited company should first consider an important legal limitation. Section 1119 of the Civil and Commercial Code provides that shares must be paid for in money and that a shareholder cannot set off a debt owed by the company against the amount payable for shares. Therefore, a company should not merely debit the director-loan payable and credit share capital and assume that the debt has been legally converted into equity.
Although certain capital increases may be paid with assets or non-cash consideration when properly approved, using a director’s receivable against the same company raises the specific issue of debt set-off under Section 1119. For an ordinary Thai private limited company, the more defensible approach is generally to structure the transaction as two genuine and separately documented steps.
First, the director subscribes for the newly issued shares and transfers the share subscription money into the company’s bank account. Second, after the company has received the share payment and completed the relevant corporate procedures, it separately repays the outstanding director loan. Both cash movements should be genuine, separately authorised and traceable through the bank account rather than supported only by accounting entries.
The first document group relates to the existing debt. The company should retain the original loan agreement, board approval for obtaining the loan, evidence showing that the director actually transferred funds to the company, the director-loan ledger, interest calculations, a balance confirmation signed by the director and a reconciliation separating principal from accrued interest.
The company should also review whether the loan agreement has been properly stamped. A loan instrument is generally subject to stamp duty at Baht 1 for every Baht 2,000 or fraction thereof of the loan amount, subject to the statutory maximum.
The second document group concerns approval of the capital increase. The board should approve calling a shareholders’ meeting and specify the proposed capital increase, number of new shares, par value, subscription price, persons entitled to subscribe and the intended use of the proceeds.
The company should prepare the shareholders’ meeting notice, evidence of delivery or publication where applicable, attendance list, proxies and meeting minutes. The capital increase and amendment to Clause 5 of the memorandum of association generally require a special resolution supported by at least three-fourths of the votes of shareholders attending the meeting and entitled to vote.
New shares should initially be offered to existing shareholders in proportion to their existing shareholdings. The company should therefore prepare rights-offering notices stating the number of shares available, subscription price and response deadline. Written acceptance, rejection or waiver documents should be retained. Shares not taken up may then be allocated in accordance with the applicable corporate rules.
The third document group concerns actual payment for the shares. The director should sign a share-subscription form and transfer the subscription amount into the company’s bank account. The company should issue a receipt and retain the bank statement, transfer evidence and a reconciliation between the money received and the number of shares issued.
Where the registered capital following the increase exceeds Baht 5 million, additional bank evidence and company confirmation concerning receipt of the share payment may be required under the Department of Business Development’s documentation rules.
The DBD registration file generally includes Form Bor.Or.Jor.1, the registration certification form, Form Bor.Or.Jor.4, the amended memorandum of association, evidence of the capital payment, identification documents of the authorised director, evidence relating to the signature certifier where applicable and a power of attorney if another person files the application. The special resolution and capital increase should be registered within the applicable statutory deadline.
After the company has genuinely received the share-subscription money, repayment of the director loan should be documented as a separate transaction. The file should include a board resolution approving the repayment, payment voucher, bank-transfer evidence, a receipt or debt-discharge confirmation signed by the director and an updated loan reconciliation showing that the principal has been reduced or fully settled.
Principal and accrued interest must be separated. Repayment of principal is a settlement of a liability and is not an expense. If accrued interest is paid to a Thai individual director, the company is generally required to withhold personal income tax at 15% from the interest payment. Payments to foreign directors or corporate lenders may involve different withholding-tax forms, rates and double tax agreement considerations.
Following registration, the company should update its shareholder register, issue new share certificates and update the share-capital and share-premium ledgers. It should retain a complete calculation showing the number of shares, par value, issue price, share premium and ownership percentages before and after the capital increase.
Under the two-step approach, the accounting records should first recognise the cash received against share capital and any share premium. A separate entry should then record the cash repayment of the director loan. The two transactions should not be presented merely as a net journal entry without supporting cash movements.
A genuine and legally completed capital contribution is generally treated as equity rather than taxable operating income and is not subject to VAT. However, an artificial transaction, an unlawful capital increase or an unreasonable share price may be reconsidered according to its true substance and may create different tax consequences.
From an audit perspective, the auditor should verify that the director loan existed, that the original money was actually advanced, that the capital increase was properly approved, that the subscription money was genuinely received, that the loan was separately repaid and that the shareholder records agree with the DBD registration.
Particular attention is required where the capital subscription and loan repayment occur on the same day, documents are prepared retrospectively, accrued interest is not separated from principal, or the transaction changes the foreign shareholding percentage, foreign-business status or other regulatory conditions.
In summary, a Thai private limited company should not normally convert a director loan into capital merely by setting off the debt against unpaid share subscription. The more defensible approach is to confirm and document the existing debt, approve the capital increase, receive actual cash for the new shares, register the increase with the DBD and separately repay the director loan. The core documentation should include the loan agreement, debt confirmation, board and shareholders’ resolutions, rights-offering documents, share-subscription form, bank evidence, DBD forms, repayment documents, tax records and updated shareholder register.

แม้การเพิ่มทุนบางกรณีอาจชำระด้วยทรัพย์สินหรือสิ่งตอบแทนที่ไม่ใช่เงินสดได้ หากได้รับอนุมัติและดำเนินการอย่างถูกต้อง แต่กรณีกรรมการนำสิทธิเรียกร้องที่มีต่อบริษัทเดียวกันมาชำระค่าหุ้น จะมีประเด็นเรื่องการหักกลบลบหนี้ตามมาตรา 1119 โดยตรง
สำหรับบริษัทจำกัดทั่วไป แนวทางที่มีความชัดเจนและมีหลักฐานรองรับมากกว่าคือดำเนินการเป็นสองธุรกรรมแยกกัน ขั้นแรก กรรมการจองซื้อหุ้นเพิ่มทุนและโอนเงินค่าหุ้นเข้าบัญชีธนาคารของบริษัทจริง ขั้นที่สอง หลังจากบริษัทได้รับเงินและดำเนินการเพิ่มทุนอย่างถูกต้องแล้ว บริษัทจึงชำระคืนหนี้เงินกู้กรรมการเป็นรายการแยกต่างหาก
การรับเงินค่าหุ้นและการจ่ายคืนเงินกู้ควรเป็นธุรกรรมจริง ได้รับอนุมัติแยกจากกัน และสามารถตรวจสอบย้อนกลับจากรายการเดินบัญชีธนาคารได้ ไม่ควรใช้เพียงรายการบัญชีหักกลบกันโดยไม่มีการรับและจ่ายเงินจริง
เอกสารชุดแรกคือเอกสารยืนยันหนี้เดิม ได้แก่ สัญญากู้ยืมเงิน มติกรรมการที่อนุมัติการกู้ยืม หลักฐานว่ากรรมการเคยโอนเงินเข้าบริษัทจริง บัญชีแยกประเภทเงินกู้ยืมกรรมการ ตารางคำนวณดอกเบี้ย หนังสือยืนยันยอดหนี้ที่กรรมการลงนาม และตารางแยกเงินต้นออกจากดอกเบี้ยค้างจ่ายอย่างชัดเจน
บริษัทควรตรวจสอบด้วยว่าสัญญากู้ยืมเงินได้เสียอากรแสตมป์ครบถ้วนหรือไม่ โดยสัญญากู้ยืมโดยทั่วไปเสียอากรแสตมป์ 1 บาทต่อยอดเงินกู้ทุก 2,000 บาทหรือเศษของ 2,000 บาท ภายใต้อัตราสูงสุดตามที่กฎหมายกำหนด
เอกสารชุดที่สองคือเอกสารอนุมัติการเพิ่มทุน คณะกรรมการควรมีมติเรียกประชุมผู้ถือหุ้น พร้อมระบุจำนวนทุนที่จะเพิ่ม จำนวนหุ้นใหม่ มูลค่าหุ้น ราคาจองซื้อ ผู้มีสิทธิจองซื้อ และวัตถุประสงค์ในการใช้เงิน
บริษัทต้องจัดทำหนังสือนัดประชุม หลักฐานการส่งหนังสือหรือการประกาศตามที่เกี่ยวข้อง รายชื่อผู้เข้าประชุม หนังสือมอบฉันทะ และรายงานการประชุมผู้ถือหุ้น การเพิ่มทุนและการแก้ไขหนังสือบริคณห์สนธิข้อ 5 โดยทั่วไปต้องได้รับมติพิเศษด้วยคะแนนเสียงไม่น้อยกว่าสามในสี่ของผู้ถือหุ้นที่มาประชุมและมีสิทธิออกเสียง
หุ้นเพิ่มทุนต้องเสนอให้ผู้ถือหุ้นเดิมตามสัดส่วนการถือหุ้นก่อน บริษัทจึงควรมีหนังสือเสนอขายหุ้นเพิ่มทุน ระบุจำนวนหุ้นที่มีสิทธิซื้อ ราคาจองซื้อ และกำหนดเวลาตอบรับ พร้อมเก็บหนังสือตอบรับ หนังสือปฏิเสธ หรือหนังสือสละสิทธิของผู้ถือหุ้นแต่ละราย หุ้นที่ไม่มีผู้ถือหุ้นเดิมรับซื้อจึงสามารถจัดสรรตามหลักเกณฑ์ที่เกี่ยวข้องต่อไป
เอกสารชุดที่สามคือหลักฐานการชำระค่าหุ้นจริง กรรมการควรลงนามในใบจองซื้อหุ้นและโอนเงินเข้าบัญชีธนาคารของบริษัท บริษัทต้องออกใบรับเงินค่าหุ้น และเก็บรายการเดินบัญชี ใบโอนเงิน และตารางกระทบยอดระหว่างเงินที่ได้รับกับจำนวนหุ้นที่ออก
หากทุนจดทะเบียนภายหลังเพิ่มทุนเกิน 5 ล้านบาท อาจต้องจัดเตรียมหลักฐานเพิ่มเติมจากธนาคารและหนังสือยืนยันของบริษัทเกี่ยวกับการรับชำระค่าหุ้นตามหลักเกณฑ์ของกรมพัฒนาธุรกิจการค้า
ชุดเอกสารที่ใช้ยื่นกรมพัฒนาธุรกิจการค้าโดยทั่วไปประกอบด้วยแบบ บอจ.1 แบบคำรับรองการจดทะเบียนบริษัทจำกัด แบบ บอจ.4 หนังสือบริคณห์สนธิฉบับแก้ไขเพิ่มเติม หลักฐานการรับชำระค่าหุ้น เอกสารประจำตัวของกรรมการผู้มีอำนาจ หลักฐานเกี่ยวกับผู้รับรองลายมือชื่อหากเกี่ยวข้อง และหนังสือมอบอำนาจกรณีมอบหมายให้บุคคลอื่นดำเนินการ บริษัทต้องยื่นจดทะเบียนมติพิเศษและการเพิ่มทุนภายในกำหนดเวลาตามกฎหมาย
หลังจากบริษัทได้รับเงินค่าหุ้นจริงแล้ว การชำระคืนเงินกู้กรรมการควรมีเอกสารแยกอีกชุดหนึ่ง ได้แก่ มติกรรมการอนุมัติการจ่ายคืน ใบสำคัญจ่าย คำสั่งโอนเงิน หลักฐานธนาคาร ใบรับเงินหรือหนังสือรับรองการชำระหนี้จากกรรมการ และตารางเงินกู้ฉบับปรับปรุงที่แสดงว่ายอดเงินต้นลดลงหรือชำระครบแล้ว
บริษัทต้องแยกเงินต้นและดอกเบี้ยออกจากกัน การจ่ายคืนเงินต้นเป็นการลดหนี้สิน ไม่ใช่ค่าใช้จ่ายของบริษัท แต่หากมีการจ่ายดอกเบี้ยค้างจ่ายให้กรรมการซึ่งเป็นบุคคลธรรมดาในประเทศไทย บริษัทโดยทั่วไปต้องหักภาษี ณ ที่จ่ายในอัตราร้อยละ 15 ของดอกเบี้ย ส่วนกรณีกรรมการต่างประเทศหรือเจ้าหนี้ที่เป็นนิติบุคคล ต้องพิจารณาแบบภาษี อัตราภาษี และอนุสัญญาภาษีซ้อนแยกต่างหาก
ภายหลังการจดทะเบียน บริษัทควรปรับปรุงสมุดทะเบียนผู้ถือหุ้น จัดทำใบหุ้นใหม่ ปรับบัญชีทุนเรือนหุ้นและส่วนเกินมูลค่าหุ้น และจัดทำตารางแสดงจำนวนหุ้น มูลค่าหุ้น ราคาจองซื้อ ส่วนเกินมูลค่าหุ้น และสัดส่วนการถือหุ้นก่อนและหลังเพิ่มทุนอย่างชัดเจน
ในทางบัญชี บริษัทควรบันทึกการรับเงินค่าหุ้นเป็นเงินสดกับทุนเรือนหุ้นและส่วนเกินมูลค่าหุ้นก่อน จากนั้นจึงบันทึกการจ่ายเงินสดเพื่อลดหนี้เงินกู้กรรมการเป็นอีกหนึ่งรายการ ไม่ควรบันทึกเพียงรายการสุทธิหักกลบระหว่างหนี้กับทุนโดยไม่มีหลักฐานการเคลื่อนไหวของเงินจริง
เงินเพิ่มทุนที่เกิดจากธุรกรรมจริงและดำเนินการโดยชอบด้วยกฎหมาย โดยทั่วไปถือเป็นส่วนของทุน ไม่ใช่รายได้จากการดำเนินงาน และไม่อยู่ในฐานภาษีมูลค่าเพิ่ม อย่างไรก็ตาม หากเป็นธุรกรรมที่ไม่เป็นไปตามกฎหมาย ไม่มีสาระทางเศรษฐกิจ หรือกำหนดราคาหุ้นไม่สมเหตุสมผล รายการอาจถูกพิจารณาตามเนื้อหาที่แท้จริงและมีผลภาษีแตกต่างออกไป
ในมุมการสอบบัญชี ผู้สอบบัญชีควรตรวจสอบว่าหนี้กรรมการมีอยู่จริง กรรมการเคยนำเงินเข้าบริษัทจริง การเพิ่มทุนได้รับอนุมัติอย่างถูกต้อง บริษัทได้รับเงินค่าหุ้นจริง การจ่ายคืนเงินกู้เป็นธุรกรรมแยกต่างหาก และทะเบียนผู้ถือหุ้นสอดคล้องกับข้อมูลที่จดทะเบียนต่อกรมพัฒนาธุรกิจการค้า
ความเสี่ยงจะสูงขึ้นเมื่อการรับเงินเพิ่มทุนและการจ่ายคืนหนี้เกิดขึ้นในวันเดียวกัน เอกสารถูกจัดทำย้อนหลัง ไม่มีการแยกดอกเบี้ยออกจากเงินต้น หรือธุรกรรมทำให้สัดส่วนผู้ถือหุ้นต่างชาติ สถานะตามกฎหมายว่าด้วยการประกอบธุรกิจของคนต่างด้าว หรือเงื่อนไขตามกฎหมายเฉพาะเปลี่ยนแปลงไป
โดยสรุป บริษัทจำกัดของไทยโดยทั่วไปไม่ควรแปลงหนี้กรรมการเป็นทุนด้วยการหักกลบหนี้กับค่าหุ้นโดยตรง วิธีที่มีความชัดเจนและปลอดภัยกว่าคือยืนยันและจัดทำเอกสารหนี้เดิม อนุมัติการเพิ่มทุน รับเงินค่าหุ้นจริง จดทะเบียนเพิ่มทุนกับกรมพัฒนาธุรกิจการค้า และจ่ายคืนเงินกู้กรรมการเป็นรายการแยกต่างหาก เอกสารหลักจึงควรครอบคลุมสัญญากู้ยืม หนังสือยืนยันหนี้ มติกรรมการและผู้ถือหุ้น เอกสารเสนอขายและจองซื้อหุ้น หลักฐานธนาคาร แบบจดทะเบียน DBD เอกสารชำระคืนหนี้ เอกสารภาษี และทะเบียนผู้ถือหุ้นที่ปรับปรุงแล้ว
