The date of the auditor’s report is not automatically the audit committee meeting date, the annual general meeting date, or the date on which management agrees the draft financial statements with the auditor. Under TSA 700, the auditor’s report must not be dated earlier than the date on which the auditor has obtained sufficient appropriate audit evidence, including evidence that the complete financial statements and related disclosures have been prepared and that the person or governing body with recognised authority has accepted responsibility for them.


For a Thai company, the relevant approval date is generally the date on which the board of directors formally approves the final financial statements and accepts responsibility for them. The audit committee normally reviews the financial statements and recommends them to the board, but its meeting date is not normally the controlling date unless it has formal authority to approve the financial statements. Similarly, the AGM date is generally not used because shareholders normally consider financial statements that have already been approved, audited and accompanied by the auditor’s report.


However, the auditor’s report does not necessarily have to bear the same date as the board approval. The report may be dated on the board approval date only if the auditor has completed all necessary audit procedures, obtained sufficient appropriate evidence, completed subsequent-event procedures up to that date and received the required written representations.


For example, if the board approves the financial statements on 25 February but the auditor completes the final audit procedures and receives the signed Management Representation Letter on 27 February, the auditor’s report should normally be dated 27 February. It should not be backdated to 25 February merely because that was the board approval date.


The date on which management agrees the financial statement draft with the auditor is not sufficient by itself. Agreement on a draft does not necessarily demonstrate that the final financial statements have been approved, that management has formally accepted responsibility or that all audit procedures have been completed. If material changes are made after board approval, the revised financial statements may need to be approved again before the auditor signs the report.


TSA 560 requires the auditor to perform subsequent-event procedures covering the period from the financial statement date to the date of the auditor’s report, or as near as practicable to that date. A later report date therefore extends the period during which the auditor must consider events that may require adjustment or disclosure.


The Management Representation Letter, or Letter of Representation, should be dated as near as practicable to the auditor’s report date, but not later than that date. TSA 580 also indicates that the auditor cannot date the auditor’s report before the date of the written representations. In practice, the clearest and most appropriate approach is for the Management Representation Letter and the auditor’s report to bear the same date.


The letter should not normally be dated on the day management agrees the draft if that date is significantly earlier than the auditor’s report. Written representations cover matters such as management’s responsibility for the financial statements, the completeness of information provided, the recording of all transactions and subsequent events up to the report date. An early-dated letter may not cover developments occurring between the date of the letter and the auditor’s report.


For example, if the audit committee reviews the financial statements on 20 February, the board approves the final financial statements on 25 February, the auditor completes the remaining procedures and receives the signed Management Representation Letter on 27 February, and the AGM is held on 30 April, both the auditor’s report and the Management Representation Letter would normally be dated 27 February.


If all audit procedures are completed, the board approves the final financial statements and the signed Management Representation Letter is received on 25 February, both documents may be dated 25 February. The dates should reflect the actual sequence of events and should never be backdated merely to meet a reporting deadline.


In summary, the auditor’s report should be dated when three conditions have been satisfied: the final financial statements have been approved by the authorised body, the auditor has completed the necessary procedures and obtained sufficient appropriate evidence, and the required written representations have been received. The Management Representation Letter should normally bear the same date as the auditor’s report. The audit committee meeting date, AGM date and informal draft-agreement date are not automatically the correct dates.


วันที่ในรายงานผู้สอบบัญชีและ Letter of Representation ควรลงวันที่ใด?


วันที่ในรายงานผู้สอบบัญชีไม่ควรกำหนดโดยอัตโนมัติจากวันที่ประชุมคณะกรรมการตรวจสอบ วันที่ประชุมสามัญผู้ถือหุ้น หรือวันที่ฝ่ายบริหารตกลงร่างงบการเงินกับผู้สอบบัญชี แต่ต้องเป็นวันที่ผู้สอบบัญชีได้รับหลักฐานการสอบบัญชีที่เหมาะสมอย่างเพียงพอสำหรับการแสดงความเห็นแล้ว


ตามมาตรฐานการสอบบัญชี รหัส 700 รายงานผู้สอบบัญชีต้องไม่ลงวันที่ก่อนวันที่งบการเงินและหมายเหตุประกอบงบการเงินฉบับสมบูรณ์จัดทำเสร็จ ผู้มีอำนาจของกิจการยอมรับความรับผิดชอบต่องบการเงิน และผู้สอบบัญชีได้รับหลักฐานที่จำเป็นครบถ้วนแล้ว


สำหรับบริษัทไทย วันที่สำคัญโดยทั่วไปคือวันที่คณะกรรมการบริษัทมีมติอนุมัติงบการเงินฉบับสุดท้ายและรับผิดชอบต่องบการเงินดังกล่าว วันที่ประชุมคณะกรรมการตรวจสอบมักยังไม่ใช่วันที่กำหนดรายงาน เพราะคณะกรรมการตรวจสอบโดยทั่วไปมีหน้าที่สอบทานงบการเงินและเสนอความเห็นต่อคณะกรรมการบริษัท เว้นแต่จะมีอำนาจตามกฎหมายหรือข้อบังคับให้อนุมัติงบการเงินได้โดยตรง


วันที่ประชุมสามัญผู้ถือหุ้น หรือ AGM ก็ไม่ใช่วันที่ในรายงานผู้สอบบัญชีตามปกติ เพราะผู้ถือหุ้นควรได้รับงบการเงินที่ผ่านการอนุมัติจากคณะกรรมการบริษัท ได้รับการตรวจสอบ และมีรายงานผู้สอบบัญชีแล้ว เพื่อนำไปพิจารณาในที่ประชุม


อย่างไรก็ตาม วันที่ในรายงานผู้สอบบัญชีไม่จำเป็นต้องตรงกับวันที่คณะกรรมการบริษัทอนุมัติงบเสมอไป หากคณะกรรมการอนุมัติงบวันที่ 25 กุมภาพันธ์ แต่ผู้สอบบัญชียังต้องทำงานขั้นสุดท้าย ตรวจสอบเหตุการณ์ภายหลังรอบรายงาน หรือรอรับหนังสือรับรองจากฝ่ายบริหารจนถึงวันที่ 27 กุมภาพันธ์ รายงานผู้สอบบัญชีควรลงวันที่ 27 กุมภาพันธ์ ไม่ควรย้อนหลังไปใช้วันที่ 25 กุมภาพันธ์


วันที่ฝ่ายบริหารตกลงร่างงบกับผู้สอบบัญชีก็ไม่เพียงพอด้วยตัวเอง เพราะการ agree draft เป็นเพียงขั้นตอนหนึ่งของการปิดงาน ไม่ได้หมายความว่างบฉบับสุดท้ายได้รับการอนุมัติแล้ว ฝ่ายบริหารรับผิดชอบต่องบการเงินอย่างเป็นทางการแล้ว หรือผู้สอบบัญชีทำงานครบถ้วนแล้ว หากมีการแก้ไขงบที่มีสาระสำคัญหลังจากคณะกรรมการอนุมัติ บริษัทอาจต้องนำงบฉบับแก้ไขกลับไปให้คณะกรรมการอนุมัติใหม่ก่อนที่ผู้สอบบัญชีจะลงนามในรายงาน


มาตรฐานการสอบบัญชี รหัส 560 กำหนดให้ผู้สอบบัญชีปฏิบัติงานเกี่ยวกับเหตุการณ์ภายหลังรอบรายงานตั้งแต่วันสิ้นรอบบัญชีจนถึงวันที่ในรายงานผู้สอบบัญชี หรือใกล้วันที่ดังกล่าวที่สุดเท่าที่สามารถปฏิบัติได้ ดังนั้น ยิ่งรายงานลงวันที่ช้า ผู้สอบบัญชีก็ยิ่งต้องพิจารณาเหตุการณ์ที่อาจต้องปรับปรุงหรือเปิดเผยในงบการเงินจนถึงวันที่นั้น


สำหรับ Letter of Representation หรือหนังสือรับรองของฝ่ายบริหาร ควรลงวันที่ใกล้เคียงกับวันที่ในรายงานผู้สอบบัญชีมากที่สุด แต่ต้องไม่ลงวันที่ภายหลังรายงานผู้สอบบัญชี มาตรฐานการสอบบัญชี รหัส 580 ยังระบุว่าผู้สอบบัญชีไม่สามารถลงวันที่ในรายงานก่อนวันที่ได้รับหนังสือรับรองได้ ดังนั้น แนวปฏิบัติที่ชัดเจนที่สุดคือให้ Letter of Representation และรายงานผู้สอบบัญชีลงวันที่เดียวกัน


Letter of Representation ไม่ควรลงวันที่ตามวันที่ตกลงร่างงบ หากวันดังกล่าวเกิดขึ้นก่อนวันออกรายงานเป็นเวลานาน เพราะหนังสือรับรองต้องครอบคลุมความรับผิดชอบของฝ่ายบริหาร ความครบถ้วนของข้อมูล การบันทึกรายการทั้งหมด และเหตุการณ์ภายหลังรอบรายงานจนถึงวันที่ในรายงานผู้สอบบัญชี


ตัวอย่างเช่น หากคณะกรรมการตรวจสอบสอบทานงบวันที่ 20 กุมภาพันธ์ คณะกรรมการบริษัทอนุมัติงบวันที่ 25 กุมภาพันธ์ ผู้สอบบัญชีทำงานขั้นสุดท้ายเสร็จและได้รับ Letter of Representation วันที่ 27 กุมภาพันธ์ และจัดประชุม AGM วันที่ 30 เมษายน วันที่ในรายงานผู้สอบบัญชีและ Letter of Representation โดยทั่วไปควรเป็นวันที่ 27 กุมภาพันธ์


หากผู้สอบบัญชีตรวจเสร็จทั้งหมด คณะกรรมการบริษัทอนุมัติงบฉบับสุดท้าย และได้รับ Letter of Representation ครบถ้วนในวันที่ 25 กุมภาพันธ์ เอกสารทั้งสองฉบับก็สามารถลงวันที่ 25 กุมภาพันธ์ได้ วันที่ของเอกสารต้องสะท้อนเหตุการณ์ที่เกิดขึ้นจริง และไม่ควรลงวันย้อนหลังเพียงเพื่อให้ทันกำหนดเวลา


โดยสรุป วันที่ในรายงานผู้สอบบัญชีควรเป็นวันที่เงื่อนไขสำคัญครบถ้วนแล้ว ได้แก่ งบการเงินฉบับสุดท้ายได้รับอนุมัติจากผู้มีอำนาจ ผู้สอบบัญชีตรวจสอบเสร็จและได้รับหลักฐานที่เหมาะสมอย่างเพียงพอ และได้รับ Letter of Representation แล้ว ส่วน Letter of Representation ควรลงวันที่เดียวกับรายงานผู้สอบบัญชีเป็นหลัก วันที่ประชุมคณะกรรมการตรวจสอบ วันที่ AGM และวันที่ตกลงร่างงบ ไม่ใช่วันที่ที่ใช้กำหนดรายงานโดยอัตโนมัติ
