Key Audit Matters, or KAMs, have become a central element of auditor reporting across major capital markets. Under ISA 701, KAMs are selected from matters communicated with those charged with governance that, in the auditor's professional judgment, were of most significance in the audit of the current-period financial statements. In the United States, the broadly comparable concept is Critical Audit Matters (CAMs) under PCAOB AS 3101. A CAM must relate to accounts or disclosures material to the financial statements and involve especially challenging, subjective or complex auditor judgment. Neither a KAM nor a CAM represents a separate audit opinion on the underlying matter.


There is no authoritative global database that ranks every KAM or CAM reported by every listed company for 2025 using a single classification system. The following Top 100 should therefore be understood as a cross-market synthesis of recurring audit themes, not a literal statistical ranking from 1 to 100. The ordering intentionally places widely recurring matters first and progressively moves toward industry-specific, transaction-specific and emerging matters.


The evidence supporting such a broad taxonomy is substantial. European research has analysed 17,241 individual KAM texts from 2,178 companies, while another study using Audit Analytics Europe examines 50,568 KAMs reported by 4,513 listed European companies and maps them across a wide range of accounting, transaction, control and entity-level topics. Current evidence remains consistent with the historical pattern: research on listed entities with 2025 reporting periods in Australia and New Zealand identifies revenue recognition and impairment as dominant KAM themes, while UK inspection findings continue to concentrate heavily on revenue and impairment.


A common thread throughout the Top 100 is accounting estimation. PCAOB staff noted in May 2025 that estimates are pervasive in financial statements and often represent some of the areas of greatest audit risk because they involve subjective assumptions, measurement uncertainty, complex methods and susceptibility to management bias.


1. Revenue Recognition
Revenue frequently becomes a KAM because it combines financial significance with several sources of audit risk at the same time. Large transaction volumes, complex contractual terms, multiple performance obligations, variable consideration, year-end cut-off and extensive reliance on automated systems can make the account difficult to audit even where the underlying business appears straightforward. Revenue may also be particularly sensitive to management incentives because relatively small changes in timing or recognition criteria can materially influence reported growth, margins or performance targets. Current inspection evidence continues to identify revenue as a recurring area of audit execution difficulty.


The auditor should therefore go beyond invoice and cash-receipt testing. Audit work should connect the contract, order, delivery or service evidence, transfer of control, billing, collection and accounting entry. Particular attention should be given to unusual terms, transactions close to year-end, manual journal entries, side agreements, bill-and-hold arrangements and transactions whose commercial substance is unclear. The central audit question is whether revenue represents genuine economic activity, is measured in accordance with the contractual substance and is recognised in the appropriate reporting period.


2. Goodwill Impairment
Goodwill frequently becomes a KAM because its carrying amount is often supported by expectations about future performance rather than directly observable evidence. Management may use forecasts of revenue, operating margins, long-term growth, terminal values and discount rates to estimate recoverable amounts. Small changes in these assumptions can sometimes move a cash-generating unit from substantial headroom to impairment, creating considerable estimation uncertainty and potential management bias.
Auditors should not restrict their work to checking the mechanics of the discounted cash-flow model. They should compare historical forecasts with actual outcomes, reconcile forecasts to approved budgets, challenge growth and margin assumptions against market evidence and assess whether discount rates appropriately reflect the underlying risks. Sensitivity analysis is particularly important where headroom is limited. The key question is whether the future economic benefits assumed by management are sufficiently realistic and supported to justify the goodwill balance.


3. Intangible Asset Impairment
Intangible assets such as customer relationships, brands, licences, patents and technology may involve similar impairment issues to goodwill but often contain additional judgments about useful life, obsolescence and the specific economic benefits attributable to an individual asset. Rapid technological change, loss of major customers, new regulation or changes in consumer preferences may significantly reduce an asset's economic value before that decline becomes obvious from historical financial information.
The auditor should understand how management identifies impairment indicators and how expected cash flows are attributed to the intangible asset. Historical forecast accuracy, technology developments, customer retention, licence renewal assumptions and useful lives may all require challenge. Where specialist valuation techniques are used, the auditor should assess both the methodology and significant inputs. A technically sophisticated valuation does not compensate for unsupported commercial assumptions.


4. Expected Credit Losses
Expected credit losses frequently become KAMs in banks, finance companies and other businesses with significant financial assets because the estimate incorporates both historical experience and expectations about the future. Models may use probability of default, loss given default, exposure at default, macroeconomic scenarios and management overlays. Small changes to economic weights or credit-risk classifications can materially affect the allowance.


Auditors need to evaluate much more than model arithmetic. The completeness and accuracy of source data, methodology, model governance, staging criteria, forward-looking economic assumptions and post-model adjustments all require attention. Management overlays deserve particular skepticism because they can materially change the outcome outside the core quantitative model. PCAOB guidance specifically identifies allowances for credit losses as examples of estimates involving significant judgment and measurement uncertainty.


5. Recoverability of Trade Receivables
Trade receivables can become a KAM where balances are large, ageing has deteriorated, customers are concentrated or economic conditions increase collection uncertainty. Unlike an ordinary existence test, recoverability requires the auditor to assess whether the recognised asset will ultimately generate cash. Customer confirmation may demonstrate that a balance exists, but it does not establish the customer's ability or willingness to pay.


The auditor should examine ageing, subsequent receipts, disputes, credit notes, historical collection patterns and information about customers' financial condition. Large overdue balances with continuing sales activity deserve particular attention. The audit should also assess whether management's impairment methodology reflects current conditions rather than relying mechanically on historical percentages. The key issue is not simply whether the receivable exists, but whether its carrying amount can reasonably be recovered.


6. Inventory Valuation and Obsolescence
Inventory valuation frequently becomes a KAM in manufacturing, retail, technology and commodity businesses because physical inventory can exist while still being materially overstated. Obsolescence, slow movement, declining selling prices, excess production and changes in customer demand can cause net realisable value to fall below cost. Estimating the required write-down often involves management judgment about future sales rather than historical quantities alone.


Auditors should analyse ageing and inventory turnover, compare cost with subsequent selling prices, examine product life cycles and evaluate demand forecasts. Standard-cost systems also require consideration of overhead absorption and production efficiency. Where inventory reserves are model-based, the auditor should understand the assumptions rather than simply reperform the spreadsheet calculation. 7. Inventory Existence and Condition
Inventory existence can itself become a KAM where stock is geographically dispersed, stored with third parties, held in consignment arrangements or difficult to count because of its physical characteristics. Industries involving bulk commodities, precious materials, work in progress or large numbers of warehouses can require substantial audit effort. Condition is equally important because damaged or unusable inventory may physically exist without supporting the recorded value.


The auditor should design attendance procedures around the actual risk profile of the population rather than merely visit the largest warehouse. Third-party confirmations, roll-forward or roll-back procedures, testing of movements during counts and consideration of goods in transit may be necessary. Differences between perpetual inventory records and physical quantities should be investigated for both error and potential fraud implications.


8. Impairment of Property, Plant and Equipment
Property, plant and equipment frequently becomes a KAM when declining profitability, excess capacity, technological change, plant closures or adverse commodity prices indicate that carrying amounts may not be recoverable. The estimate commonly relies on forecasts extending many years into the future, making the conclusion highly sensitive to management's assumptions.


Auditors should assess whether impairment indicators have been identified completely and challenge projected production volumes, selling prices, operating margins, capital expenditure and discount rates. The allocation of assets to cash-generating units may itself require judgment. When actual performance has repeatedly fallen below previous budgets, greater skepticism toward current forecasts is warranted. Impairment remained one of the two most common UK inspection finding areas in 2025.


9. Investment Property Valuation
Investment property often becomes a KAM because a significant asset balance may be based largely on valuation models rather than historical cost. Market rent, occupancy, capitalisation rates, discount rates, comparable transactions and location-specific assumptions can materially influence fair value, particularly when transaction volumes are low or market conditions are volatile.
The use of an external valuer does not transfer responsibility away from either management or the auditor. Auditors should assess the valuer's competence, capabilities and objectivity, test the completeness and accuracy of data provided to the valuer and compare assumptions with external market evidence. The auditor's own valuation specialist may be necessary where the methodology is complex or the range of reasonable outcomes is wide.


10. Property Development and Other Real Estate Valuation
Property development differs from investment property because the accounting may depend on expected selling prices, remaining construction costs, project timing, absorption rates and development approvals. A project may appear profitable based on current budgets but become loss-making if completion costs rise or market demand weakens.


Auditors should examine project budgets, contracts, construction progress, subsequent sales and market comparisons. Cost allocation between individual projects and units also requires attention. Where management forecasts significant future price increases to support recoverability, the evidence supporting those assumptions should be independently challenged. The audit should establish that recognised property values reflect current economics, not simply the original investment case.


11. Business Combinations
Business combinations commonly become KAMs because they are significant, non-routine transactions involving several accounting judgments simultaneously. Determining the acquisition date, consideration transferred, acquired assets, assumed liabilities and goodwill can require extensive audit effort. Transactions completed near year-end can be especially challenging because valuation work and information may still be developing.


The auditor should understand the commercial rationale and contractual substance of the acquisition before assessing the accounting. Purchase agreements, board approvals and transaction structures should be examined carefully. The team must also consider whether all acquired liabilities have been identified, including contingent obligations. The issue is broader than verifying the payment: does the accounting faithfully represent what the group actually acquired and assumed?


12. Purchase Price Allocation
Purchase price allocation frequently becomes a KAM because management must estimate fair values for assets that may never previously have been recognised separately, such as customer relationships, brands or proprietary technology. These valuations often depend on assumptions concerning customer attrition, royalty rates, future revenue, margins and useful lives.


Auditors typically need valuation expertise to assess the selected methodology and assumptions. Forecasts should be consistent with information used to approve the acquisition and with subsequent operating expectations. A residual amount classified as goodwill should also be considered critically: an unusually large goodwill balance may indicate that identifiable intangible assets or liabilities have not been properly recognised.


13. Contingent Consideration
Earn-outs and other contingent consideration arrangements can become KAMs because the liability or asset is determined by uncertain future performance. Forecast revenue, EBITDA, milestone achievement or share prices may affect valuation, creating incentives for management to adopt assumptions that support a preferred acquisition accounting outcome.


Auditors should examine the contractual formula, forecast assumptions, probability-weighted scenarios and discounting methodology. Actual performance after acquisition provides useful evidence about the reliability of management forecasts. Particular care is required when changes in the liability affect current-period profit because management bias can influence both valuation and reported earnings.


14. Deferred Tax Assets
Deferred tax assets become KAMs when recognition depends on sufficient future taxable profits. This is especially judgmental where the entity has recent losses, volatile earnings or long-dated tax losses. A mechanically correct tax calculation does not establish recoverability if the future profit assumptions are unrealistic.
Auditors should compare taxable-profit forecasts with board-approved budgets, historical forecasting accuracy and assumptions used in impairment or going-concern assessments. Relevant expiry periods and restrictions on utilisation should be considered. If management assumes weak performance for impairment but strong taxable profits to support deferred tax assets, the inconsistency must be explained and supported.


15. Uncertain Tax Positions
Uncertain tax positions become KAMs where accounting depends on interpretation of complex or disputed tax rules. Transfer pricing, permanent establishment, withholding taxes, deductibility and cross-border transactions may involve outcomes that cannot be determined from accounting records alone.


The auditor should understand the underlying transaction and legal position, examine correspondence with tax authorities and evaluate advice from appropriate specialists. Management's probability assessment must be challenged rather than accepted because an external adviser prepared the analysis. The auditor should also consider whether multiple individually small exposures create a material aggregate risk.


16. Tax Litigation and Disputes
A major tax dispute may become a KAM because both the probability of loss and the amount ultimately payable can be highly uncertain. Proceedings may extend for years, while court decisions or administrative developments after the reporting date can materially alter the assessment.


The auditor should inspect assessment notices, objections, legal submissions and advice from tax specialists and consider developments through the auditor-report date. Management's history of successfully or unsuccessfully defending similar positions may also be relevant. The audit must assess both recognition and disclosure, because even where no liability is recorded, transparent disclosure of significant uncertainty may be necessary.


17. Provisions and Significant Estimates
Provisions frequently become KAMs because their measurement depends on uncertain future events. Management must estimate probability, timing and amount, often using incomplete data or broad ranges of possible outcomes. This creates significant scope for bias, particularly when changes in the provision directly affect profit.


Auditors should identify the assumptions that have the greatest effect on the estimate and obtain evidence specifically addressing those assumptions. Historical settlement experience, subsequent events and external information should be compared with management's model. PCAOB staff has identified contingent liabilities as an example of accounting estimates that can represent areas of elevated audit risk.


18. Litigation and Legal Claims
Litigation becomes a KAM when the outcome could materially affect the financial statements and legal facts are complex or uncertain. The audit challenge is not limited to estimating a recorded liability; it also includes identifying claims that management may not have recognised or communicated fully.


Auditors should reconcile legal matters across management inquiries, board minutes, regulatory correspondence and external legal confirmations. Responses from lawyers need to be read critically rather than treated as automatic evidence. Where legal advisers use cautious or conditional language, additional discussion may be necessary to understand the implications for recognition and disclosure.


19. Contingent Liabilities
Contingent liabilities become KAMs when potentially significant obligations are not recognised because management believes an outflow is not probable or cannot be reliably measured. The classification itself can therefore be the principal judgment.


Auditors should challenge how management determined the likelihood of the outcome, whether all relevant facts were considered and whether circumstances have changed since prior periods. Disclosure should explain the nature and financial uncertainty sufficiently for users to understand the exposure. A matter does not become low-risk merely because it sits in a note rather than on the balance sheet.


20. Going Concern
Going concern can be one of the most consequential KAM-related audit areas because it involves the entity's ability to meet obligations and continue operating. Losses alone do not prove that a going-concern problem exists, while reported profits do not eliminate liquidity risk. Debt maturity, covenant compliance, cash generation, refinancing and shareholder support may be more important than accounting profit.


Auditors should stress-test management's cash-flow forecasts, assess forecast accuracy and examine whether mitigating actions are feasible and within management's control. Plans dependent on lenders, shareholders, asset purchasers or capital markets require evidence concerning those third parties. Research on 2025 auditor reports continues to identify going-concern uncertainty as an important reporting issue, especially in higher-risk sectors.


21. Debt Covenants
Debt covenants can become KAMs because compliance may determine whether debt becomes repayable on demand, affect liability classification and create going-concern implications. Calculations may use contractual definitions of EBITDA, net debt or other measures that differ from ordinary accounting amounts.


Auditors should read the actual loan agreements and independently recalculate significant covenants rather than relying on management schedules. Amendments, waivers and cure periods must be assessed according to their timing and legal effect. Where compliance is achieved only narrowly, assumptions or adjustments within the covenant calculation deserve heightened scrutiny.


22. Refinancing Arrangements
Refinancing becomes a KAM where the entity's liquidity or going-concern conclusion depends substantially on obtaining new funding. Management may be confident that refinancing will occur, but negotiations or indicative term sheets are not equivalent to committed funding.


Auditors should assess executed agreements, conditions precedent, lender correspondence and the entity's ability to satisfy outstanding conditions. Alternative financing sources should also be considered if the main plan fails. The key distinction is between management intention and demonstrable financing capacity.


23. Classification of Borrowings
Borrowing classification may become significant where current/non-current presentation depends on covenant compliance, refinancing rights or contractual provisions at the reporting date. A classification error can materially change liquidity indicators even though total liabilities remain unchanged.


Auditors should evaluate the entity's rights under the agreement as of the reporting date and assess the effect of waivers or amendments in accordance with the applicable framework. The substance and timing of contractual rights matter more than management's expectation that the lender will not demand repayment.


24. Fair Value of Financial Instruments
Fair-value measurement becomes a KAM when market prices are unavailable or instruments are complex. Valuation may depend on yield curves, credit spreads, volatility, correlations, discount rates and other model inputs. The greater the use of unobservable assumptions, the greater the potential range of reasonable values.


Auditors should evaluate model design, source data, independent price verification and valuation adjustments. Specialist involvement may be necessary, but specialists do not eliminate engagement-team responsibility. A model can be technically sound while still producing an unreasonable value because the selected assumptions are inappropriate.


25. Level 3 Financial Instruments
Level 3 instruments deserve specific attention because significant inputs are not observable directly in active markets. Management may therefore have substantial discretion over assumptions, creating heightened estimation uncertainty and risk of bias.


Auditors should understand why a particular valuation technique is appropriate, assess alternative reasonable assumptions and evaluate whether the disclosures adequately communicate valuation uncertainty and sensitivity. Transactions close to year-end or valuations based heavily on management forecasts require particular skepticism.


26. Derivatives
Derivative instruments can become KAMs because their contractual features and valuation are often complex and their notional amounts may be much larger than recognised balance-sheet amounts. Completeness can also be a significant risk where treasury activities are decentralised.


Auditors should confirm material contracts with counterparties, test valuation inputs and ensure all derivative positions are captured. Collateral and netting arrangements should also be understood. Where derivatives are used for risk management, the audit should connect accounting records with the entity's actual treasury strategy.


27. Hedge Accounting
Hedge accounting may become a KAM because qualification depends on more than fair value. Formal designation, risk-management objectives, eligible hedged items and effectiveness requirements must all be satisfied.


Auditors should inspect hedge documentation from inception, test effectiveness and assess whether changes in the economic relationship require discontinuation or modification of hedge accounting. Failure to satisfy the technical requirements can materially alter the timing and presentation of gains and losses.


28. Investments in Subsidiaries
Investments in subsidiaries can become KAMs in separate financial statements where carrying amounts are large and subsidiary performance has weakened. Recoverability may depend on the same future cash flows that support goodwill in the consolidated accounts.


Auditors should use knowledge obtained from the group audit when evaluating the parent's impairment assessment. Net assets alone may not provide sufficient evidence if significant goodwill, debt or future losses exist. The audit should also consider whether intra-group funding arrangements affect recoverability.


29. Investments in Associates
Associates may become KAMs because the investor has significant influence but not control, which may restrict access to information. Equity-accounting amounts depend on reliable financial information from the investee, while impairment may depend on uncertain forecasts or market valuations.


Auditors should evaluate the quality and timing of investee financial information, significant accounting-policy differences and impairment indicators. Where the investee itself is exposed to significant financial difficulty, the recoverability of both the investment and related receivables should be assessed together.


30. Joint Ventures
Joint ventures can become KAMs where complex contractual arrangements determine whether joint control exists and how economic interests should be accounted for. Guarantees, funding commitments or off-balance-sheet obligations may also increase audit attention.


Auditors should read governing agreements and understand how strategic decisions are made in practice. The accounting conclusion should follow substantive rights rather than contractual labels. Valuation and impairment may also become significant where the venture is loss-making or dependent on continued shareholder funding.


31. Other Investments
Other investments become KAMs where valuation is uncertain, ownership structures are complex or markets are illiquid. Large European datasets show that investment-related KAMs extend well beyond conventional listed securities.


Auditors should distinguish quoted instruments from investments requiring models or net-asset approaches. Restrictions on disposal, minority positions, control premiums and marketability discounts may all be relevant. The audit should also evaluate whether the classification selected by management is consistent with the economic characteristics of the investment.


32. Pension Obligations
Defined-benefit pension obligations become KAMs because liabilities can be highly sensitive to discount rates, inflation, salary growth, mortality and employee behaviour. Small assumption changes can produce large balance-sheet movements.


Auditors should test membership data and evaluate actuarial assumptions against market information. They should also assess management's actuarial expert and generally involve appropriate specialists where the scheme is material. The relationship between pension assets, liabilities and any recognised surplus deserves particular attention.


33. Other Post-Employment Benefits
Healthcare and other post-employment obligations may involve even longer-duration assumptions than pensions and can be particularly sensitive to medical-cost inflation and demographic trends.


Auditors should understand benefit-plan terms, test participant data and challenge assumptions using relevant external benchmarks. Plan amendments, closures or changes in employee behaviour may make historical experience less predictive. Long-duration estimates require careful consideration of the range of reasonably possible outcomes.


34. Share-Based Payments
Share-based payments become KAMs where valuation models, vesting conditions and performance targets are complex or compensation is material. Market conditions and non-market conditions may have different accounting consequences.


Auditors should inspect the underlying award agreements rather than rely solely on HR schedules. Expected volatility, award life and performance assumptions need testing, while modifications and cancellations require careful accounting. The audit should also consider completeness because decentralised award programmes can be difficult to capture.


35. Executive Compensation Arrangements
Executive remuneration can become a KAM where complex incentive arrangements require valuation or where performance metrics create significant financial-reporting incentives. Bonus thresholds linked to revenue, EBITDA or share price can increase fraud-risk considerations elsewhere in the audit.


Auditors should understand the economic terms, approval process and accounting for bonuses, deferred compensation and performance awards. The matter should also feed into the broader assessment of management bias and incentives rather than being treated purely as a payroll calculation.


36. Capitalised Development Costs
Development expenditure becomes a KAM because capitalisation increases current-period profit and depends on demonstrating that specific recognition criteria have been met. Management may need to establish technical feasibility, intention and ability to complete the project and probable future economic benefits.
Auditors should determine the point at which capitalisation began, test expenditure to underlying projects and challenge forecasts supporting future benefits. A project being strategically important does not automatically mean its costs qualify for asset recognition.


37. Internally Developed Software
Internally developed software may involve large project teams and costs spread across research, implementation, maintenance and development activities. Determining which costs qualify for capitalisation can therefore be highly judgmental.


Auditors should examine project phases, time records, vendor invoices and management approvals and distinguish enhancements from ordinary maintenance. Useful lives and impairment should also be reconsidered when software architecture or business strategy changes.


38. Research and Development Expenditure
Research and development becomes important in pharmaceutical, biotechnology and technology companies where large expenditures precede uncertain commercial outcomes. The accounting treatment may depend on whether technical and commercial feasibility has reached the required threshold.


Auditors should understand the project's regulatory and technical status and avoid relying solely on management's optimism about commercial success. Acquired development projects may also require impairment assessment where clinical, regulatory or market expectations deteriorate.


39. Exploration and Evaluation Assets
Exploration and evaluation assets frequently dominate mining-sector KAM reporting because significant expenditure may remain capitalised while the existence of commercially recoverable resources is still uncertain. Australian research on 2025 reporting confirms the exceptional prominence of this topic in mining audits.


Auditors should assess licence rights, exploration results, planned expenditure, available financing and whether management intends and is able to continue exploration. Failure to obtain financing or adverse geological results can be important impairment indicators.


40. Mineral Reserve Estimates
Mineral reserves can become KAMs because estimates influence asset impairment, depreciation, mine lives and restoration obligations. They depend on geological information, extraction technology, commodity prices and future operating costs.


Auditors often require geological or engineering specialists and should understand changes from prior estimates. A reserve estimate should not be audited as a stand-alone technical report; the auditor must trace how changes affect related financial-statement assumptions.


41. Oil and Gas Reserve Estimates
Oil and gas reserves have similar characteristics but may be particularly sensitive to energy prices, extraction economics, licence terms and transition risks. Reserve revisions can materially affect depreciation and impairment.


Auditors should assess the competence of reserve specialists, evaluate relevant price assumptions and reconcile reserve information with production data and business plans. Significant inconsistency between reserve assumptions and impairment forecasts requires investigation.


42. Decommissioning Obligations
Decommissioning liabilities can become KAMs because payment may occur decades in the future while the current liability depends on estimates of future engineering work, inflation, timing and discount rates.


Auditors should understand legal and contractual obligations and evaluate engineering cost estimates. Changes in regulation or technology may significantly affect the expected cost. Because discounting can have a major effect on long-term liabilities, both timing and discount-rate assumptions require careful challenge.


43. Environmental Restoration Provisions
Environmental remediation obligations may be uncertain in both scope and cost. Contaminated sites, mine rehabilitation and industrial clean-up can require technical assessments and may be affected by changing environmental regulation.


Auditors should evaluate legal obligations, technical studies and expected remediation methods. Completeness is particularly important where historical operations created obligations not captured in current operational systems. Climate and environmental developments can also alter expected timing and cost.


44. Insurance Contract Liabilities
Insurance liabilities become KAMs because they may represent the largest and most judgmental balances in an insurer's financial statements. Measurement can require assumptions about mortality, morbidity, policyholder behaviour, expenses and discount rates.


Auditors should test underlying policy and claims data, assess model governance and challenge actuarial assumptions. Significant specialist involvement is usually required, but the engagement team must still understand how the estimates affect the financial statements and whether contradictory evidence exists.


45. Claims Reserves
Claims reserves may become KAMs where settlement takes several years and ultimate claim amounts remain uncertain. Historical development patterns may no longer be predictive when inflation, litigation trends or policy terms change.

Complex multinational group audits can require substantial auditor attention because sufficient appropriate evidence must be assembled from different jurisdictions, accounting environments and component auditors. The risks include inappropriate scoping, inadequate component materiality, inconsistent procedures and insufficient group-auditor involvement. FRC inspection findings increased in the area of group-audit oversight during the 2025 cycle.

The group auditor must understand where significant risks reside, direct and supervise component work and critically evaluate the evidence obtained rather than merely collect component reporting packages. The key question is whether the group engagement partner has sufficient involvement and persuasive evidence to take responsibility for the group audit opinion.

What the Global Top 100 Tells Auditors
Viewed together, the Top 100 reveals a consistent principle: KAMs are not simply the largest balances in the financial statements. A large, straightforward cash balance may require less significant auditor judgment than a much smaller but highly uncertain litigation exposure. A matter tends to become a KAM when financial significance intersects with higher risk, estimation uncertainty, management judgment, unusual transactions, specialised knowledge or difficult audit evidence. This is consistent with both ISA 701's significant-auditor-attention framework and the PCAOB's CAM criteria concerning especially challenging, subjective or complex auditor judgment.


Another clear conclusion is the dominance of accounting estimates. Revenue estimates, credit losses, impairments, fair values and contingent liabilities all require judgments about information that is incomplete at the reporting date. PCAOB staff observed in 2025 that such estimates are pervasive and frequently represent some of the greatest risks in an audit.


This produces an important distinction for audit execution:
Reperforming management's calculation is not the same as auditing management's judgment.

A discounted cash-flow model can be mathematically perfect while its revenue forecast is unrealistic. An expected-credit-loss model can operate exactly as designed while macroeconomic assumptions are biased. An inventory provision can reconcile perfectly to the ledger while expected customer demand has little supporting evidence.

Regulatory findings reinforce this lesson. The UK FRC's 2025 review states that revenue and impairment continue to be its most common inspection finding areas. Revenue findings included weaknesses in contract accounting, substantive analytics, sales rebates and cut-off, while impairment findings frequently involved insufficient evaluation and challenge of key assumptions. Inventory and group-audit oversight also showed increased findings.

For this reason, the Top 100 should never be converted mechanically into a KAM checklist. ISA 701 requires the auditor to begin with matters communicated with those charged with governance, identify those requiring significant auditor attention and then determine which were of most significance in the current-period audit.

A prior-year KAM should therefore not automatically remain a current-year KAM. The auditor should reconsider changes in business conditions, systems, transactions, assumptions, internal controls and the availability or persuasiveness of audit evidence. Conversely, a relatively small balance may become a KAM because it involves an unusual transaction, significant fraud risk or highly complex judgment.

A high-quality KAM should ultimately answer three questions:
Why was the matter significant? What made the audit particularly challenging or judgmental? How did the auditor respond?

The best KAM disclosures are therefore entity-specific. Generic descriptions such as "we tested management's assumptions and inspected supporting documentation" provide limited informational value unless the report explains which assumptions mattered, why they were uncertain and what the auditor did to address that uncertainty.

The Top 100 also illustrates a defining feature of modern auditing: many of the hardest audit conclusions depend on future events that have not yet occurred when the auditor signs the report.
Credit losses depend on future defaults. Goodwill depends on future cash flows. Inventory depends on future saleability. Property valuations depend on future rents and yields. Deferred tax assets depend on future taxable profits. Legal provisions depend on future outcomes of claims. Going concern depends on future liquidity. Climate risks may influence future demand, asset lives and environmental costs.

Technology, data analytics and artificial intelligence can substantially enhance audit execution. They can analyse entire populations, identify unusual transactions and compare assumptions with large external datasets.

They cannot eliminate uncertainty.
The auditor must still determine whether the information is reliable, whether management's assumptions are reasonable, whether contradictory evidence has been considered and whether the total evidence is sufficient and appropriate.

Across the Global Top 100, the common denominator can therefore be expressed as:

materiality + uncertainty + professional judgment + quality of audit evidence.

That combination explains why broadly similar KAMs continue to emerge across countries, accounting frameworks and industries—and why professional skepticism, experienced judgment and the ability to challenge management remain central to high-quality auditing.

ปัจจุบันไม่มีฐานข้อมูลทางการชุดเดียวที่นำ KAM หรือ CAM ของบริษัทจดทะเบียนทุกแห่งทั่วโลกในปี 2568 มาจัดอันดับด้วยหลักเกณฑ์เดียวกัน ดังนั้น Top 100 ในบทความนี้จึงเป็น การสังเคราะห์ประเด็นที่พบซ้ำในตลาดทุนหลายแห่ง ไม่ใช่อันดับทางสถิติที่สามารถตีความได้อย่างเคร่งครัดตั้งแต่อันดับ 1 ถึง 100 โดยลำดับต้นจะเป็นเรื่องที่พบกว้างในหลายอุตสาหกรรม ก่อนที่จะค่อย ๆ ขยายไปยังเรื่องเฉพาะอุตสาหกรรม ธุรกรรม และความเสี่ยงใหม่

ฐานข้อมูลที่ใช้ประกอบการวิเคราะห์มีขนาดใหญ่ งานวิจัยยุโรปชุดหนึ่งศึกษาข้อความ KAM 17,241 เรื่องจากบริษัท 2,178 แห่ง ขณะที่อีกงานหนึ่งใช้ข้อมูล Audit Analytics Europe ครอบคลุม KAM 50,568 เรื่องจากบริษัทจดทะเบียนยุโรป 4,513 แห่ง และจำแนกออกเป็นหัวข้อจำนวนมาก ตั้งแต่รายได้ ค่าความนิยม ลูกหนี้ สินค้าคงเหลือ ภาษี ประมาณการหนี้สิน ระบบสารสนเทศ ระบบควบคุม การรวมธุรกิจ ไปจนถึงโครงสร้างกลุ่มกิจการ


ข้อมูลล่าสุดยังสนับสนุนรูปแบบดังกล่าว งานวิเคราะห์บริษัทจดทะเบียนออสเตรเลียและนิวซีแลนด์สำหรับรอบรายงานปี 2568 พบว่าการรับรู้รายได้และการด้อยค่าของสินทรัพย์ยังคงเป็น KAM หลัก ขณะที่ผลการตรวจคุณภาพของ FRC ในสหราชอาณาจักรปี 2568 ยังคงพบข้อบกพร่องด้านรายได้และการด้อยค่ามากที่สุด


อีกลักษณะหนึ่งที่เห็นได้ชัดคือ KAM จำนวนมากเกี่ยวข้องกับ ประมาณการทางบัญชี PCAOB ระบุในเดือนพฤษภาคม 2568 ว่าประมาณการพบได้ทั่วไปในงบการเงินและมักเป็นหนึ่งในพื้นที่ที่มีความเสี่ยงสูง เพราะประกอบด้วยสมมติฐานที่เป็นอัตวิสัย ความไม่แน่นอนในการวัดมูลค่า วิธีการที่ซับซ้อน และโอกาสเกิดความลำเอียงของฝ่ายบริหาร

1. การรับรู้รายได้
การรับรู้รายได้มักกลายเป็น KAM เพราะเป็นบริเวณที่ความมีสาระสำคัญ ปริมาณธุรกรรม ความซับซ้อนของสัญญา ความเสี่ยงในการตัดรอบบัญชี การพึ่งพาระบบสารสนเทศ และแรงจูงใจของฝ่ายบริหารมาบรรจบกันในรายการเดียว แม้ธุรกิจจะมีรูปแบบการขายที่ดูไม่ซับซ้อน แต่การมีเงื่อนไขส่วนลด สิทธิคืนสินค้า สิ่งตอบแทนผันแปร ภาระตามสัญญาหลายรายการ หรือธุรกรรมจำนวนมากใกล้วันสิ้นงวดสามารถทำให้การตรวจสอบต้องใช้ดุลยพินิจสูงได้ ผลการตรวจคุณภาพของ FRC ในปี 2568 ยังพบรายได้เป็นพื้นที่ที่เกิดข้อบกพร่องบ่อยที่สุดกลุ่มหนึ่ง
ผู้สอบบัญชีจึงไม่ควรหยุดเพียงการตรวจใบแจ้งหนี้หรือหลักฐานรับเงิน แต่ควรเชื่อมโยง สัญญา → คำสั่งซื้อ → การส่งมอบหรือให้บริการ → การออกใบแจ้งหนี้ → การรับเงิน → การบันทึกบัญชี เข้าด้วยกัน ควรให้ความสนใจเป็นพิเศษกับรายการปลายงวด เงื่อนไขผิดปกติ รายการปรับปรุงด้วยมือ และธุรกรรมที่ไม่สามารถอธิบายเหตุผลทางธุรกิจได้อย่างชัดเจน คำถามหลักคือ รายได้เกิดจากกิจกรรมทางเศรษฐกิจจริง วัดจำนวนถูกต้อง และรับรู้ในงวดที่เหมาะสมหรือไม่

2. การด้อยค่าของค่าความนิยม
ค่าความนิยมมักเป็น KAM เพราะมูลค่าตามบัญชีไม่ได้มีสินทรัพย์ทางกายภาพหรือราคาตลาดโดยตรงมารองรับ แต่ขึ้นอยู่กับความสามารถของธุรกิจที่ซื้อมาในการสร้างกระแสเงินสดในอนาคต ฝ่ายบริหารจึงต้องใช้ประมาณการรายได้ อัตรากำไร อัตราการเติบโตระยะยาว มูลค่าปลายงวด และอัตราคิดลด การเปลี่ยนสมมติฐานบางตัวเพียงเล็กน้อยอาจทำให้ผลทดสอบเปลี่ยนจากไม่มีการด้อยค่าเป็นต้องรับรู้ผลขาดทุนจำนวนมาก จึงมีทั้งความไม่แน่นอนของประมาณการและความเสี่ยงจากความลำเอียงของฝ่ายบริหาร

ผู้สอบบัญชีควรประเมินกระบวนการจัดทำประมาณการ ไม่ใช่เพียงตรวจสูตรในแบบจำลอง ควรนำประมาณการของปีก่อนมาเปรียบเทียบกับผลจริง ตรวจความสอดคล้องกับงบประมาณที่คณะกรรมการอนุมัติ ท้าทายอัตราการเติบโตและอัตรากำไรด้วยข้อมูลตลาด และวิเคราะห์ความอ่อนไหวเมื่อส่วนเผื่อของมูลค่ามีน้อย คำถามสำคัญคือ ความคาดหวังเกี่ยวกับผลการดำเนินงานในอนาคตมีหลักฐานน่าเชื่อถือเพียงพอที่จะรองรับมูลค่าค่าความนิยมหรือไม่

3. การด้อยค่าของสินทรัพย์ไม่มีตัวตน
สินทรัพย์ไม่มีตัวตน เช่น ความสัมพันธ์กับลูกค้า เครื่องหมายการค้า สิทธิบัตร ใบอนุญาต และเทคโนโลยี สามารถเป็น KAM ได้ด้วยเหตุผลใกล้เคียงกับค่าความนิยม แต่ยังมีประเด็นเพิ่มเติมเรื่องอายุการให้ประโยชน์และการล้าสมัย เทคโนโลยีใหม่ การสูญเสียลูกค้ารายใหญ่ การเปลี่ยนแปลงกฎหมาย หรือพฤติกรรมของผู้บริโภคอาจทำให้มูลค่าทางเศรษฐกิจลดลงเร็วกว่าที่ฝ่ายบริหารเคยคาดการณ์

ผู้สอบบัญชีต้องพิจารณาว่าฝ่ายบริหารระบุตัวบ่งชี้การด้อยค่าได้ครบถ้วนหรือไม่ สมมติฐานเกี่ยวกับการรักษาลูกค้า อายุเทคโนโลยี การต่ออายุใบอนุญาต และอายุการใช้ประโยชน์มีเหตุผลหรือไม่ หากใช้วิธีประเมินมูลค่าที่ซับซ้อน การใช้ผู้เชี่ยวชาญอาจจำเป็น แต่การมีผู้เชี่ยวชาญไม่ได้ทำให้ผู้สอบบัญชีสามารถละเว้นการทำความเข้าใจเหตุผลทางธุรกิจที่อยู่เบื้องหลังตัวเลขได้

4. ผลขาดทุนด้านเครดิตที่คาดว่าจะเกิดขึ้น
ผลขาดทุนด้านเครดิตมักเป็น KAM ในธนาคาร บริษัทการเงิน และกิจการที่มีสินทรัพย์ทางการเงินจำนวนมาก เพราะการคำนวณไม่ได้อาศัยเพียงข้อมูลการผิดนัดในอดีต แต่ต้องสะท้อนสถานการณ์ปัจจุบันและแนวโน้มเศรษฐกิจในอนาคต แบบจำลองอาจมีความน่าจะเป็นในการผิดนัด ความเสียหายเมื่อผิดนัด จำนวนเงินที่มีความเสี่ยง สถานการณ์เศรษฐกิจ และการปรับประมาณการเพิ่มเติมโดยฝ่ายบริหาร การเปลี่ยนน้ำหนักหรือสมมติฐานบางรายการสามารถทำให้ค่าเผื่อเปลี่ยนอย่างมีสาระสำคัญ

ผู้สอบบัญชีต้องตรวจมากกว่าการคำนวณซ้ำ โดยต้องประเมิน คุณภาพข้อมูล วิธีการ แบบจำลอง การจัดชั้นสินเชื่อ สมมติฐานเศรษฐกิจ และการปรับโดยฝ่ายบริหาร โดยเฉพาะการปรับที่อยู่นอกแบบจำลองหลักซึ่งมักมีดุลยพินิจสูง PCAOB ระบุค่าเผื่อผลขาดทุนด้านเครดิตเป็นตัวอย่างสำคัญของประมาณการที่มีความไม่แน่นอนและต้องใช้การสังเกตและสงสัยเยี่ยงผู้ประกอบวิชาชีพในระดับสูง

5. ความสามารถในการเรียกเก็บลูกหนี้การค้า
ลูกหนี้การค้าสามารถกลายเป็น KAM ได้เมื่อยอดมีจำนวนมาก ลูกหนี้ค้างชำระเป็นเวลานาน ลูกค้ากระจุกตัว หรือภาวะเศรษฐกิจทำให้ความสามารถในการชำระหนี้ลดลง ประเด็นสำคัญแตกต่างจากการตรวจการมีอยู่ เพราะแม้ลูกค้าจะยืนยันว่ามียอดหนี้จริง ก็ไม่ได้หมายความว่าลูกค้าจะมีเงินเพียงพอที่จะชำระ การยืนยันยอดจึงตอบคำถามเรื่องการมีอยู่ได้บางส่วน แต่ไม่ได้ตอบเรื่องความสามารถในการได้รับคืน

ผู้สอบบัญชีควรพิจารณาอายุลูกหนี้ การรับเงินหลังวันสิ้นงวด ข้อพิพาท ใบลดหนี้ ประวัติการชำระ และสถานะทางการเงินของลูกค้า หากกิจการยังคงขายสินค้าเพิ่มให้ลูกค้าที่ค้างชำระนาน ควรทำความเข้าใจเหตุผลทางธุรกิจเพิ่มเติม นอกจากนี้ วิธีตั้งค่าเผื่อควรสะท้อนสถานการณ์ปัจจุบัน ไม่ใช่นำอัตราการสูญเสียในอดีตมาใช้โดยอัตโนมัติ คำถามสำคัญจึงไม่ใช่เพียง “ลูกหนี้มีจริงหรือไม่” แต่คือ “จำนวนที่บันทึกไว้สามารถเรียกเก็บได้จริงเพียงใด”

6. การตีราคาสินค้าคงเหลือและสินค้าล้าสมัย
สินค้าคงเหลือเป็น KAM ที่พบมากในธุรกิจผลิต ค้าปลีก เทคโนโลยี และสินค้าโภคภัณฑ์ เพราะการมีสินค้าจริงไม่ได้หมายความว่ามูลค่าตามบัญชีเหมาะสมเสมอไป สินค้าอาจเคลื่อนไหวช้า ตกรุ่น เสียหาย หรือมีราคาขายลดลงต่ำกว่าต้นทุน ขณะที่การผลิตต่ำกว่ากำลังการผลิตปกติอาจทำให้ต้นทุนต่อหน่วยและการปันส่วนค่าใช้จ่ายมีความซับซ้อนเพิ่มขึ้น

ผู้สอบบัญชีควรวิเคราะห์อายุและอัตราการหมุนเวียน ตรวจราคาขายหลังวันสิ้นงวด พิจารณาวงจรชีวิตของสินค้า ประมาณการความต้องการ และวิธีตั้งค่าเผื่อของฝ่ายบริหาร หากใช้ระบบต้นทุนมาตรฐาน ต้องพิจารณาทั้งความถูกต้องของมาตรฐานและการปันส่วนค่าใช้จ่ายการผลิต การกระทบยอดสูตรในตารางค่าเผื่อได้ถูกต้องจึงยังไม่เพียงพอ หากสมมติฐานเกี่ยวกับความต้องการในอนาคตไม่มีหลักฐานรองรับ ผลการตรวจของ FRC ปี 2568 ยังพบข้อสังเกตเรื่องการตรวจสินค้าคงเหลือเพิ่มขึ้นด้วย

7. การมีอยู่และสภาพของสินค้าคงเหลือ
การมีอยู่ของสินค้าสามารถเป็น KAM แยกต่างหากได้ หากสินค้ากระจายอยู่หลายสถานที่ เก็บไว้กับบุคคลภายนอก อยู่ระหว่างทาง หรือเป็นสินค้าที่นับได้ยาก เช่น ของเหลว สินค้าเทกอง โลหะมีค่า หรือสินค้าระหว่างผลิต ในบางกิจการจำนวนสถานที่เก็บสินค้ามีมากจนการเลือกสถานที่เข้าร่วมตรวจนับต้องใช้ดุลยพินิจอย่างมีนัยสำคัญ

ผู้สอบบัญชีควรออกแบบการเข้าร่วมตรวจนับตามความเสี่ยงของประชากร ไม่ใช่เลือกเฉพาะคลังที่มียอดสูงสุด ต้องพิจารณาสินค้าที่บุคคลภายนอกถือแทน สินค้าระหว่างทาง การเคลื่อนไหวระหว่างการตรวจนับ และผลต่างระหว่างระบบกับจำนวนจริง สภาพของสินค้าก็สำคัญ เพราะสินค้าที่มีอยู่จริงแต่เสียหายหรือใช้ไม่ได้ย่อมเชื่อมโยงกลับไปสู่ความเสี่ยงด้านมูลค่า

8. การด้อยค่าของที่ดิน อาคาร และอุปกรณ์
สินทรัพย์ถาวรอาจกลายเป็น KAM เมื่อกิจการมีผลการดำเนินงานลดลง ใช้กำลังการผลิตต่ำ มีโรงงานหยุดดำเนินงาน หรือได้รับผลกระทบจากเทคโนโลยีและตลาดที่เปลี่ยนแปลง รายการเหล่านี้มักมีมูลค่าสูงและการประเมินจำนวนที่จะได้รับคืนต้องพึ่งกระแสเงินสดในอนาคต จึงเกิดความไม่แน่นอนในระดับสูง

ผู้สอบบัญชีควรพิจารณาว่าตัวบ่งชี้การด้อยค่าถูกระบุครบหรือไม่ และท้าทายสมมติฐานเกี่ยวกับปริมาณการผลิต ราคาขาย อัตรากำไร เงินลงทุนในอนาคต และอัตราคิดลด การจัดกลุ่มสินทรัพย์เพื่อทดสอบการด้อยค่าอาจมีผลต่อข้อสรุปอย่างมาก จึงไม่ควรมองข้าม หากผลจริงต่ำกว่างบประมาณต่อเนื่องหลายปี การประมาณปีปัจจุบันยิ่งต้องได้รับการท้าทายเข้มข้นขึ้น การด้อยค่ายังคงเป็นหนึ่งในพื้นที่ข้อบกพร่องหลักของ FRC ในปี 2568

9. การประเมินมูลค่าอสังหาริมทรัพย์เพื่อการลงทุน
อสังหาริมทรัพย์เพื่อการลงทุนมักเป็น KAM เมื่อมูลค่าในงบขึ้นอยู่กับแบบจำลองประเมินราคา โดยสมมติฐาน เช่น ค่าเช่า อัตราการใช้พื้นที่ อัตราผลตอบแทน อัตราคิดลด และธุรกรรมเปรียบเทียบสามารถทำให้มูลค่าเปลี่ยนอย่างมีสาระสำคัญ ความเสี่ยงสูงขึ้นเมื่อปริมาณธุรกรรมในตลาดน้อยหรือสภาวะตลาดเปลี่ยนอย่างรวดเร็ว

การมีรายงานจากผู้ประเมินภายนอกไม่ได้ทำให้ความรับผิดชอบของฝ่ายบริหารหรือผู้สอบบัญชีลดลง ผู้สอบบัญชีต้องประเมินความรู้ความสามารถและความเป็นกลางของผู้ประเมิน ตรวจความถูกต้องของข้อมูลที่กิจการส่งให้ผู้ประเมิน และท้าทายสมมติฐานด้วยข้อมูลตลาดอิสระ ในกรณีที่มีความไม่แน่นอนสูง อาจต้องใช้ผู้เชี่ยวชาญของผู้สอบบัญชีเอง

10. การประเมินมูลค่าโครงการอสังหาริมทรัพย์และอสังหาริมทรัพย์อื่น
โครงการพัฒนาอสังหาริมทรัพย์มีความแตกต่างจากอสังหาริมทรัพย์เพื่อการลงทุน เพราะความสามารถในการได้รับคืนขึ้นอยู่กับต้นทุนก่อสร้างที่เหลือ ราคาขายในอนาคต ระยะเวลาก่อสร้าง อัตราการขาย และข้อกำหนดด้านผังเมืองหรือใบอนุญาต โครงการที่เคยคาดว่าจะมีกำไรสูงสามารถกลายเป็นโครงการขาดทุนได้หากต้นทุนเพิ่มหรือความต้องการลดลง

ผู้สอบบัญชีควรตรวจงบประมาณโครงการ สัญญาก่อสร้าง ความคืบหน้า ต้นทุนหลังวันสิ้นงวด ยอดขายจริง และราคาตลาดของโครงการเปรียบเทียบ การปันส่วนต้นทุนระหว่างแต่ละโครงการหรือแต่ละหน่วยอาจมีผลต่อกำไรอย่างมีสาระสำคัญเช่นกัน โดยแก่นของการตรวจคือการพิสูจน์ว่ามูลค่าที่แสดงสะท้อน สภาพเศรษฐกิจในปัจจุบัน ไม่ใช่เพียงประมาณการเดิมเมื่อเริ่มลงทุน

11. การรวมธุรกิจ
การซื้อกิจการมักกลายเป็น KAM เพราะเป็นธุรกรรมขนาดใหญ่ที่เกิดไม่บ่อยและรวมดุลยพินิจทางบัญชีหลายเรื่องไว้พร้อมกัน ผู้ซื้อกิจการต้องกำหนดวันที่ได้อำนาจควบคุม ราคาซื้อ สินทรัพย์ที่ได้รับ หนี้สินที่รับมา และค่าความนิยม หากธุรกรรมเกิดใกล้วันสิ้นงวด ความยากยิ่งเพิ่มขึ้นเพราะข้อมูลประเมินมูลค่าอาจยังไม่สมบูรณ์

ผู้สอบบัญชีควรเริ่มจากการเข้าใจเหตุผลและโครงสร้างทางธุรกิจของรายการ ก่อนพิจารณาวิธีบัญชี ต้องอ่านสัญญาซื้อกิจการ รายงานคณะกรรมการ และโครงสร้างการชำระเงิน รวมถึงพิจารณาว่ามีสินทรัพย์หรือหนี้สินที่ตกหล่นหรือไม่ การตรวจหลักฐานว่ามีการจ่ายเงินค่าซื้อกิจการถูกต้องเพียงอย่างเดียวไม่สามารถตอบได้ว่า กิจการได้รับอะไรและรับภาระอะไรเข้ามาจริง

12. การปันส่วนราคาซื้อกิจการ
การปันส่วนราคาซื้อมักเป็น KAM เพราะต้องนำราคาซื้อไปประเมินมูลค่าสินทรัพย์ที่เดิมอาจไม่เคยบันทึกแยก เช่น ความสัมพันธ์กับลูกค้า เครื่องหมายการค้า และเทคโนโลยี สมมติฐานเกี่ยวกับอัตราการสูญเสียลูกค้า อัตราค่าสิทธิ รายได้ อัตรากำไร และอายุการใช้ประโยชน์สามารถมีผลอย่างมากต่อมูลค่า

ผู้สอบบัญชีมักต้องใช้ผู้เชี่ยวชาญด้านการประเมินมูลค่า แต่ยังต้องตรวจความสมเหตุสมผลของข้อมูลทางธุรกิจด้วย ประมาณการควรสอดคล้องกับข้อมูลที่ฝ่ายบริหารใช้อนุมัติการซื้อกิจการ หากส่วนที่เหลือกลายเป็นค่าความนิยมจำนวนสูงผิดปกติ ผู้สอบบัญชีควรพิจารณาว่าสินทรัพย์ไม่มีตัวตนหรือหนี้สินบางรายการอาจยังไม่ได้รับการระบุอย่างครบถ้วน

13. สิ่งตอบแทนที่ขึ้นอยู่กับผลการดำเนินงานจากการซื้อกิจการ
การจ่ายเงินเพิ่มเติมตามยอดขาย กำไร หรือความสำเร็จของโครงการในอนาคตอาจกลายเป็น KAM เพราะการประเมินจำนวนเงินต้องพึ่งเหตุการณ์ที่ยังไม่เกิดขึ้น และการเปลี่ยนมูลค่าในภายหลังอาจกระทบกำไรขาดทุนโดยตรง ฝ่ายบริหารจึงอาจมีแรงจูงใจในการเลือกสมมติฐานบางแนวทาง

ผู้สอบบัญชีควรตรวจสูตรในสัญญา ความน่าจะเป็นของแต่ละสถานการณ์ ประมาณการทางธุรกิจ และอัตราคิดลด ผลการดำเนินงานจริงหลังซื้อกิจการยังเป็นหลักฐานสำคัญในการประเมินความน่าเชื่อถือของประมาณการ การตรวจจึงไม่ควรจบที่การคำนวณตามแบบจำลอง แต่ต้องประเมินว่าผลลัพธ์ที่ฝ่ายบริหารคาดไว้มีความเป็นไปได้เพียงใด

14. สินทรัพย์ภาษีเงินได้รอการตัดบัญชี
สินทรัพย์ภาษีเงินได้รอการตัดบัญชีสามารถเป็น KAM เพราะการรับรู้ต้องอาศัยความสามารถในการสร้างกำไรทางภาษีในอนาคต ซึ่งยังไม่เกิดขึ้น ณ วันสิ้นงวด ความเสี่ยงยิ่งสูงหากกิจการมีผลขาดทุนในช่วงที่ผ่านมา ผลประกอบการผันผวน หรือสิทธิใช้ผลขาดทุนมีระยะเวลาจำกัด

ผู้สอบบัญชีต้องตรวจมากกว่าตารางภาษี โดยควรเชื่อมประมาณการกำไรกับงบประมาณ แผนธุรกิจ และผลจริงในอดีต สมมติฐานควรสอดคล้องกับการประเมินการด้อยค่าและการดำเนินงานต่อเนื่อง หากกิจการใช้ภาพอนาคตที่ระมัดระวังเพื่อทดสอบสินทรัพย์ แต่กลับใช้ภาพอนาคตที่มองบวกมากเพื่อรองรับสินทรัพย์ภาษี ความแตกต่างนั้นต้องมีเหตุผลรองรับอย่างชัดเจน

15. สถานะทางภาษีที่มีความไม่แน่นอน
ประเด็นนี้มักเกิดในธุรกิจข้ามชาติหรือธุรกรรมซับซ้อน เช่น ราคาโอน สถานประกอบการถาวร ภาษีหัก ณ ที่จ่าย หรือการหักรายจ่าย เพราะข้อสรุปไม่ได้ขึ้นอยู่กับสูตรคำนวณ แต่ขึ้นอยู่กับการตีความกฎหมายและข้อเท็จจริง หากจำนวนเงินสูงหรือกฎหมายสามารถตีความได้หลายแนวทาง เรื่องดังกล่าวอาจต้องใช้ความสนใจของผู้สอบบัญชีอย่างมีนัยสำคัญ

ผู้สอบบัญชีต้องเข้าใจจำนวนสินค้าที่ได้รับผลกระทบ ข้อมูลการเรียกคืน และการเรียกร้องที่เกิดหลังวันสิ้นงวด ความครบถ้วนมีความสำคัญเพราะต้นทุนอาจถูกบันทึกกระจายอยู่ในหลายบัญชี

89. ประมาณการปรับโครงสร้างกิจการ
การปรับโครงสร้างครั้งใหญ่อาจรวมการปิดโรงงาน ลดพนักงาน และยกเลิกสัญญา จึงมีทั้งคำถามว่าภาระได้เกิดขึ้นแล้วหรือไม่และค่าใช้จ่ายใดเข้าเกณฑ์ตั้งประมาณการ

93. การนำระบบ ERP ใหม่มาใช้
การเปลี่ยน ERP สามารถเป็น KAM เพราะความเสี่ยงหลายประเภทเกิดพร้อมกัน ตั้งแต่การตั้งค่าระบบ สิทธิผู้ใช้ การเชื่อมต่อ การย้ายข้อมูล จนถึงการควบคุมหลังเริ่มใช้ หากเริ่มระบบกลางปี การตรวจยิ่งซับซ้อนเพราะข้อมูลถูกประมวลผลผ่านทั้งระบบเก่าและใหม่

ผู้สอบบัญชีควรเข้าใจการกำกับโครงการ ตรวจการตั้งค่าที่สำคัญและการทดสอบก่อนใช้งาน รวมถึงควบคุมช่วงเปลี่ยนระบบ การที่โครงการเริ่มใช้งานตรงเวลาไม่ใช่หลักฐานว่าข้อมูลทางการเงินถูกต้องครบถ้วน

94. การย้ายและแปลงข้อมูล
การย้ายข้อมูลมีความเสี่ยงที่รายการหาย ซ้ำ หรือถูกแปลงผิดวิธี และข้อผิดพลาดอาจกลายเป็นยอดเปิดในระบบใหม่ซึ่งใช้ต่อไปหลายปี

96. การใช้ปัญญาประดิษฐ์ในกระบวนการทางการเงิน
การใช้ AI ในการกำหนดราคา อนุมัติสินเชื่อ จัดทำประมาณการ หรือประมวลผลรายการบัญชีอาจกลายเป็น KAM เมื่อผลลัพธ์มีผลสาระสำคัญและกระบวนการตัดสินใจของแบบจำลองตรวจสอบได้ยาก PCAOB ระบุการใช้เทคโนโลยีรวมถึง Generative AI ของบริษัทจดทะเบียนเป็นพื้นที่ที่ให้ความสำคัญในการตรวจปี 2568

สินทรัพย์ดิจิทัลสามารถเป็น KAM เพราะหลักฐานในรูปแบบดั้งเดิมอาจไม่สามารถพิสูจน์กรรมสิทธิ์หรือการควบคุมได้ครบถ้วน ความเสี่ยงเกี่ยวข้องกับกุญแจส่วนตัว ผู้ดูแลสินทรัพย์ บัญชีในศูนย์ซื้อขาย การประเมินมูลค่า การทุจริต และรายการกับบุคคลที่เกี่ยวข้อง PCAOB เคยพบข้อบกพร่องเรื่องกรรมสิทธิ์ หลักฐาน การทุจริต และรายได้ที่เกี่ยวกับคริปโท และยังคงให้ความสำคัญกับสินทรัพย์ประเภทนี้ในการตรวจปี 2568

ข้อความทั่วไป เช่น “เราได้ตรวจสอบสมมติฐาน ตรวจเอกสารประกอบ และประเมินการเปิดเผยข้อมูล” มีคุณค่าในการสื่อสารไม่มาก หากผู้อ่านยังไม่ทราบว่าสมมติฐานใดสำคัญ เหตุใดจึงมีความไม่แน่นอน และผู้สอบบัญชีใช้หลักฐานอะไรในการท้าทายสมมติฐานนั้น

เทคโนโลยี การวิเคราะห์ข้อมูล และ AI สามารถทำให้ผู้สอบบัญชีตรวจข้อมูลทั้งประชากร ค้นหารายการผิดปกติ เปรียบเทียบสมมติฐานกับข้อมูลภายนอก และค้นหาความไม่สอดคล้องได้รวดเร็วขึ้น
แต่เทคโนโลยีไม่สามารถทำให้ ความไม่แน่นอนของอนาคต หายไปได้
ท้ายที่สุด ผู้สอบบัญชียังคงต้องตัดสินว่า ข้อมูลมีความน่าเชื่อถือหรือไม่ สมมติฐานของฝ่ายบริหารมีเหตุผลหรือไม่ มีหลักฐานที่ขัดแย้งหรือไม่ และหลักฐานทั้งหมดรวมกันเพียงพอและเหมาะสมที่จะรองรับข้อสรุปหรือไม่
