The sale of a 50% interest in the Miss Universe business by JKN Global Group provides an important case study in accounting for partial disposals of subsidiaries. A common misunderstanding is that signing a sale agreement or receiving payment automatically allows a company to recognise a disposal gain. In practice, the accounting treatment depends on whether control has actually changed, rather than simply when the contract was signed.
On 20 October 2023, JKN Global Content Pte. Ltd., a wholly owned subsidiary of JKN, entered into an agreement to sell 50% of JKN Legacy, Inc., which held the Miss Universe business, to Legacy Holding Group USA Inc. for US$16 million, approximately Baht 582 million. The agreement involved payments and share transfers in several stages. In April 2025, the Thai Securities and Exchange Commission (SEC) imposed civil sanctions concerning JKN's earlier disclosure of the transaction's status. This raised an important distinction between the timing of regulatory disclosure and the recognition of accounting gains.
Under TFRS 10 Consolidated Financial Statements, selling 50% of a subsidiary does not necessarily mean losing control. Control exists when an investor has power over the relevant activities, exposure or rights to variable returns, and the ability to use that power to affect those returns. Accordingly, ownership percentage alone is insufficient to determine whether a subsidiary should continue to be consolidated.
JKN disclosed that it intended to retain the remaining 50% interest and the right to appoint three of JKN Legacy's five directors. These arrangements supported its assessment that it would continue controlling and consolidating the subsidiary. However, board representation alone does not conclusively establish control. The shareholders' agreement, voting arrangements, reserved matters, veto rights and other contractual provisions must also be considered. If significant decisions require the consent of both shareholders, the control assessment may produce a different conclusion.
The most important accounting implication concerns how a partial disposal is recognised when control is retained. Under TFRS 10, a transaction involving changes in ownership interests without loss of control is treated as an equity transaction rather than a disposal gain in consolidated profit or loss. The parent continues consolidating 100% of the subsidiary's assets, liabilities, revenue and expenses, while recognising the portion attributable to external shareholders as non-controlling interests (NCI).
For example, assume a parent receives Baht 582 million for a 50% interest and the carrying amount attributable to the newly recognised NCI is Baht 450 million. The difference of Baht 132 million would generally be recognised directly in equity attributable to the parent, rather than as a disposal gain in consolidated profit or loss, assuming control is retained. The underlying principle is that the subsidiary remains within the Group; only the ownership allocation has changed.
Conversely, when the parent actually loses control, TFRS 10 requires derecognition of the subsidiary's assets, liabilities and related NCI, recognition of any retained investment at fair value, and recognition of the resulting gain or loss in profit or loss, subject to the applicable requirements. Therefore, identifying the precise date on which control changes is essential.
A sale transaction may involve several different dates, including contract signing, receipt of consideration, transfer of shares and completion of closing conditions. None of these events independently proves that control has transferred. Even receiving substantial consideration does not automatically justify recognition of a disposal gain. The accountant must assess the contractual rights and actual ability to direct relevant activities at each reporting date.
The transaction also demonstrates why potential voting rights, including conditional call options, deserve careful consideration. Such rights may influence the control assessment when they are substantive and provide a current practical ability to direct relevant activities. However, an option that cannot presently be exercised or does not provide substantive decision-making power may have a different accounting implication.
Another important distinction concerns separate and consolidated financial statements. The entity directly selling the investment may recognise a gain or loss in its separate financial statements when the relevant recognition requirements are satisfied. However, the same transaction may be recorded entirely within equity in the consolidated financial statements if the Group retains control. Consequently, asking how much profit JKN earned from selling 50% of the Miss Universe business cannot be answered without first identifying the relevant financial statements and determining whether control was lost.
From an auditing perspective, reviewing the Share Purchase Agreement and bank statements alone is insufficient. Auditors should examine the shareholders' agreement, share register, voting rights, board appointment provisions, reserved matters, call and put options, conditions precedent and evidence of actual governance after the transaction. Board minutes, budget approvals, financing decisions and strategic resolutions may provide critical evidence of which shareholder had the substantive power to direct relevant activities.
The auditor must also distinguish between the obligation to disclose a material transaction and the accounting recognition of its financial effects. A company may be required to inform investors when a significant agreement is executed, even though the transaction has not yet reached the stage at which a disposal gain can be recognised. Financial reporting, regulatory disclosure and corporate governance therefore require separate but coordinated assessments.
Public information concerning the JKN transaction does not, by itself, establish that any disposal gain was incorrectly recognised. Nevertheless, the case illustrates an essential accounting principle: a signed sale agreement confirms that a transaction has been agreed, but does not establish that control has transferred. For CFOs, Audit Committees and auditors, the fundamental question is not merely when the agreement was signed, but when the seller actually lost control, whether control was retained, and what reliable evidence supports that conclusion.
