On 25 August 2026, Thailand's Cabinet approved four draft capital market laws proposed by the Securities and Exchange Commission (SEC). The amendments cover the Securities and Exchange Act, Derivatives Act, Trust for Transactions in Capital Market Act, and legislation governing digital asset businesses. For the auditing profession, the most significant proposal is to strengthen the SEC's authority to approve and directly supervise audit firms serving the capital market.

Under the current framework, the SEC approves individual auditors and evaluates the quality management systems of their audit firms. The proposed legislation would extend regulatory authority to audit firms themselves, potentially making firm-level governance, quality management, and regulatory accountability more important. This represents a significant development for Audit Partners, whose responsibilities increasingly extend beyond individual audit engagements.

When will the new laws take effect? As of 11 October 2026, no effective date has been confirmed. Following Cabinet approval, the House of Representatives passed the four bills in principle on 23 September 2026 and appointed an extraordinary committee to consider their details. The bills must undergo further parliamentary consideration before enactment and publication in the Royal Gazette. The effective dates and any transitional arrangements will depend on the final legislation. Therefore, audit firms should not assume that the new requirements will automatically become effective in 2026 or 2027.

Importantly, several requirements already apply independently of these proposed laws. For example, existing SEC regulations require capital market auditors to belong to firms with at least four SEC-approved auditors, with the requirement applying to existing capital market audit firms from 1 March 2026. Audit firms must also maintain appropriate quality management systems under the applicable professional standards.

How should Audit Partners prepare? The first priority is to reassess the firm's System of Quality Management under ISQM 1 and ISQM 2. Partners should evaluate governance responsibilities, independence, client acceptance, engagement quality reviews, staff competence, monitoring activities, and remediation of identified deficiencies. The objective should be to demonstrate that quality controls operate effectively, rather than simply maintaining compliance manuals.

The second priority is resource planning. Audit firms should assess whether they have sufficient qualified partners, experienced managers, technical specialists, and engagement quality reviewers. Excessive workloads, inadequate supervision, and insufficient technical consultation can weaken audit quality even when individual auditors are technically competent.

The third priority is to strengthen audit documentation, professional skepticism, and risk assessment. Particular attention should be given to revenue recognition, related-party transactions, management override, accounting estimates, going concern, and fraud indicators. Partners should ensure that significant audit judgments and consultations are appropriately documented and escalated.

Smaller audit firms should also evaluate the financial and operational implications of stronger firm-level supervision. Investment in quality monitoring, training, cybersecurity, and professional resources may become increasingly important. However, the detailed approval requirements, regulatory measures, and implementation periods remain subject to the final legislation and related regulations.

In summary, the four draft laws have not yet taken effect, but they indicate a clear direction toward stronger institutional oversight of audit quality. Audit Partners should begin strengthening governance, quality management, staffing, and monitoring systems now. Preparing early will help audit firms respond to future regulatory requirements while improving audit quality under the standards already in force.
