Interest income from lending may be subject to Specific Business Tax in Thailand. The key issue is whether the lending activity is considered a business similar to commercial banking. It is a common misunderstanding that only banks or financial institutions are subject to Specific Business Tax. In fact, the Revenue Code includes “business similar to commercial banking,” such as lending money, guarantee, foreign exchange, issuing or trading bills, or money remittance, within the scope of Specific Business Tax.
Therefore, if a company regularly lends money and receives interest, the interest income may be subject to Specific Business Tax. The general Specific Business Tax rate is 3% of gross receipts, plus local tax of 10% of the Specific Business Tax, making the effective rate 3.3%. The Revenue Code provides the 3% rate for most Specific Business Tax bases, and Revenue Department guidance commonly refers to the 3.3% rate including local tax.
Even if the lending is not done as a regular business, tax risk may still exist. In one Revenue Department ruling, interest and loan arrangement fees from lending were treated as receipts subject to Specific Business Tax at 3.3% under the category of business similar to commercial banking. However, because the lending was not carried on as a regular business but only on a temporary basis, the taxpayer was not required to register for Specific Business Tax.
There are important exemptions. Interest from loans between companies in the same group may be excluded from Specific Business Tax receipts if the group relationship meets the required conditions. The Revenue Department’s order states that loans between companies in the same group are not required to include the interest in receipts for Specific Business Tax purposes. The same order defines same-group companies by reference to at least 25% shareholding with voting rights for at least six months before the lending date.
Royal Decree No. 571 also provides an exemption for certain interest received by companies or juristic partnerships from business similar to commercial banking, including loans between same-group companies, normal interest from deposits or bills issued by financial institutions, and interest from employee welfare loans under the relevant conditions.
For individuals, the same principle may apply if the individual lends money as an occupation to earn interest. A Revenue Department ruling states that if an individual lends money as a business to earn interest, the activity is considered business similar to commercial banking and is subject to Specific Business Tax under Section 91/2(5).
From an accounting and tax compliance perspective, companies should separate loan principal, accrued interest, interest received, withholding tax, and Specific Business Tax calculation. A loan agreement, interest calculation schedule, payment evidence, withholding tax certificate, board approval, and analysis of whether the transaction is exempt from Specific Business Tax should be kept.
In summary, interest income from lending may be subject to Specific Business Tax if the lending is considered business similar to commercial banking. The general tax burden is 3.3% of gross interest receipts including local tax. However, loans between qualifying same-group companies, normal bank deposits, and employee welfare loans may be exempt. Each lending transaction should be reviewed based on facts, frequency, relationship between parties, and supporting documents.
