Registering a private limited company in Thailand is an important step for entrepreneurs, small businesses, and foreign investors seeking to establish a formal legal entity. A limited company provides separate legal personality, enables business contracts to be entered into under the company's name, and generally limits shareholders' liability to the unpaid amount on their shares.
Thailand has also modernized its business registration procedures through the Department of Business Development (DBD). Based on the rules and official announcements available in October 2026, entrepreneurs planning to establish a company in 2027 should prepare for a predominantly digital registration process through DBD Biz Regist. Requirements may change before or during 2027, so the latest official instructions should be checked before submission.
The first step is to determine the company's shareholders, directors, business objectives, registered capital, and registered office. Under Section 1097 of the Thai Civil and Commercial Code, a private limited company requires at least two promoters, each subscribing for at least one share. A company may generally appoint only one director, but it cannot be established with just one shareholder under the current ordinary limited-company rules. Promoters must genuinely participate in the company formation process, and shareholding arrangements must reflect actual ownership rather than nominee structures designed to circumvent legal restrictions.
The second step is to select and reserve the company name with the DBD. The proposed name must comply with registration requirements and should not be identical or confusingly similar to an existing registered name. Entrepreneurs should also determine the company's principal business objectives and prepare details of the registered office, including the address and supporting information required by the registration system. Depending on the location and business activity, supporting documents concerning the use of the premises may be necessary.
The third step is to determine the registered capital and share structure. Thai law does not impose a universal THB 2 million minimum capital requirement for every ordinary Thai-owned private limited company. However, each share must have a par value of at least THB 5, and at least 25% of each share's value must generally be paid before incorporation. For example, a company with registered capital of THB 1 million may issue 10,000 ordinary shares with a par value of THB 100 each, requiring at least THB 250,000 in paid-up capital at incorporation. Higher capital may be required for particular business licenses, foreign business operations, or immigration arrangements. Registered capital should therefore reflect the company's actual business and financing requirements.
The fourth step is to prepare the Memorandum of Association and complete the statutory incorporation procedures. These include subscribing for the company's shares, holding the statutory meeting, approving the relevant incorporation matters, appointing directors and an auditor, and collecting the required share payments. Thai law permits the Memorandum of Association and company incorporation to be registered together when the applicable procedures are completed within the prescribed period. The documents should accurately reflect the shareholders' rights, director signing authority, and company's intended activities.
The fifth step is to submit the incorporation application through the DBD Biz Regist system at https://edbr.dbd.go.th/. The DBD announced that new company registrations moved to its digital system from 1 July 2026, with further online-only registration arrangements announced for 1 November 2026. Under the digital process, applicants register their user accounts, complete identity verification, reserve the company name, enter registration details, upload supporting documents, and submit the application for registrar review. Once approved, the required parties complete electronic signatures and pay the applicable registration fees online. The registration certificate and company documents can subsequently be obtained electronically. Government fees should be confirmed through the system because they may be revised.
After incorporation, the company should arrange a corporate bank account using its company registration documents, authorized director information, and identification records required by the bank. It should also establish its accounting system, maintain its share register and statutory records, and implement procedures for invoices, payroll, tax withholding, and business expenses. The company's 13-digit juristic-person registration number is also used as its tax identification number. Opening a bank account and maintaining proper accounting records are operational steps distinct from obtaining the legal registration certificate.
The next requirement is to evaluate tax registration and reporting obligations. A company carrying on VAT-taxable activities must generally register for VAT within 30 days after its annual turnover exceeds THB 1.8 million, while voluntary registration may be available in qualifying circumstances. VAT registration is performed with the Revenue Department, separately from company incorporation. Depending on its transactions, the company may also need to file monthly VAT returns, payroll withholding tax returns, and other withholding tax forms. Corporate income tax returns are generally filed through Form P.N.D.50 within 150 days after the accounting year-end, while Form P.N.D.51 applies to qualifying accounting periods. A newly established company with an initial accounting period shorter than 12 months is generally not required to file P.N.D.51 for that short period.
Companies employing staff must also consider employer registration with the Social Security Office. An employer generally has to register itself and its eligible employees within 30 days of the first employee becoming employed, in accordance with the applicable Social Security rules. In addition, a private limited company normally must prepare annual financial statements, arrange a statutory audit, submit the audited statements for shareholder approval within four months after its financial year-end, and file them with the DBD within one month after approval. These obligations may apply even when the company has limited activity or no revenue.
Foreign investors must pay particular attention to the Foreign Business Act B.E. 2542. A company with foreign ownership meeting the statutory definition of a foreign company may need a Foreign Business License, Foreign Business Certificate, or other applicable authorization before conducting restricted activities. BOI-promoted businesses may qualify for specific permissions and incentives. In 2026, the DBD also strengthened registration scrutiny of companies involving foreign shareholders or authorized foreign directors, including financial evidence intended to verify genuine Thai shareholding. Accordingly, foreign investors should resolve ownership and licensing issues before incorporation rather than assuming that company registration alone permits all business activities.
Ultimately, registering a limited company in Thailand in 2027 involves more than obtaining a company certificate. Entrepreneurs must establish a genuine shareholder structure, select appropriate capital, prepare the incorporation documents, complete digital registration, and comply with tax, accounting, employment, and business licensing requirements. The DBD Biz Regist system has simplified the administrative process, but proper planning remains essential. For business owners and professional advisers, the objective is to establish a company that is not only legally registered but also ready to operate and comply with Thai regulations from its first day of business.
