Checking the completeness of related parties is more difficult than verifying transactions already identified as related-party transactions. The core risk is that an auditor cannot test a transaction with a related party that has never been identified. A shareholder register and a director list are therefore important starting points, but they should never be treated as the complete related-party population.
IAS 24 defines related parties based on relationships and influence, not merely names appearing in corporate records. A person may be related to the reporting entity if that person, or a close family member, controls, jointly controls or significantly influences the entity, or is a member of key management personnel. Related entities can include parents, subsidiaries, fellow subsidiaries, associates, joint ventures and entities controlled or jointly controlled by relevant related persons.
The auditor should therefore begin by building an ownership and influence map. For major shareholders, the analysis should identify the ultimate owner, intermediate holding companies, voting rights, shareholder agreements, board appointment rights and other contractual arrangements that may create control or significant influence. Percentage ownership alone is not always conclusive.
The next step is to expand the analysis from directors and key management personnel to other entities connected with them. Management should obtain annual declarations covering external directorships, significant shareholdings, controlled or jointly controlled businesses and changes during the year. A broad question such as “Do you have any related parties?” is usually insufficient because directors may not fully understand the accounting definition.
The analysis should also consider close family relationships. IAS 24 specifically refers to spouses or domestic partners, children, children of a spouse or domestic partner and dependants. Other family members may also qualify depending on whether they could reasonably be expected to influence, or be influenced by, the relevant person in transactions with the company. The objective is not to investigate every family member, but to identify relationships that could create related-party status.
External corporate information provides another important layer of evidence. For Thai companies, the auditor should compare management’s information with corporate registration documents, shareholder information and other records available from the Department of Business Development. However, a filed shareholder list should not automatically be treated as conclusive evidence of current ownership. The company’s statutory shareholder register, share-transfer documents and relevant board or shareholder minutes should also be considered.
A useful procedure is a reverse search. Instead of asking only who owns the audit client, the auditor should also identify other companies owned, controlled or directed by the client’s major shareholders and directors. Corporate registry searches, public filings and company websites may reveal suppliers, customers or service providers that management omitted from the related-party list.
ISA 550 also makes clear that management inquiry alone is insufficient. The auditor should understand management’s process for identifying, authorising, recording and disclosing related-party relationships and transactions. Bank confirmations, legal confirmations, board minutes and shareholder meeting minutes may reveal relationships or transactions that do not appear in the accounting department’s schedule.
Data analytics can strengthen completeness testing. Customer and vendor master data can be compared with known information about shareholders, directors and related entities using names, tax identification numbers, addresses and other relevant attributes. A supposedly independent supplier sharing an address or other significant information with a director-controlled company should be investigated.
The general ledger should also be searched for transactions commonly associated with related parties, including shareholder or director loans, advances, guarantees, management fees, consulting fees, rental payments, asset purchases and disposals, unusual deposits and transactions lacking clear commercial substance. The fact that a counterparty is not marked as “related” in the accounting system does not establish independence.
Significant transactions outside the normal course of business deserve particular attention. A newly created supplier receiving a large year-end payment, a customer with no clear commercial history, a loan on unusual terms or an asset sale at an unusual price may indicate an unidentified related-party relationship.
The auditor should reconcile the current-year related-party population with the prior-year list. Every removal should have a clear explanation, while every new major shareholder, director, executive or group entity should be assessed. A director who resigns before year-end may still have been a related party for part of the reporting period, so a year-end list alone may omit relevant transactions.
Completeness should therefore be established from several independent directions: ownership structure, director and management declarations, family relationships, corporate registry searches, prior-year records, board minutes, legal and banking evidence and transaction-level analysis. When these sources converge on the same population, the auditor has much stronger evidence than a management-prepared list alone.
The auditor should also distinguish between identifying a related party and identifying a related-party transaction. A company controlled by a director may be a related party even if no transaction occurred during the year. Once a party is identified, the auditor should then search for purchases, sales, loans, guarantees, services, commitments or other transfers of resources or obligations.
Management representation is useful, but it should normally be the final layer of evidence rather than the only procedure. A director’s confirmation that the list is complete is more persuasive after the auditor has independently challenged the list using corporate records, minutes and transaction data.
For CFOs, the strongest control is a related-party register that is maintained throughout the year rather than prepared only at year-end. Directors and senior management should update their declarations whenever their ownership interests, external positions or relevant family-business relationships change.
For auditors, the key completeness question is therefore not:
“Has management given us a complete related-party list?”
It is:
“What independent evidence have we obtained that persons capable of influencing the company, and entities influenced by those persons, have not been omitted?”
A good related-party audit begins with shareholders and directors, but it should never end there.
