An Investor Presentation should not be dismissed as a marketing document unrelated to the audit. It often reveals how management wants investors, analysts and lenders to understand the company’s performance, liquidity, strategy and future outlook. For auditors, it can expose numerical inconsistencies, aggressive performance measures, omitted risks and management pressure to achieve market expectations.
The auditor should first determine whether the presentation forms part of the annual report. If it does, ISA 720 requires the auditor to read and consider whether the information is materially inconsistent with the audited financial statements or with knowledge obtained during the audit. Record revenue may create risks involving cut-off, returns and variable consideration. Margin improvement may require examination of inventory costing, capitalised expenditure and provisions. Strong liquidity should be compared with debt maturities, covenant compliance, restricted cash and supplier-finance arrangements.
The audit team should prepare a bridge between each material figure in the presentation and its source. Figures should be traced to the financial statements, notes, reconciled internal reports or separately calculated management-defined measures. Agreement in amount is not enough; the auditor must confirm that the period, reporting entities, currency, accounting policies and definitions are consistent.

Statements about strong demand should be compared with subsequent cancellations, returns, rebates, extended credit terms and overdue receivables. Revenue growth accompanied by weak collections may indicate aggressive cut-off or deteriorating customer quality.
Liquidity and leverage claims should be independently recalculated. Net debt may exclude lease liabilities, supplier-finance balances, accrued interest or restricted cash. Undrawn facilities should be treated as available liquidity only when the company can genuinely access them after considering covenants, conditions and expiry dates. Free Cash Flow should be reconstructed from the statement of cash flows and examined for recurring expenditures that management has labelled exceptional.
Forecasts communicated to investors should be compared with those used for impairment testing, going concern, deferred tax assets, earn-outs and other estimates. Material differences may be reasonable, but they require a credible explanation. Optimistic forecasts used to avoid impairment while substantially weaker information is reported internally represent an important warning sign.
The auditor should also evaluate tone and presentation. Statutory losses should not be hidden in small print while adjusted results dominate headlines and charts. Positive information should not be quantified precisely while negative information is described vaguely. A presentation may contain no incorrect number and still create a materially misleading overall impression.
When an inconsistency is identified, the auditor should establish whether it results from an error, a different definition, reporting scope or period. Management should provide calculations and supporting data. If the presentation is within ISA 720 and is materially misstated, the auditor should request correction, communicate with those charged with governance if management refuses, and consider the consequences for the auditor’s report or other appropriate action. If the issue suggests that the financial statements may be misstated, the auditor must extend the audit procedures.
In conclusion, an Investor Presentation should be read as a map of management’s incentives and preferred narrative. A high-quality review goes beyond checking whether numbers agree. It considers definitions, adjustments, omitted information, internal reporting, forecasts, tone and the pressure surrounding important performance targets.
The key question is:
Would a reasonable investor obtain a materially different understanding of the company from the Investor Presentation than from the audited financial statements and the evidence obtained during the audit?
