The Federation of Accounting Professions of Thailand has issued the Thai Standard on Auditing for Audits of Financial Statements of Less Complex Entities, or TSA for LCE, under Announcement No. 32/2568. The standard applies to audits of financial statements for periods beginning on or after 15 December 2025. It is an optional standalone auditing standard developed specifically for audits of entities that are less complex when considered as a whole.
TSA for LCE does not replace the full suite of Thai Standards on Auditing and does not create a lower level of audit quality. An audit conducted under TSA for LCE continues to provide reasonable assurance, and the auditor must still exercise professional judgement and professional scepticism, determine materiality, assess risks of material misstatement and obtain sufficient appropriate audit evidence before expressing an opinion.
The main differences relate to the standard’s scope, structure and proportionality. TSA for LCE brings requirements relevant to less complex audits together in one standard and removes matters that are normally associated with listed entities, highly complex transactions or audit circumstances that fall outside its intended scope.
What Is a Less Complex Entity?
A less complex entity is not necessarily a small entity. Likewise, a small entity is not automatically less complex. The auditor must assess the nature and circumstances of the entity as a whole rather than relying only on revenue, assets, employee numbers or the financial-reporting framework used.
An entity that may be suitable for TSA for LCE will often have a straightforward business model, a limited number of business lines or revenue streams, a transparent ownership structure, a centralised finance function, relatively simple transactions, a manageable IT environment and few accounting estimates involving complex models or significant judgement.
A small company may nevertheless be unsuitable if it has complex financial instruments, several foreign subsidiaries, multiple interconnected IT systems, cross-border transactions, complicated contractual arrangements or valuations based on significant unobservable inputs. The FAQ therefore emphasises that the auditor must assess complexity in the context of the entity as a whole.
How Does TSA for LCE Differ from the Full Suite?
1. TSA for LCE has a specific eligibility gateway. The full suite of auditing standards can accommodate engagements across a wide range of complexity. TSA for LCE may be used only where the entity and the engagement fall within its permitted scope. The auditor must consider specific prohibitions, qualitative characteristics and any quantitative criteria established by an authorised body.
Entities for which the standard is prohibited generally include listed or publicly traded entities, entities whose primary functions include taking deposits from the public, entities providing insurance to the public and any other entities excluded by law, regulation or an authorised standard setter. Certain group audits are also excluded.
Eligibility is not merely an administrative matter. If TSA for LCE is used for an engagement that is too complex, the requirements in the standard may not adequately address the risks and circumstances necessary to support the auditor’s opinion.
2. TSA for LCE is one standalone standard. The full suite contains separate standards covering engagement acceptance, quality management, fraud, planning, risk assessment, responses to risk, audit evidence, accounting estimates, group audits and reporting. TSA for LCE brings the requirements relevant to eligible LCE audits together and organises them broadly in the order in which an audit is performed.
This structure reduces the need to navigate numerous separate standards and makes the audit process easier to follow. It does not, however, remove the auditor’s responsibility to comply with all applicable requirements within TSA for LCE.
3. The auditor should not create a hybrid standard. Where TSA for LCE is selected, it should be used as the authoritative auditing framework for the engagement. The auditor may consult the full suite or technical guidance to improve understanding, but should not informally combine selected requirements from both frameworks merely for convenience.
If facts identified during the audit show that the engagement has become too complex, the auditor should assess the need to transition to the full suite and determine what additional work is required. The appropriate response is not to retain TSA for LCE while selectively adding individual requirements from other standards.
4. Certain matters are not included because they normally indicate greater complexity. TSA for LCE does not include the full requirements relating to Key Audit Matters, extensive use of internal audit work or audit strategies significantly dependent on service-organisation auditor reports.
The absence of these requirements does not mean that the matters may simply be ignored. Their presence may indicate that the engagement is outside the intended scope of TSA for LCE.
For example, TSA for LCE does not include Key Audit Matters because listed entities are prohibited from using the standard. An internal audit function does not automatically disqualify an entity, but significant reliance on its work may raise questions about whether the engagement remains less complex. Similarly, straightforward outsourcing such as payroll processing may be consistent with an LCE, but an audit strategy substantially dependent on Type 1 or Type 2 service-organisation reports may be more appropriately addressed under the full suite.
5. Eligibility must be reassessed throughout the audit. A conclusion made during acceptance does not remain valid automatically. The auditor may later discover an unexpectedly complex IT environment, opaque related-party relationships, highly judgemental contracts or complex estimates.
The FAQ requires consideration from the engagement-acceptance stage and continuing assessment during the audit. Audit firms should therefore consider having formal review points at acceptance or continuance and again after the risk-assessment process has been substantially completed.
6. Risk assessment remains essential. TSA for LCE retains a risk-based audit approach. The auditor must understand the entity, its environment, information system and internal control, identify risks at the financial-statement and assertion levels and design appropriate responses.
The standard recognises that LCEs may have owner-management, informal controls and limited segregation of duties. A predominantly substantive approach may sometimes be efficient, but the auditor is not permitted to ignore internal control. Where substantive procedures alone cannot provide sufficient evidence, or where the auditor intends to rely on controls, tests of controls remain necessary.
7. IT considerations have not disappeared. The use of ERP software, SAP, APIs or automation does not automatically prevent the use of TSA for LCE. The auditor must consider the number of systems, the extent of interfaces, customisation, access controls, data reliability and the ability to trace information to source records.
A commercially available system with limited customisation may remain consistent with an LCE. Several interconnected systems, significant automated processing, complex interfaces or restricted access to information may indicate that the engagement is too complex.
8. Audit-evidence requirements remain substantially important. TSA for LCE does not automatically permit smaller samples, fewer external confirmations or the omission of inventory-count attendance. The auditor must continue to determine whether to test an entire population, select specific items or use audit sampling based on risk and materiality.
Information used as audit evidence must be reliable. Unusual fluctuations identified through analytical procedures must be investigated, and audit procedures must be sufficient to address the assessed risks. A shorter standard may make the requirements easier to navigate, but it does not automatically reduce necessary fieldwork.
9. Accounting estimates are permitted, but the overall environment should remain less complex. An LCE may have credit-loss allowances, inventory provisions, employee-benefit estimates or fair values based on observable market information.
A single complex estimate does not necessarily make the entity complex as a whole. The auditor must consider the nature of the estimate, the method, data and assumptions used, estimation uncertainty and its effect on the engagement.
However, several Level 3 fair-value measurements, embedded derivatives, highly interconnected assumptions, long forecast periods or advanced simulation models are strong indicators that TSA for LCE may not be appropriate.
10. Auditor’s experts may still be used. The auditor may use valuation, actuarial, technology or other specialists where necessary. The auditor must evaluate the expert’s competence, capabilities and objectivity and assess the appropriateness of the expert’s methods, assumptions, data and conclusions.
The availability of experts does not turn a highly complex entity into an LCE. If the engagement requires several specialists, multiple sophisticated models and extensive unobservable data, the underlying complexity may indicate that the full suite should be used.
11. Group audits are subject to narrower conditions than under TSA 600. TSA for LCE may be used for a group audit only where the group is genuinely less complex. The group will generally have relatively few entities, similar operating environments, accessible information and people, and a straightforward consolidation process.
Component auditors generally must not perform work for the group audit, except for narrowly limited procedures requiring physical presence, such as attending an inventory count or inspecting original documents. If a component auditor performs a full audit of a subsidiary’s financial information for use by the group auditor, TSA for LCE cannot be used for that group audit.
12. Quality-management requirements are not reduced. TSQM 1 and TSQM 2 continue to apply according to their respective scopes. The engagement partner remains responsible for direction, supervision, review, consultation and the overall quality of the engagement.
An audit firm should not automatically reduce partner or manager time, use less experienced staff or omit an engagement quality review merely because TSA for LCE is used. Proportionality means responding appropriately to the engagement’s nature and risks, not applying a predetermined reduction in resources.
13. Communication and documentation are organised by audit stage. TSA for LCE places communication and documentation requirements within the relevant parts of the audit process. This may make it easier to identify what must be communicated and documented at each stage.
Documentation must still allow an experienced auditor with no previous connection to the engagement to understand the procedures performed, the evidence obtained and the significant judgements made. In addition, the auditor must document the basis for selecting TSA for LCE. Merely stating that the entity is small, family owned or uses TFRS for NPAEs is not sufficient.
14. The auditor’s report provides the same level of assurance but does not include KAM requirements. The report remains a reasonable-assurance audit report. The auditor must still consider modified opinions, emphasis-of-matter paragraphs, other-matter paragraphs, going-concern uncertainties, comparative information and other information where relevant.
The report must clearly identify TSA for LCE as the auditing framework applied. This informs users of the framework used without suggesting that the audit provides a lower level of assurance.
What Has Not Changed?
TSA for LCE does not change the fundamental objective of an audit. The auditor must remain independent, comply with ethical requirements, exercise professional judgement and professional scepticism, assess fraud and error risks and obtain sufficient appropriate evidence.
Management override, revenue-recognition fraud risks, journal-entry testing, related parties and going concern remain important considerations. The fact that an entity is less complex does not mean that its fraud risk is automatically lower or that management explanations can replace corroborating evidence.
Criteria Required Before TSA for LCE Is Used
The first criterion is that the entity must not fall within a prohibited category. The auditor must consider the standard, applicable laws and regulations and the requirements of regulators or other authorised bodies.
The second criterion is that the entity must be less complex based on its overall qualitative characteristics. The auditor should consider the business model, organisational and ownership structure, finance function, IT environment, accounting estimates and group circumstances together.
The third criterion is that quantitative measures must not be used alone. Revenue, assets, employee numbers or the number of group entities may be useful screening indicators, but complexity may arise from contracts, transactions, IT systems, regulation or accounting estimates regardless of size.
Key Matters from the Federation’s FAQ
The Federation’s FAQ clarifies that TSA for LCE is optional. Even where an entity is eligible, the auditor may continue using the full suite. Selection should be based on professional judgement rather than an expectation of lower audit fees or fewer hours.
The assessment must consider the entity as a whole, and satisfying one favourable characteristic is not sufficient. Quantitative thresholds must not be the sole basis for the decision.
Using TFRS for NPAEs does not automatically permit TSA for LCE because the financial-reporting framework used by management and the auditing framework used by the auditor serve different purposes.
The audit firm should establish consistent internal guidance, assess eligibility at acceptance and document the basis for its decision. The assessment must continue throughout the audit.
ERP, APIs and automation do not automatically disqualify an entity, but their actual complexity and effect on financial reporting must be considered.
A subsidiary of a listed company may potentially use TSA for LCE for the audit of its own financial statements if it independently qualifies. However, the audit of the listed parent’s consolidated financial statements remains subject to the full group-audit requirements.
The FAQ does not recommend TSA for LCE for entities preparing for an IPO because they are moving toward public-interest reporting and may face more complex legal, governance and disclosure requirements.
A group audit qualifies only where the group is genuinely less complex and component-auditor involvement remains within the narrowly permitted circumstances.
If an entity ceases to qualify during the audit, the auditor must move to the full suite, communicate the change and assess whether additional work is required. Where TSA for LCE was properly applied in the prior year but is no longer appropriate in the current year, it is generally unnecessary to reaudit opening balances solely because of the change in auditing framework, although TSA 510 and TSA 710 must still be considered.
What Should Audit Firms Prepare?
Audit firms should establish policies defining prohibited entities, qualitative factors, internal screening criteria, approval levels and circumstances requiring technical consultation. Assessment forms should record facts and reasoning rather than only yes-or-no responses.
The firm should require reassessment after risk assessment and after significant events such as acquisitions, restructurings, ERP implementation, new financial instruments or overseas expansion.
A transition plan should address engagement-letter amendments, communication with management and those charged with governance, revisions to the audit plan, additional procedures and resource allocation where the engagement must move to the full suite.
Audit fees and time budgets should not assume that TSA for LCE automatically reduces working hours by a fixed percentage. Efficiency may arise from a clearer and more proportionate standard, but procedures still depend on risk, record quality, data readiness and the competence of the audit team.
Conclusion
TSA for LCE differs from the full suite mainly in its scope, structure and proportionality. It is a standalone standard designed for eligible less complex audits and includes a specific requirement to establish and continuously reassess eligibility.
What does not change is the level of assurance, the auditor’s responsibility, professional judgement, professional scepticism, quality management and the need for sufficient appropriate audit evidence.
The central principle is:
“TSA for LCE is more concise and better tailored to less complex entities, but it is not a lower-quality audit and it is not a shortcut for reducing necessary audit procedures.”
