An expense does not automatically become non-deductible for Thai corporate income tax merely because the underlying agreement was made orally. The more important question is whether the company can prove that the expense actually arose, was incurred for the purpose of the business, relates to the correct accounting period, was paid or is payable to an identifiable recipient, and is not otherwise prohibited by the Revenue Code.

Section 65 of the Revenue Code requires companies to calculate taxable profit on an accrual basis. Expenses relating to income of an accounting period may therefore be recognised in that period even if they have not yet been paid. However, Section 65 ter prohibits, among other things, expenses that are artificially created without actual payment or obligation, expenses not incurred exclusively for the purpose of earning profits or carrying on the business, and expenses where the payer cannot prove who received the payment. (Royal Decree)

Accordingly, a written contract is not the only possible evidence of a deductible expense. The Revenue Department itself explains that where the payer does not have an ordinary receipt, the expense may still avoid the prohibition under Section 65 ter (18) if there is evidence identifying the recipient, address, identification number, date, amount, nature of payment and acknowledgement by the recipient. (Royal Decree)

The Supreme Court has similarly indicated, in a tax case published by the Revenue Department, that whether an expense is deductible should be considered from the nature of the expense, the payment method, the recipient, the business necessity and the supporting evidence based on the actual circumstances of each case. (Royal Decree)

Therefore, where an agreement was made orally, the company should build a documentary trail around the transaction. Useful evidence may include quotations, purchase orders, internal approvals, emails or other electronic communications, invoices, evidence of services performed, work products, delivery or acceptance records, bank transfers, receipts, withholding-tax certificates and correspondence concerning the amount and payment terms.

Electronic evidence may also be relevant. Revenue Department Order P.121/2545 recognises tax-related documentation in electronic form and expressly refers to electronic information such as email as capable of constituting electronic records. (Royal Decree)

For example, assume that a company verbally engages a consultant for THB 300,000. No formal service agreement is signed. However, the company has an approved quotation, emails describing the scope of work, reports prepared by the consultant, management evidence of acceptance, an invoice, a bank transfer to the consultant, withholding-tax documentation and a receipt.

The absence of a signed contract by itself would not normally be the central reason for denying the expense. The overall evidence may be capable of demonstrating that the service was genuinely provided for the company’s business.

The position becomes much weaker if the company simply records a THB 300,000 consulting expense based on a verbal statement by management, with no written scope, no deliverable, no invoice, no identifiable evidence of payment and no evidence demonstrating what service was actually received. In that situation, the Revenue Department may challenge whether the expense genuinely arose and whether it was incurred for the business. Revenue Department rulings demonstrate that expenses may be disallowed where the taxpayer cannot establish that payment was actually made. (Royal Decree)

The timing of the expense should also be distinguished from the existence of a written contract. Because corporate income tax generally follows the accrual basis, an expense relating to the current period may potentially be deductible even when payment occurs later. But where the agreement is oral, the company needs strong evidence demonstrating that a present obligation existed before year-end, the service had been received or otherwise related to that period, and the amount can be measured reliably. (Royal Decree)

Withholding tax is a separate matter. If the nature of the payment is subject to withholding tax, the fact that the contract was verbal does not eliminate the payer’s withholding obligation. Tax treatment follows the substance and nature of the payment rather than whether the commercial arrangement was documented in a formal contract.

VAT must also be analysed separately. An oral agreement, invoice, bank-transfer slip or evidence of service cannot by itself substitute for a valid tax invoice where a registered business wishes to claim input VAT. Section 82/5 generally prohibits deduction of input VAT where there is no tax invoice or where the tax invoice is materially incomplete or incorrect, subject to specific statutory exceptions. (Royal Decree)

Stamp duty is another separate consideration. Thai stamp duty is imposed on specified “instruments,” meaning documents falling within the categories listed in the Stamp Duty Schedule. The Revenue Department describes stamp duty as a tax on the execution of specified instruments, including certain leases, hire-of-work agreements and loan agreements. Therefore, an oral arrangement should not be analysed simply on the assumption that “there is no written contract, so there is no tax issue.” If the parties later execute a document falling within a dutiable category, the stamp-duty requirements applicable to that instrument must be considered. (Royal Decree)

Certain types of legal transactions may also be subject to specific legal form or written-evidence requirements outside the Revenue Code. Therefore, for significant arrangements such as loans, guarantees, long-term leases, transfers of property or other transactions where enforceability is important, the company should consider the relevant civil and commercial law requirements separately from the tax deductibility analysis.

From a practical tax-risk perspective, oral agreements should therefore be used only for low-risk and straightforward transactions. Material, recurring, related-party, cross-border or unusual transactions should normally be documented in writing because the contract establishes the scope of services, price, payment terms, responsibilities, tax allocation and evidence that the arrangement existed before the expense was recorded.

For related-party transactions, written documentation becomes particularly important because the company may also need to demonstrate the commercial rationale, actual services received and arm’s-length nature of the charge. A verbal explanation that a parent company “provided management support” will generally provide weak evidence if the taxpayer cannot identify the services, personnel involved, allocation basis and benefit received.

In summary, an oral agreement does not automatically prevent an expense from being deductible for corporate income tax, but the oral agreement itself is generally weak evidence. The taxpayer should be able to demonstrate the reality, business purpose, recipient, amount, period and payment or obligation through reliable supporting documentation. The more material or unusual the transaction, the stronger the documentary evidence should be.

(Royal Decree)

(Royal Decree)

(Royal Decree)

(Royal Decree)

(Royal Decree)

(Royal Decree)

(Royal Decree)

(Royal Decree)

(Royal Decree)
