An Audit Engagement Letter is a fundamental document establishing the professional and contractual relationship between an auditor and a client. Under Thai Standard on Auditing (TSA) 210, Agreeing the Terms of Audit Engagements, auditors must agree on appropriate engagement terms before undertaking an audit. Although engagement letters are often viewed as administrative documents covering audit fees and reporting deadlines, their primary purpose is to clarify the audit scope, responsibilities and conditions necessary for conducting an independent audit. A poorly drafted engagement letter may expose auditors to misunderstandings, disputes, scope limitations and potential professional liability.

TSA 210 paragraph 10 requires the engagement letter or another appropriate written agreement to specify the objective and scope of the audit, the auditor's responsibilities, management's responsibilities, the applicable financial reporting framework and the expected form and content of the auditor's report. The agreement must also acknowledge that the actual auditor's report may differ from the anticipated form depending on the audit findings. Limited exceptions apply where relevant laws or regulations adequately prescribe the engagement terms.

One of the most important considerations is the distinction between management's responsibilities and those of the auditor. Management remains responsible for preparing financial statements, maintaining appropriate internal controls and providing complete accounting information. The auditor is responsible for obtaining reasonable assurance that the financial statements are free from material misstatement, whether caused by fraud or error. Reasonable assurance does not guarantee that every fraud or error will be detected. Therefore, engagement letters should not imply that auditors assume management's accounting responsibilities or guarantee the accuracy of financial statements.

Another critical consideration is unrestricted access to audit evidence. Management must acknowledge its responsibility to provide access to relevant records, additional information requested by the auditor and unrestricted access to individuals from whom audit evidence may be obtained. If management prevents direct bank confirmations, inventory inspections or access to relevant personnel, the auditor must assess whether these restrictions prevent an effective audit. Under TSA 210, an auditor generally should not accept an engagement where a management-imposed scope limitation is expected to result in a disclaimer of opinion, unless required by law or regulation.

The engagement letter should clearly identify the financial reporting framework, such as TFRS or TFRS for NPAEs, the reporting period and whether the audit covers separate or consolidated financial statements. Additional services, including bookkeeping, tax return preparation or regulatory certifications, should be distinguished from the statutory audit. These arrangements may require separate agreements and consideration of auditor independence. For companies with subsidiaries or overseas operations, management and auditors should also establish a clear understanding of the scope of group audit procedures and the information required from relevant entities.

Audit fees, payment arrangements and reporting deadlines are equally important contractual considerations, although they are not among the minimum requirements of TSA 210 paragraph 10. Engagement letters should describe the agreed fees, client deliverables, payment terms and arrangements for additional work. For example, significant accounting errors, incomplete records or delayed information may require additional procedures and affect completion dates. Auditors should avoid guaranteeing an unmodified audit opinion or an unconditional reporting deadline, as professional conclusions must depend on sufficient appropriate audit evidence rather than contractual expectations.

In Thailand, auditors should also consider the legal and tax implications of the engagement agreement. Where the substance of an engagement letter constitutes a hire-of-work contract under Section 587 of the Civil and Commercial Code, it may be subject to stamp duty under Item 4 of the Stamp Duty Schedule of the Revenue Code. The applicable rate is THB 1 for every THB 1,000 or fraction thereof of agreed remuneration, generally payable by the contractor. For example, an audit engagement specifying a fee of THB 300,000 excluding VAT would attract THB 300 in stamp duty if classified as a hire-of-work contract. The calculation generally excludes VAT.

Where remuneration cannot be determined when the agreement is executed, the contractor must reasonably estimate the amount for stamp duty purposes, with additional duty potentially payable when actual remuneration exceeds the amount initially stamped. For certain paper hire-of-work agreements, including those with remuneration of THB 1 million or more, payment in cash is mandatory under the applicable regulations. Electronic agreements are subject to the relevant e-Stamp Duty requirements, generally allowing payment before execution or within 15 days following execution. Auditors should distinguish these requirements from the rules applicable to ordinary paper instruments and retain appropriate payment evidence. Under Section 118 of the Revenue Code, an insufficiently stamped instrument may be inadmissible as evidence in civil proceedings until the applicable duty requirements are satisfied, although this does not automatically invalidate the contract.

Confidentiality and electronic information security also deserve attention in 2026. Audit firms increasingly receive sensitive financial information through cloud platforms, electronic document transfers and remote access systems. Engagement terms may address secure information exchange, confidentiality, authorised access and the involvement of external technology providers, subject to applicable laws and professional ethics. Where audit firms provide additional accounting or advisory services, independence threats must be separately assessed.

Auditors should also consider changes to engagement terms and recurring audits. TSA 210 prohibits agreeing to changes without reasonable justification. For example, management should not request conversion of an audit into a review merely because significant financial reporting issues have been identified. For recurring engagements, a new letter is not automatically required every year, but auditors must assess whether circumstances warrant revising or reminding management of the existing terms.

From a legal and tax perspective, new agreements, amendments or additional remuneration should also be evaluated to determine whether further contractual or stamp duty obligations arise.
Before accepting an engagement, audit partners must consider client integrity, independence, professional competence and the availability of appropriate resources under applicable quality management requirements. Signing an engagement letter cannot substitute for adequate client acceptance procedures, nor can contractual provisions override professional obligations or statutory responsibilities.

In conclusion, a well-prepared Audit Engagement Letter is more than an agreement on audit fees and reporting deadlines. It establishes the foundation for audit quality, professional accountability and effective cooperation between auditors and management. Auditors must ensure that engagement terms clearly define responsibilities, preserve access to evidence, protect professional independence and comply with applicable legal requirements. Ultimately, the purpose of an engagement letter is not merely to protect the audit firm commercially, but to support an audit conducted with integrity, independence and professional competence.

Engagement Letter
