On 24 August 2026, the Thai SEC ordered CHO to provide additional information and review the reasonableness of its proposed acquisition of software for Baht 1.4 billion, to be settled through the issuance of approximately 190.47 million new shares in a private placement at Baht 7.35 per share. Following the proposed issuance, the seller would hold approximately 19.91% of CHO’s voting rights.
The regulatory concern arose mainly from the significant difference between the transaction price and the valuation prepared by the Independent Financial Advisor. Although the IFA considered the transaction reasonable and recommended shareholder approval, it estimated the fair value of the software at approximately Baht 131.11–146.46 million, resulting in a difference of roughly 9–10 times compared with the proposed acquisition price. The SEC also noted that the software had been completed in 2024 but that there was not yet a clearly established commercial revenue history, and therefore requested further clarification regarding the business model, valuation assumptions and possible financial-statement implications.
CHO subsequently provided additional information on 27 August 2026. However, the SEC’s action should not be interpreted as a conclusion that the software was worth only Baht 131–146 million, that the transaction was improper or that CHO was required to recognise an immediate impairment loss. The regulatory issue was whether the substantial valuation difference had been sufficiently explained and whether the accounting consequences had been appropriately considered.
From an accounting perspective, the case illustrates why transaction price, fair value and accounting carrying amount are not necessarily the same concept. The fact that a company agrees to issue shares worth Baht 1.4 billion does not automatically mean that the entire amount should be recognised as the cost of one software asset.
The first accounting issue is to identify what economic resources are actually acquired. Software may qualify as an intangible asset under TAS 38 where the recognition criteria are satisfied, but the transaction may involve more than the software itself. Accountants should understand whether CHO acquires source code, intellectual-property rights, licences, contractual rights, future development rights, technical support or other identifiable benefits. Only items satisfying the applicable recognition criteria may be recognised as assets.
The method of consideration adds another layer of complexity because the transaction is proposed to be settled through newly issued shares rather than cash. The accounting therefore needs to consider TFRS 2 together with TAS 38. The value of the equity instruments issued does not necessarily determine, by itself, the amount that should be recognised as the cost of an identifiable intangible asset. If the measurable value of the software and identifiable rights is materially below the consideration issued, management needs to analyse what additional goods, services or economic resources have been received and whether those items qualify for recognition.
The difference cannot simply be described as goodwill, strategic value or future synergy and capitalised without an appropriate basis. Goodwill normally arises in a business combination. A premium paid for an individual asset does not, by itself, create a separately recognisable goodwill asset.
Likewise, the accounting should not automatically begin by recognising software at Baht 1.4 billion and immediately recording an impairment loss for the difference. Initial recognition and subsequent impairment are separate accounting questions. The appropriate initial carrying amount must first be determined under the applicable standards. Only after that amount has been established should TAS 36 be applied to assess recoverability.
The large valuation gap is nevertheless highly relevant. Different appraisers may legitimately arrive at different values because they use different revenue forecasts, discount rates, useful lives, market assumptions or expectations regarding commercialisation. However, a range of Baht 131–146 million compared with a transaction price of Baht 1.4 billion is sufficiently significant that the underlying assumptions should be carefully reconciled.
The absence of an established commercial revenue history does not mean that the software has little or no value. Technology can have substantial economic value before it generates meaningful revenue. It does mean, however, that valuation is likely to depend more heavily on forecasts of future customer adoption, pricing, market penetration, margins, additional investment, technological obsolescence and discount rates. The greater the reliance on forecast information, the greater the estimation uncertainty.
This is where the auditor’s role becomes particularly important. The proposed acquisition was approved by CHO’s Board on 9 July 2026, after the Q2 reporting date of 30 June 2026, and had not yet been completed at that reporting date. Consequently, the auditor reviewing the Q2/2026 interim financial statements was not reviewing a Baht 1.4 billion software asset already recognised in the statement of financial position.
The immediate reporting issue for Q2 was therefore principally whether the proposed transaction represented a material subsequent event requiring appropriate disclosure, rather than whether the software should already have been impaired. TSRE 2410 requires the auditor performing an interim review to make inquiries and perform procedures sufficient to identify material matters affecting the interim financial information, while the principles in TSA 560 require consideration of events arising after the reporting date that may require adjustment or disclosure.
This timing distinction is important when assessing whether CHO’s auditor failed to perform appropriate duties. Based on currently available public information, there is insufficient basis to conclude that the auditor was deficient simply because the proposed acquisition price was Baht 1.4 billion. The financial statement auditor is not responsible for deciding whether a transaction represents a commercially attractive purchase price, nor does the auditor provide the same type of fairness opinion as an Independent Financial Advisor.
It is also relevant that CHO’s auditor had already issued a disclaimer of opinion on the 2025 annual financial statements and subsequently did not express conclusions on certain interim financial statements. Those reports indicate that the auditor had already identified significant unresolved matters or limitations elsewhere in the financial reporting process. However, the publicly available information does not establish that those previous reporting modifications arose from the ACAPE transaction. They should therefore not be attributed to the software acquisition without further evidence.
The auditor’s responsibilities will become substantially greater when the acquisition is completed and the transaction is recognised in the financial statements. At that point, the auditor should obtain evidence over what assets and rights were actually acquired, whether the company controls the software and intellectual property, how the initial measurement was determined and how the shares issued were measured.
Where management’s accounting relies on valuation models and future cash flows, TSA 540 (Revised) becomes particularly relevant. The auditor should evaluate the valuation method, significant assumptions and data, assess estimation uncertainty and consider possible management bias. If different valuation reports produce materially different values, the auditor should understand and reconcile the assumptions rather than simply accept the valuation preferred by management.
TSA 500 also requires sufficient appropriate audit evidence regarding the underlying asset. Evidence should address ownership of the software and source code, intellectual-property rights, contractual restrictions, technical functionality, development status and the reliability of information used in the valuation model. A sophisticated discounted cash-flow model cannot compensate for weak evidence regarding whether the underlying technology and legal rights actually exist or can be commercially exploited.
Depending on the complexity of the technology and valuation, the audit team may need to involve valuation or information-technology specialists. The use of a specialist does not transfer the auditor’s responsibility. The engagement team must still evaluate whether the specialist’s work is appropriate for the audit purpose and whether the resulting evidence supports management’s accounting.
If, once recognised, management cannot adequately support the carrying amount or the auditor cannot obtain sufficient appropriate evidence, the auditor would then need to consider the consequences for the audit opinion in accordance with the applicable reporting standards.
The CHO case therefore provides a useful professional lesson. The appropriate conclusion is not that “the auditor allowed the company to buy software at ten times its value.” The auditor does not approve the commercial price, and the transaction had not yet been recognised in the Q2 financial statements.
The more important accounting and audit questions are whether management can demonstrate what the company actually acquired, how the initial carrying amount was determined, why the valuation differs so significantly from other available evidence and whether that accounting conclusion can withstand independent audit and regulatory scrutiny.
When a transaction involves a valuation difference approaching ten times, the standard of explanation, documentation, governance, professional skepticism and audit evidence should increase accordingly.

ประเด็นสำคัญที่ทำให้รายการได้รับความสนใจคือ ความแตกต่างอย่างมากระหว่างราคาซื้อกับมูลค่าที่ที่ปรึกษาทางการเงินอิสระประเมิน แม้ที่ปรึกษาทางการเงินอิสระจะเห็นว่าการเข้าทำรายการมีความสมเหตุสมผลและเสนอให้ผู้ถือหุ้นพิจารณาอนุมัติ แต่ประเมินมูลค่ายุติธรรมของซอฟต์แวร์ไว้ประมาณ 131.11–146.46 ล้านบาท ทำให้ราคาซื้อ 1,400 ล้านบาทสูงกว่ามูลค่าดังกล่าวประมาณ 9–10 เท่า
ก.ล.ต. ยังตั้งข้อสังเกตว่า ซอฟต์แวร์ดังกล่าวพัฒนาแล้วเสร็จในปี 2567 แต่ยังไม่มีประวัติการสร้างรายได้เชิงพาณิชย์ที่ชัดเจน จึงขอให้บริษัทอธิบายเพิ่มเติมเกี่ยวกับรูปแบบการสร้างรายได้ สมมติฐานที่ใช้ในการประเมินมูลค่า และผลกระทบที่อาจเกิดขึ้นต่องบการเงิน ต่อมา CHO ได้ชี้แจงข้อมูลเพิ่มเติมเมื่อวันที่ 27 สิงหาคม 2569
อย่างไรก็ตาม การดำเนินการของ ก.ล.ต. ไม่ได้หมายความว่าได้วินิจฉัยแล้วว่าซอฟต์แวร์มีมูลค่าเพียง 131–146 ล้านบาท ไม่ได้สรุปว่ารายการไม่เหมาะสม และไม่ได้สั่งให้บริษัทตั้งผลขาดทุนจากการด้อยค่าทันที ประเด็นของหน่วยงานกำกับคือ ความแตกต่างของมูลค่าที่สูงมากได้รับการอธิบายอย่างสมเหตุสมผลหรือไม่ และบริษัทได้พิจารณาผลกระทบทางบัญชีอย่างเหมาะสมเพียงพอแล้วหรือไม่
ในเชิงบัญชี กรณีนี้สะท้อนหลักสำคัญว่า ราคาที่ตกลงซื้อ มูลค่ายุติธรรม และมูลค่าที่บันทึกทางบัญชี ไม่จำเป็นต้องเป็นจำนวนเดียวกัน การที่บริษัทตกลงออกหุ้นมูลค่า 1,400 ล้านบาท ไม่ได้หมายความว่าทั้งจำนวนจะต้องถูกบันทึกเป็นต้นทุนของซอฟต์แวร์โดยอัตโนมัติ
ขั้นแรกต้องพิจารณาว่าบริษัทได้รับทรัพยากรทางเศรษฐกิจอะไรจากรายการดังกล่าว ซอฟต์แวร์อาจเข้าเกณฑ์เป็นสินทรัพย์ไม่มีตัวตนตาม TAS 38 แต่ต้องพิจารณาด้วยว่าบริษัทได้รับรหัสต้นฉบับ สิทธิในทรัพย์สินทางปัญญา สิทธิการใช้งาน สิทธิในการพัฒนาต่อ การสนับสนุนด้านเทคนิค หรือสิทธิทางสัญญาอื่นเพิ่มเติมหรือไม่ และแต่ละรายการเข้าเกณฑ์รับรู้เป็นสินทรัพย์หรือไม่
อีกประเด็นหนึ่งคือรายการนี้ไม่ได้ชำระด้วยเงินสด แต่เสนอชำระด้วยหุ้นเพิ่มทุน จึงต้องพิจารณา TFRS 2 ประกอบกับ TAS 38 การออกหุ้นมูลค่า 1,400 ล้านบาทไม่ได้เป็นหลักฐานเพียงพอว่าบริษัทได้รับสินทรัพย์ไม่มีตัวตนมูลค่าเท่ากัน หากมูลค่าของซอฟต์แวร์และสิทธิที่สามารถระบุได้ต่ำกว่าค่าตอบแทนที่ออกอย่างมาก ฝ่ายบริหารต้องวิเคราะห์ว่าส่วนต่างนั้นเกิดจากทรัพยากรหรือประโยชน์ทางเศรษฐกิจใด และมาตรฐานอนุญาตให้รับรู้อย่างไร
ส่วนต่างดังกล่าวไม่สามารถถูกเรียกว่าค่าความนิยม มูลค่าเชิงกลยุทธ์ หรือประโยชน์ในอนาคต แล้วนำมาบันทึกเป็นสินทรัพย์ได้โดยอัตโนมัติ เพราะค่าความนิยมโดยหลักเกิดจากการรวมธุรกิจ การซื้อสินทรัพย์ชิ้นหนึ่งในราคาสูงกว่าราคาประเมินไม่ได้ทำให้เกิดค่าความนิยมที่สามารถรับรู้ได้เสมอไป
ในขณะเดียวกัน ก็ไม่ควรรีบสรุปว่าบริษัทต้องบันทึกซอฟต์แวร์ 1,400 ล้านบาทแล้วตั้งผลขาดทุนจากการด้อยค่ากว่า 1,200 ล้านบาททันที เพราะ การรับรู้และวัดมูลค่าเริ่มแรกกับการทดสอบการด้อยค่าเป็นคนละขั้นตอน ต้องหามูลค่าที่ควรรับรู้เริ่มแรกให้ถูกต้องก่อน แล้วจึงนำ TAS 36 มาพิจารณามูลค่าที่คาดว่าจะได้รับคืนในภายหลัง
ความแตกต่างของราคาประเมินยังเป็นประเด็นสำคัญทางวิชาการ ผู้ประเมินสองรายอาจได้มูลค่าต่างกันได้จากประมาณการรายได้ อัตราการเติบโต อายุเทคโนโลยี อัตรากำไร หรืออัตราคิดลดที่แตกต่างกัน แต่หากด้านหนึ่งอยู่ประมาณ 131–146 ล้านบาท ขณะที่ราคาธุรกรรมอยู่ที่ 1,400 ล้านบาท ความแตกต่างระดับนี้ย่อมต้องมีการอธิบายและกระทบยอดสมมติฐานอย่างมีเหตุผล
การที่ซอฟต์แวร์ยังไม่มีประวัติสร้างรายได้เชิงพาณิชย์ไม่ได้หมายความว่าซอฟต์แวร์ไม่มีมูลค่า เทคโนโลยีบางประเภทอาจมีมูลค่าสูงตั้งแต่ก่อนเริ่มสร้างรายได้ แต่การประเมินจะต้องพึ่งพาประมาณการในอนาคตมากขึ้น เช่น จำนวนลูกค้า ราคาขาย ส่วนแบ่งตลาด อัตรากำไร เงินลงทุนเพิ่มเติม อายุของเทคโนโลยี และอัตราคิดลด ซึ่งทำให้ความไม่แน่นอนของประมาณการสูงขึ้นตามไปด้วย
ในมุมของผู้สอบบัญชี การพิจารณาบทบาทต้องดูตาม ลำดับเวลาของรายการ ด้วย งบไตรมาส 2 มีวันสิ้นงวดวันที่ 30 มิถุนายน 2569 ขณะที่คณะกรรมการ CHO มีมติเรื่องรายการซื้อซอฟต์แวร์เมื่อ 9 กรกฎาคม 2569 และรายการยังไม่ได้เสร็จสมบูรณ์ ณ วันสิ้นงวด ดังนั้น ผู้สอบบัญชีที่สอบทานงบไตรมาส 2 ไม่ได้กำลังตรวจสินทรัพย์ซอฟต์แวร์มูลค่า 1,400 ล้านบาทที่ถูกบันทึกอยู่ในงบ ณ วันสิ้นงวด
ประเด็นที่เกี่ยวข้องกับงบไตรมาส 2 จึงเป็นเรื่อง เหตุการณ์ภายหลังรอบระยะเวลารายงานและการเปิดเผยข้อมูล มากกว่าการด้อยค่าของสินทรัพย์ที่ยังไม่ได้รับรู้ TSRE 2410 กำหนดให้ผู้สอบบัญชีที่สอบทานข้อมูลระหว่างกาลต้องสอบถามและใช้วิธีสอบทานที่เหมาะสมเพื่อให้สามารถระบุเรื่องที่อาจทำให้ข้อมูลทางการเงินระหว่างกาลคลาดเคลื่อนอย่างมีสาระสำคัญ ขณะที่หลักของ TSA 560 กำหนดให้พิจารณาเหตุการณ์หลังวันสิ้นงวดที่อาจต้องปรับปรุงหรือเปิดเผยในงบการเงิน
ดังนั้น จากข้อมูลสาธารณะในปัจจุบัน ยังไม่มีฐานเพียงพอที่จะสรุปว่าผู้สอบบัญชีของ CHO ขาดตกบกพร่องเพียงเพราะบริษัทเสนอซื้อซอฟต์แวร์ในราคา 1,400 ล้านบาท ผู้สอบบัญชีงบการเงินไม่ได้เป็นผู้ตัดสินว่าราคาซื้อมีความเหมาะสมในเชิงพาณิชย์หรือไม่ และไม่ได้ทำหน้าที่แทนที่ปรึกษาทางการเงินอิสระในการให้ความเห็นเกี่ยวกับความสมเหตุสมผลของรายการต่อผู้ถือหุ้น
อีกข้อเท็จจริงที่ควรพิจารณาคือ ผู้สอบบัญชีของ CHO เคย ไม่แสดงความเห็นต่องบการเงินประจำปี 2568 และในงบระหว่างกาลบางงวดก็ไม่ได้ให้ข้อสรุป ซึ่งสะท้อนว่าผู้สอบบัญชีได้รายงานข้อจำกัดหรือประเด็นสำคัญที่ยังไม่สามารถหาหลักฐานสนับสนุนได้ อย่างไรก็ตาม ข้อมูลสาธารณะที่มีอยู่ไม่ได้แสดงว่าประเด็นดังกล่าวเกิดจากดีลซอฟต์แวร์ ACAPE จึงไม่ควรนำสองเรื่องมาปะปนกัน
บทบาทของผู้สอบบัญชีจะมีความสำคัญมากขึ้นเมื่อรายการซื้อซอฟต์แวร์ เกิดขึ้นจริงและถูกนำมาบันทึกในงบการเงิน เมื่อถึงเวลานั้น ผู้สอบบัญชีต้องได้หลักฐานว่าบริษัทได้รับสิทธิในซอฟต์แวร์และทรัพย์สินทางปัญญาอะไรบ้าง มีอำนาจควบคุมสินทรัพย์จริงหรือไม่ มูลค่าที่รับรู้เริ่มแรกคำนวณตามมาตรฐานใด และหุ้นที่ออกถูกวัดมูลค่าอย่างไร
หากมูลค่าขึ้นอยู่กับประมาณการกระแสเงินสดในอนาคต TSA 540 (ปรับปรุง) จะมีบทบาทอย่างมาก ผู้สอบบัญชีต้องประเมินวิธีการ สมมติฐาน และข้อมูลที่ฝ่ายบริหารใช้ รวมถึงระดับความไม่แน่นอนและความลำเอียงที่อาจเกิดขึ้น หากมีรายงานประเมินมูลค่าที่แตกต่างกันอย่างมาก ผู้สอบบัญชีต้องเข้าใจเหตุผลของความแตกต่าง ไม่ใช่เลือกใช้เฉพาะรายงานที่สนับสนุนตัวเลขของฝ่ายบริหาร
TSA 500 กำหนดให้ผู้สอบบัญชีต้องได้หลักฐานที่เหมาะสมอย่างเพียงพอเกี่ยวกับตัวสินทรัพย์เองด้วย เช่น ความเป็นเจ้าของซอฟต์แวร์และรหัสต้นฉบับ สิทธิในทรัพย์สินทางปัญญา ข้อจำกัดตามสัญญา ความพร้อมใช้งานของระบบ และความน่าเชื่อถือของข้อมูลที่ใช้ประเมินมูลค่า แบบจำลองทางการเงินที่ซับซ้อนไม่สามารถชดเชยหลักฐานพื้นฐานที่ไม่เพียงพอเกี่ยวกับตัวสินทรัพย์ได้
หากเทคโนโลยีหรือการประเมินมูลค่ามีความซับซ้อน ทีมสอบบัญชีอาจจำเป็นต้องใช้ ผู้เชี่ยวชาญด้านการประเมินมูลค่าหรือเทคโนโลยี เข้ามาช่วย แต่ผู้สอบบัญชียังคงเป็นผู้รับผิดชอบต่อข้อสรุปสุดท้ายและต้องประเมินว่างานของผู้เชี่ยวชาญเหมาะสมและเพียงพอสำหรับวัตถุประสงค์ของการสอบบัญชีหรือไม่
หากเมื่อรายการถูกบันทึกแล้ว ฝ่ายบริหารไม่สามารถสนับสนุนมูลค่าที่รับรู้ได้อย่างเพียงพอ หรือผู้สอบบัญชีไม่สามารถได้หลักฐานที่เหมาะสมอย่างเพียงพอ ผู้สอบบัญชีจึงค่อยพิจารณาผลกระทบต่อรายงานผู้สอบบัญชีตามระดับความมีสาระสำคัญและความแพร่หลายของปัญหา
ดังนั้น บทเรียนจากกรณี CHO จึงไม่ควรถูกสรุปว่า “ผู้สอบบัญชีปล่อยให้บริษัทซื้อซอฟต์แวร์แพงเกือบ 10 เท่า” เพราะผู้สอบบัญชีไม่ได้เป็นผู้อนุมัติราคาซื้อ และ ณ วันสิ้นงวดไตรมาส 2 รายการดังกล่าวยังไม่ได้ถูกบันทึกเป็นสินทรัพย์
คำถามเชิงวิชาชีพที่สำคัญกว่าคือ เมื่อรายการเข้าสู่งบการเงินจริง ฝ่ายบริหารจะสามารถพิสูจน์ได้หรือไม่ว่าบริษัทได้รับทรัพยากรและสิทธิอะไร มูลค่าที่บันทึกถูกกำหนดตามหลักเกณฑ์ใด เหตุใดจึงแตกต่างจากหลักฐานการประเมินอื่นอย่างมาก และผู้สอบบัญชีสามารถหาหลักฐานที่เหมาะสมอย่างเพียงพอมารองรับข้อสรุปนั้นได้หรือไม่
กรณีนี้จึงเป็นตัวอย่างที่ดีของหลักพื้นฐานว่า ราคาที่ตกลงซื้อ มูลค่ายุติธรรม และมูลค่าที่บันทึกทางบัญชีอาจไม่เท่ากัน และยิ่งความแตกต่างสูงมากเท่าใด ระดับของคำอธิบาย หลักฐาน การใช้ผู้เชี่ยวชาญ ความสงสัยเยี่ยงผู้ประกอบวิชาชีพ และการกำกับดูแลจากคณะกรรมการตรวจสอบก็ควรสูงขึ้นตามไปด้วย
