On 14 September 2026, Thailand's Securities and Exchange Commission (SEC) instructed DOD Biotech Public Company Limited (DOD) to cooperate with its auditor and submit revised financial statements for the first and second quarters of 2026. The instruction followed qualified review conclusions arising from insufficient evidence supporting the commercial rationale and recoverability of certain deposits and advance payments for land, raw materials and machinery. The company was required to submit revised financial statements reviewed by its auditor by 14 October 2026.
The case raises a fundamental auditing question: when a company pays suppliers before receiving the related assets or services, what evidence is required to establish that the advance payments remain recoverable assets?
The original concerns included a land purchase deposit representing approximately 70% of the contractual purchase price, even though the land was subject to a mortgage. Other transactions involved full advance payments for raw materials, machinery and certain construction services. The unusual payment arrangements, particularly where they differed from the company's historical purchasing practices, required additional scrutiny.
The first area auditors should examine is the commercial rationale. Why was full payment necessary before delivery? Were the terms consistent with industry practice? Had management assessed alternative suppliers, contractual protection and the counterparty's ability to perform? Advance payments are not inherently inappropriate, but unusual payment terms may indicate increased risks of non-delivery, financial loss, management override or potential misappropriation.
The second area concerns contractual rights and recoverability. A bank transfer confirmation establishes that a payment occurred, but it does not prove that goods will be delivered or that money can be recovered. Auditors should inspect purchase agreements, refund clauses, performance guarantees, delivery schedules and independent supplier confirmations. For mortgaged land, title deeds, encumbrance records, mortgage discharge documentation and conditions for ownership transfer are particularly important.
Under TSRE 2410, interim financial information is subject to a review providing limited assurance rather than a full audit. Nevertheless, when unusual transactions or potential material misstatements come to the auditor's attention, appropriate additional inquiries and review procedures are necessary. If the auditor cannot obtain sufficient appropriate evidence regarding a material matter, a qualified conclusion may be required, depending on the nature and extent of the limitation.
Accounting classification also requires careful consideration. Payments for undelivered raw materials or machinery may remain classified as advances until the applicable recognition criteria for inventories or property, plant and equipment are satisfied. Their recoverability must be assessed according to the substance of the contractual rights. A right to receive goods is not automatically a financial asset subject to expected credit loss requirements under TFRS 9; those requirements may become relevant if the company has an enforceable contractual right to receive cash.
An important subsequent development occurred on 14 October 2026. DOD disclosed that it had received additional raw materials and machinery, recovered THB 5 million following changes to machinery specifications and obtained documentation confirming the release of the land mortgage. Nevertheless, deposits and advances relating to undelivered assets remained at THB 67 million, reduced from THB 76 million previously highlighted. The auditor therefore retained qualified review conclusions for the first and second quarters. The company confirmed that the latest revisions concerned wording and disclosures, without changing the financial statement amounts.
These developments demonstrate why subsequent deliveries and refunds are important evidence but do not automatically resolve all accounting uncertainties. Auditors must distinguish conditions existing at the reporting date from events arising subsequently, consider the implications under TAS 10 and evaluate whether remaining advances are appropriately measured and disclosed.
For example, consider a hypothetical manufacturer that pays THB 30 million in full for specialised machinery scheduled for delivery within three months. After six months, the equipment has not arrived and the supplier repeatedly postpones delivery. The auditor should evaluate the supplier's production progress, contractual obligations, financial capacity, independent confirmations and actual subsequent deliveries or refunds. If recovery is doubtful, management must assess whether a loss or other accounting adjustment is required. An unsupported expectation that delivery will eventually occur is not sufficient evidence.
For CFOs and audit committees, the broader lesson concerns preventive controls. Significant advance payments should require documented commercial justification, supplier due diligence, appropriate approval, contractual safeguards and systematic monitoring of overdue deliveries. Exception reports should identify advances outstanding beyond contractual deadlines, repeated changes to purchase orders and suppliers with limited delivery histories.
Conclusion
The DOD case illustrates that payment evidence and signed contracts do not necessarily establish the recoverability of advances. Even after partial deliveries or refunds, unresolved amounts require reliable evidence supporting the company's rights and the likelihood of receiving the promised assets or funds.
The auditor's central question should not merely be whether the company paid the money, but whether the company has an enforceable and economically recoverable right arising from that payment. Without credible evidence of delivery or recovery, an advance payment may represent a financial reporting risk rather than an asset that can automatically be recognised at its full amount.
