On 10 January 2025, the Thai Securities and Exchange Commission instructed Eternal Energy Public Company Limited (EE) to amend its audited 2023 annual financial statements and its reviewed financial statements for the third quarter of 2024. The SEC had raised concerns about the reasonableness and appropriateness of assumptions used to calculate the recoverable amounts of assets connected with Cannabis Way Co., Ltd. and CBD Bioscience Co., Ltd. The issues affected both EE’s consolidated and separate financial statements. InfoQuest report, 10 January 2025


The SEC required EE to reconsider four connected areas: the cash-flow assumptions supporting the impairment assessments of goodwill and investments in subsidiaries; impairment of other operating assets such as land, buildings and equipment; the adequacy of inventory write-downs; and the inputs used to measure the fair value of biological assets.


The initial deadline for the amended financial statements was 10 February 2025. A subsequent report stated that EE appointed an independent financial adviser, or IFA, to review and improve the forecast assumptions. The SEC later extended the deadline to 28 February 2025 for the amended 2023 financial statements and 10 March 2025 for the amended third-quarter 2024 statements, partly because the auditor needed time to examine the revised information and perform the necessary audit and review procedures. The official wording matters. The SEC raised concerns about the assumptions and required the financial statements to be revised. It did not publish its own valuation or announce that every assumption used by management was false. This makes the case particularly useful for answering a wider question: when management, an adviser, an auditor and a regulator have different views, who actually decides whether an impairment model is reasonable?


1. Management makes the estimate, but its discretion is not unlimited


Management is responsible for preparing the financial statements and selecting the accounting estimate ultimately recorded. This includes identifying cash-generating units, preparing forecasts, choosing significant assumptions and determining whether an impairment loss should be recognised. The board and audit committee oversee that process and must challenge whether management’s conclusions are properly supported.


An IFA or valuation specialist can help prepare or review the model. The auditor independently evaluates the resulting estimate and disclosures. The regulator monitors compliance with financial-reporting requirements and may require correction when it identifies a material concern.


Accordingly, the auditor does not become the owner of management’s forecast, and the regulator does not become the company’s valuer. Nevertheless, management cannot defend an estimate merely by saying that it represents management’s own commercial judgment. Once the forecast is used in financial reporting, every material assumption must satisfy the accounting framework and be supported by appropriate evidence.
The recorded amount is therefore not decided by a majority vote among management, the IFA, the auditor and the regulator. Management records the estimate, but the reporting framework and the available evidence determine whether that estimate is supportable.


2. A business plan is not automatically an acceptable value-in-use model


Under IAS 36 and TAS 36, an asset is impaired when its carrying amount exceeds its recoverable amount. Recoverable amount is the higher of value in use and fair value less costs of disposal. Goodwill must be tested annually and whenever indicators of impairment arise. IAS 36 — Impairment of Assets


A board-approved business plan is relevant, but approval alone does not convert ambitious targets into reasonable and supportable assumptions. Value in use must reflect the cash flows expected from the asset or cash-generating unit in its current condition. It should not depend on an uncommitted restructuring, an unsupported expansion or future enhancements that have not yet been implemented.


Forecasts should be based on the most recent approved budgets, with greater weight given to external evidence. Forecast periods beyond five years generally require extrapolation using a steady or declining growth rate unless a longer period or higher rate can be justified.


This distinction is critical. A business plan may properly include stretch targets intended to motivate management. An impairment model has a different purpose: it determines how much of an asset’s carrying amount is recoverable at the reporting date. The assumptions may therefore need to be more disciplined than the company’s aspirational plan.


3. A mathematically correct DCF can still produce an unreliable value


A discounted cash-flow model can be perfectly constructed and still give a misleading result. Recalculating formulas proves only that the spreadsheet performs the intended arithmetic. It does not establish that the forecast describes an economically achievable future.


For a cannabis-related business, relevant assumptions may include selling prices, sales volume, crop yield, cultivation cycles, usable production capacity, extraction recovery rates, product losses, customer demand, distribution channels, regulatory conditions, gross margins, operating costs, capital expenditure, working capital, terminal growth and the discount rate. These factors interact. A small degree of optimism in several assumptions can create substantial apparent headroom.


The auditor should therefore examine the model as an integrated economic story. A high sales forecast should be consistent with production capacity and credible routes to market. Margin assumptions should reconcile with cultivation, extraction, testing, storage and distribution costs. Growth should be supported by funding and working capital. The discount rate should reflect risks that have not already been incorporated into the cash flows.


Sensitivity analysis is essential, but it is not a cure for an unrealistic base case. Showing that the model has also calculated a downside scenario does not make the central forecast reasonable if the central forecast itself lacks support.


4. Management intention must be converted into verifiable evidence


Statements such as “the market will recover,” “new customers are under negotiation” or “capacity will be fully utilised” describe management’s expectations. They become useful audit evidence only when they can be connected to observable facts.


The audit should compare previous forecasts with actual results and investigate significant shortfalls. It should examine signed contracts, purchase orders, production records, selling prices, inventory ageing, external market data, operating licences, funding arrangements, approved capital expenditure and the company’s demonstrated ability to execute its plans.


A history of missed forecasts does not automatically prove that the current estimate is wrong. It does, however, reduce the reliability of unsupported management projections and increases the evidence needed to justify another sharp improvement.


TSA 540 requires the auditor to evaluate the method, significant assumptions and data used in an accounting estimate, consider estimation uncertainty, and remain alert to possible management bias. Assumptions should also be internally consistent and consistent with information used elsewhere in the business and financial statements. This means that contradictory evidence cannot simply be placed outside the impairment file. If actual sales, inventory movement, production utilisation or market prices contradict the forecast, the model must respond to that information.


5. The cash-generating unit can determine the impairment result


Even a reasonable forecast may produce the wrong accounting conclusion if goodwill is tested at the wrong level.
Goodwill does not generate cash flows independently. It must be allocated to the cash-generating unit, or group of units, that receives the benefits expected from the acquisition and is monitored for internal management purposes. The unit cannot be defined so broadly that cash flows from unrelated profitable operations shield a weaker acquired business from impairment.
The auditor should understand how management monitors the cannabis-related operations, how budgets and performance reports are structured, and whether the cash inflows of the selected unit are sufficiently independent. The carrying amount included in the test must also be consistent with the assets and liabilities reflected in the recoverable-amount calculation.


The distinction between consolidated and separate financial statements is equally important. At group level, the assessment may involve goodwill and the underlying land, buildings, equipment and other operating assets. In the parent company’s separate financial statements, the relevant asset may be the investment in the subsidiaries. The accounting units differ, but forecasts based on the same underlying business should tell a coherent economic story.


6. The SEC’s four requirements involve different measurement models


The SEC’s observations extended beyond goodwill. That is significant because the same business can generate several accounting estimates governed by different standards.


Goodwill, investments and operating assets may require impairment assessments based on recoverable amount. Inventory is generally measured at the lower of cost and net realisable value under TAS 2. Biological assets within the scope of TAS 41 are generally measured at fair value less costs to sell. TAS 2 — Inventories TAS 41 — Agriculture


These are separate calculations, but their underlying information should be consistent. Expected selling prices used to support cash flows should be reconcilable with prices used in inventory and biological-asset measurements. Expected production volumes should be compatible with biological assets, cultivation capacity and inventory movement. Forecast demand should be considered alongside inventory ageing and subsequent sales.
If each model uses the most favourable assumption available without explaining the differences, the financial statements may present an economic picture that no single operating plan could achieve.


The audit response should therefore include a cross-model reconciliation, rather than reviewing each spreadsheet in isolation.


7. An IFA can improve the model but cannot certify recoverability


An IFA can contribute industry knowledge, valuation techniques, market benchmarks, scenario analysis and an independent challenge to management’s assumptions. In a complex or emerging industry, that work may materially improve the quality of the estimate.


However, appointing an IFA does not transfer management’s responsibility for the financial statements. Nor does it require the auditor to accept the adviser’s conclusion.


When management uses an adviser’s work to support an accounting estimate, the auditor should evaluate the adviser’s competence, capabilities and objectivity, understand the scope and nature of the work, and determine whether the work is appropriate as audit evidence. TSA 500 — Audit Evidence


The auditor may also use an auditor’s valuation expert where specialised knowledge is needed. Even then, responsibility for the audit opinion remains with the auditor. TSA 620 — Using the Work of an Auditor’s Expert


The relevant question is therefore not whether the model carries an IFA’s name. It is whether the model’s method, assumptions, data and conclusion withstand independent examination.


8. The auditor evaluates reasonableness; the regulator can require correction


Accounting estimates rarely have one indisputably correct answer. The auditor may develop an independent point estimate or a reasonable range and compare management’s estimate with it. Management’s estimate does not need to equal the auditor’s preferred number, but it must fall within a supportable outcome and be accompanied by adequate disclosures.


If the auditor concludes that management’s estimate is materially misstated, the auditor proposes an adjustment and communicates the issue to management and those charged with governance. The auditor cannot personally post the accounting entry or operate the company’s model. If management refuses to correct a material misstatement, the auditor must consider the consequences for the audit opinion. If sufficient appropriate evidence cannot be obtained, that limitation must also be considered in the auditor’s report.


A regulator performs another layer of review. It may question whether published financial statements comply with the reporting framework and may require revised filings. A previously issued audit report does not make an accounting estimate immune from regulatory examination. Equally, regulatory intervention does not mean that the regulator has taken over management’s or the auditor’s role.


The roles are different but connected: management prepares the estimate, governance oversees it, advisers provide expertise, the auditor independently evaluates it, and the regulator enforces public-reporting requirements.


Conclusion: A model can calculate value, but it cannot create recoverability


The central issue in EE’s case is broader than whether one growth rate or discount rate should be adjusted. The SEC’s observations covered the entire relationship between forecasts and the recorded values of goodwill, investments, operating assets, inventory and biological assets.


A credible impairment assessment must begin with the business as it actually existed at the reporting date. It must connect forecasts with operating performance, market evidence, regulatory conditions, available funding and execution capacity. It must also use consistent assumptions across every related accounting estimate.


Practical lesson: 

Management owns the forecast, but it does not have the final word on whether the forecast is acceptable for financial reporting. An adviser can strengthen the analysis, an auditor evaluates whether the estimate is reasonable, and a regulator can require correction. Ultimately, the reporting framework and the evidence decide.

เมื่อวันที่ 10 มกราคม 2568 สำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์แจ้งให้บริษัท อีเทอเนิล เอนเนอยี จำกัด (มหาชน) หรือ EE แก้ไขงบการเงินประจำปี 2566 ซึ่งผ่านการตรวจสอบ และงบการเงินไตรมาส 3 ปี 2567 ซึ่งผ่านการสอบทาน หลัง ก.ล.ต. มีข้อสังเกตเกี่ยวกับความสมเหตุสมผลและความเหมาะสมของสมมติฐานที่ใช้คำนวณมูลค่าที่คาดว่าจะได้รับคืนของสินทรัพย์ที่เกี่ยวข้องกับบริษัท แคนนาบิซ เวย์ จำกัด และบริษัท ซีบีดี ไบโอไซเอนซ์ จำกัด โดยประเด็นดังกล่าวส่งผลต่อทั้งงบการเงินรวมและงบการเงินเฉพาะกิจการของ EE ข่าว ก.ล.ต. วันที่ 10 มกราคม 2568

ถ้อยคำของ ก.ล.ต. มีความสำคัญ ก.ล.ต. ตั้งข้อสังเกตต่อสมมติฐานและให้บริษัทแก้ไขงบการเงิน แต่ไม่ได้ประกาศมูลค่าที่ถูกต้องขึ้นมาแทนบริษัท และไม่ได้ระบุว่าสมมติฐานทุกข้อของฝ่ายบริหารเป็นเท็จ กรณีนี้จึงนำไปสู่คำถามที่น่าสนใจยิ่งกว่าเรื่องตัวเลขว่า เมื่อฝ่ายบริหาร ที่ปรึกษา ผู้สอบบัญชี และหน่วยงานกำกับมีมุมมองต่างกัน ใครเป็นผู้ตัดสินว่าแบบจำลองการด้อยค่าสมเหตุสมผล?


1. ฝ่ายบริหารเป็นผู้จัดทำประมาณการ แต่ไม่ได้มีดุลยพินิจโดยไม่มีขอบเขต

มาตรฐานการบัญชี ฉบับที่ 36 กำหนดให้สินทรัพย์เกิดการด้อยค่าเมื่อมูลค่าตามบัญชีสูงกว่ามูลค่าที่คาดว่าจะได้รับคืน ซึ่งเป็นจำนวนที่สูงกว่าระหว่างมูลค่าจากการใช้กับมูลค่ายุติธรรมหักต้นทุนในการจำหน่าย ค่าความนิยมต้องได้รับการทดสอบอย่างน้อยปีละครั้งและเมื่อมีข้อบ่งชี้การด้อยค่า มาตรฐานการบัญชี ฉบับที่ 36 — การด้อยค่าของสินทรัพย์

ประมาณการควรตั้งอยู่บนงบประมาณล่าสุดที่ได้รับอนุมัติและให้น้ำหนักกับหลักฐานภายนอก ระยะเวลาประมาณการที่ยาวเกินห้าปีโดยทั่วไปควรใช้การคาดการณ์ต่อเนื่องด้วยอัตราการเติบโตที่คงที่หรือลดลง เว้นแต่บริษัทจะอธิบายได้ว่าเหตุใดระยะเวลาหรืออัตราที่สูงกว่านั้นจึงเหมาะสม


ความแตกต่างนี้มีความสำคัญ แผนธุรกิจอาจกำหนดเป้าหมายเชิงท้าทายเพื่อกระตุ้นการดำเนินงานได้ แต่แบบจำลองการด้อยค่ามีวัตถุประสงค์เพื่อวัดว่าสินทรัพย์จะสร้างประโยชน์กลับคืนมาได้เท่าใด ณ วันรายงาน สมมติฐานเพื่อการบัญชีจึงอาจต้องระมัดระวังมากกว่าเป้าหมายเชิงยุทธศาสตร์ของบริษัท


3. แบบจำลองกระแสเงินสดที่คำนวณถูกต้องอาจยังให้มูลค่าที่ไม่น่าเชื่อถือ


แบบจำลองกระแสเงินสดคิดลดอาจมีสูตรถูกต้องทุกช่องแต่ยังให้ผลลัพธ์ที่ทำให้เข้าใจผิดได้ การคำนวณซ้ำช่วยยืนยันว่าโปรแกรมทำงานตามสูตร แต่ไม่ได้พิสูจน์ว่าอนาคตตามประมาณการสามารถเกิดขึ้นได้จริงในทางเศรษฐกิจ


สำหรับธุรกิจที่เกี่ยวข้องกับกัญชา สมมติฐานที่อาจมีความสำคัญ ได้แก่ ราคาขาย ปริมาณขาย ผลผลิตต่อรอบ จำนวนรอบการเพาะปลูก กำลังการผลิตที่ใช้ได้จริง อัตราผลผลิตจากกระบวนการสกัด การสูญเสียของสินค้า ความต้องการของลูกค้า ช่องทางจำหน่าย เงื่อนไขด้านกฎระเบียบ อัตรากำไร ต้นทุนดำเนินงาน รายจ่ายลงทุน เงินทุนหมุนเวียน อัตราการเติบโตระยะยาว และอัตราคิดลด สมมติฐานเหล่านี้ส่งผลต่อกัน ความมองโลกในแง่ดีเพียงเล็กน้อยในหลายตัวแปรอาจสร้างส่วนเกินของมูลค่าที่ดูสูงอย่างมีนัยสำคัญได้


ผู้สอบบัญชีจึงต้องพิจารณาแบบจำลองในฐานะเรื่องราวทางเศรษฐกิจทั้งชุด ยอดขายที่สูงต้องสัมพันธ์กับกำลังการผลิตและช่องทางเข้าสู่ตลาดที่น่าเชื่อถือ อัตรากำไรต้องสอดคล้องกับต้นทุนเพาะปลูก สกัด ตรวจสอบคุณภาพ จัดเก็บ และจำหน่าย การเติบโตต้องมีเงินทุนและเงินทุนหมุนเวียนรองรับ ส่วนอัตราคิดลดต้องสะท้อนความเสี่ยงที่ยังไม่ได้รวมอยู่ในกระแสเงินสด


การวิเคราะห์ความอ่อนไหวมีความจำเป็น แต่ไม่สามารถแก้แบบจำลองที่ตั้งกรณีฐานไว้สูงเกินจริงได้ การแสดงกรณีเลวร้ายเพิ่มเติมไม่ได้ทำให้กรณีฐานสมเหตุสมผล หากกรณีฐานนั้นไม่มีหลักฐานรองรับตั้งแต่ต้น


4. ความตั้งใจของฝ่ายบริหารต้องเปลี่ยนเป็นหลักฐานที่ตรวจสอบได้


ข้อความว่า “ตลาดจะฟื้นตัว” “กำลังเจรจากับลูกค้ารายใหม่” หรือ “จะใช้กำลังการผลิตได้เต็มที่” เป็นการอธิบายความคาดหวังของฝ่ายบริหาร ข้อความเหล่านี้จะมีคุณค่าเป็นหลักฐานได้ต่อเมื่อเชื่อมโยงกับข้อเท็จจริงที่ตรวจสอบได้
ผู้สอบบัญชีควรเปรียบเทียบประมาณการในอดีตกับผลที่เกิดขึ้นจริงและตรวจสอบสาเหตุของความคลาดเคลื่อนที่สำคัญ รวมถึงตรวจสัญญา คำสั่งซื้อ ข้อมูลการผลิต ราคาขาย อายุสินค้าคงเหลือ ข้อมูลตลาดภายนอก สถานะใบอนุญาต แหล่งเงินทุน งบลงทุนที่ได้รับอนุมัติ และความสามารถของบริษัทในการดำเนินแผนให้สำเร็จ


การที่ประมาณการในอดีตไม่เป็นไปตามแผนไม่ได้พิสูจน์โดยอัตโนมัติว่าประมาณการปัจจุบันผิด แต่ทำให้ประมาณการที่ยังไม่มีหลักฐานรองรับมีความน่าเชื่อถือน้อยลง และทำให้ฝ่ายบริหารต้องมีหลักฐานหนักแน่นขึ้นหากคาดว่าผลประกอบการจะฟื้นตัวอย่างรวดเร็วอีกครั้ง


มาตรฐานการสอบบัญชี รหัส 540 กำหนดให้ผู้สอบบัญชีประเมินวิธีการ สมมติฐานที่มีนัยสำคัญ และข้อมูลที่ใช้จัดทำประมาณการ พิจารณาความไม่แน่นอนในการประมาณการ และระมัดระวังความลำเอียงของผู้บริหาร สมมติฐานต้องสอดคล้องกันเอง รวมทั้งสอดคล้องกับข้อมูลที่ใช้ในส่วนอื่นของธุรกิจและงบการเงิน มาตรฐานการสอบบัญชี รหัส 540 (ปรับปรุง)


หลักฐานที่ขัดแย้งกับประมาณการจึงไม่ควรถูกแยกออกจากแฟ้มทดสอบการด้อยค่า หากยอดขายจริง การเคลื่อนไหวของสินค้าคงเหลือ การใช้กำลังการผลิต หรือราคาตลาดไม่สอดคล้องกับประมาณการ แบบจำลองต้องสะท้อนข้อมูลเหล่านั้นอย่างเหมาะสม


5. การกำหนดหน่วยสินทรัพย์ที่ก่อให้เกิดเงินสดอาจเปลี่ยนผลการทดสอบทั้งหมด


แม้ประมาณการกระแสเงินสดจะสมเหตุสมผล ข้อสรุปทางบัญชีก็อาจผิดได้หากนำค่าความนิยมไปทดสอบในระดับที่ไม่เหมาะสม
ค่าความนิยมไม่สามารถสร้างกระแสเงินสดได้อย่างเป็นอิสระ จึงต้องปันส่วนไปยังหน่วยสินทรัพย์หรือกลุ่มหน่วยสินทรัพย์ที่ได้รับประโยชน์จากการซื้อกิจการและเป็นระดับที่ฝ่ายบริหารใช้ติดตามผลการดำเนินงาน หน่วยที่ใช้ทดสอบต้องไม่กว้างจนกระแสเงินสดจากธุรกิจอื่นที่มีกำไรเข้ามาชดเชยหรือปกปิดการด้อยค่าของธุรกิจที่ซื้อมา


ผู้สอบบัญชีควรทำความเข้าใจว่าฝ่ายบริหารติดตามธุรกิจที่เกี่ยวข้องกับกัญชาอย่างไร งบประมาณและรายงานผลการดำเนินงานจัดทำในระดับใด และกระแสเงินสดรับของหน่วยที่เลือกมีความเป็นอิสระเพียงพอหรือไม่ มูลค่าตามบัญชีที่นำมาเปรียบเทียบต้องสอดคล้องกับสินทรัพย์และหนี้สินที่รวมอยู่ในการคำนวณมูลค่าที่คาดว่าจะได้รับคืนด้วย


ความแตกต่างระหว่างงบการเงินรวมกับงบการเงินเฉพาะกิจการก็สำคัญเช่นกัน ในงบการเงินรวม การทดสอบอาจครอบคลุมค่าความนิยมและสินทรัพย์ที่ใช้ดำเนินงาน เช่น ที่ดิน อาคาร และอุปกรณ์ ส่วนในงบการเงินเฉพาะกิจการ สินทรัพย์ที่ต้องพิจารณาอาจเป็นเงินลงทุนในบริษัทย่อย แม้หน่วยบัญชีจะแตกต่างกัน แต่ประมาณการที่ตั้งอยู่บนธุรกิจเดียวกันควรสะท้อนภาพทางเศรษฐกิจที่สอดคล้องกัน


6. ข้อสังเกตสี่ด้านของ ก.ล.ต. เป็นปัญหาการวัดมูลค่าคนละประเภท


ข้อสังเกตของ ก.ล.ต. ไม่ได้จำกัดอยู่เฉพาะค่าความนิยม ประเด็นนี้สำคัญเพราะธุรกิจเดียวกันอาจก่อให้เกิดประมาณการทางบัญชีหลายรายการซึ่งอยู่ภายใต้มาตรฐานที่แตกต่างกัน


ค่าความนิยม เงินลงทุน และสินทรัพย์ดำเนินงานอาจต้องประเมินการด้อยค่าจากมูลค่าที่คาดว่าจะได้รับคืน สินค้าคงเหลือโดยทั่วไปต้องแสดงด้วยราคาทุนหรือมูลค่าสุทธิที่จะได้รับแล้วแต่มูลค่าใดต่ำกว่า ขณะที่สินทรัพย์ชีวภาพภายใต้ขอบเขตของมาตรฐานการบัญชี ฉบับที่ 41 โดยทั่วไปวัดด้วยมูลค่ายุติธรรมหักต้นทุนในการขาย มาตรฐานการบัญชี ฉบับที่ 2 — สินค้าคงเหลือ มาตรฐานการบัญชี ฉบับที่ 41 — เกษตรกรรม


การคำนวณเหล่านี้แยกจากกัน แต่ข้อมูลพื้นฐานต้องสอดคล้องกัน ราคาขายที่ใช้สนับสนุนกระแสเงินสดควรกระทบยอดกับราคาที่ใช้ประเมินสินค้าคงเหลือและสินทรัพย์ชีวภาพ ปริมาณผลิตต้องสอดคล้องกับจำนวนสินทรัพย์ชีวภาพ กำลังการเพาะปลูก และการเคลื่อนไหวของสินค้าคงเหลือ ส่วนความต้องการของตลาดตามประมาณการควรพิจารณาร่วมกับอายุสินค้าและยอดขายที่เกิดขึ้นภายหลัง
หากแต่ละแบบจำลองเลือกใช้สมมติฐานที่ให้ผลดีที่สุดแก่รายการนั้นโดยไม่อธิบายความแตกต่าง งบการเงินอาจแสดงภาพทางเศรษฐกิจที่ไม่สามารถเกิดขึ้นพร้อมกันได้ภายใต้แผนดำเนินงานชุดเดียว


วิธีตรวจสอบที่เหมาะสมจึงควรรวมถึงการกระทบยอดสมมติฐานระหว่างแบบจำลอง ไม่ใช่ตรวจแต่ละตารางคำนวณแยกจากกัน


7. ที่ปรึกษาทางการเงินอิสระช่วยปรับปรุงแบบจำลองได้ แต่ไม่สามารถรับรองว่ามูลค่าจะได้รับคืนแน่นอน


ที่ปรึกษาทางการเงินอิสระสามารถสนับสนุนความรู้เฉพาะอุตสาหกรรม เทคนิคการประเมินมูลค่า ข้อมูลเปรียบเทียบตลาด การวิเคราะห์สถานการณ์ และการท้าทายสมมติฐานของฝ่ายบริหารได้ ในธุรกิจที่มีความไม่แน่นอนสูง ผลงานดังกล่าวอาจช่วยเพิ่มคุณภาพของประมาณการอย่างมีนัยสำคัญ


อย่างไรก็ตาม การแต่งตั้งที่ปรึกษาไม่ได้โอนความรับผิดชอบต่องบการเงินออกจากฝ่ายบริหาร และไม่ได้ทำให้ผู้สอบบัญชีต้องยอมรับข้อสรุปของที่ปรึกษา
หากฝ่ายบริหารใช้ผลงานของที่ปรึกษาเพื่อสนับสนุนประมาณการทางบัญชี ผู้สอบบัญชีต้องประเมินความรู้ความสามารถ ขีดความสามารถ และความเที่ยงธรรมของที่ปรึกษา ทำความเข้าใจขอบเขตและลักษณะงาน รวมทั้งพิจารณาว่าผลงานนั้นเหมาะสมที่จะใช้เป็นหลักฐานการสอบบัญชีหรือไม่ มาตรฐานการสอบบัญชี รหัส 500 — หลักฐานการสอบบัญชี


ผู้สอบบัญชีอาจใช้ผู้เชี่ยวชาญด้านการประเมินมูลค่าของตนเองหากเรื่องดังกล่าวต้องใช้ความรู้เฉพาะทาง แต่ความรับผิดชอบต่อความเห็นในรายงานของผู้สอบบัญชียังคงอยู่กับผู้สอบบัญชี มาตรฐานการสอบบัญชี รหัส 620 — การใช้ผลงานของผู้เชี่ยวชาญของผู้สอบบัญชี


คำถามที่ถูกต้องจึงไม่ใช่ว่าแบบจำลองมีชื่อของที่ปรึกษาทางการเงินอิสระอยู่หรือไม่ แต่คือวิธีการ สมมติฐาน ข้อมูล และข้อสรุปของแบบจำลองนั้นสามารถผ่านการตรวจสอบอย่างเป็นอิสระได้หรือไม่


8. ผู้สอบบัญชีประเมินความสมเหตุสมผล ส่วน ก.ล.ต. มีอำนาจให้แก้ไข


ประมาณการทางบัญชีจำนวนมากไม่มีคำตอบที่ถูกต้องเพียงจำนวนเดียว ผู้สอบบัญชีอาจจัดทำค่าประมาณหรือช่วงค่าที่สมเหตุสมผลของตนเองแล้วนำมาเปรียบเทียบกับจำนวนเงินของฝ่ายบริหาร จำนวนเงินของฝ่ายบริหารไม่จำเป็นต้องเท่ากับตัวเลขที่ผู้สอบบัญชีเห็นว่าเหมาะที่สุด แต่ต้องอยู่ภายในผลลัพธ์ที่มีหลักฐานรองรับและมีการเปิดเผยข้อมูลเพียงพอ


หากผู้สอบบัญชีเห็นว่าประมาณการของฝ่ายบริหารทำให้งบการเงินแสดงข้อมูลขัดต่อข้อเท็จจริงอย่างมีสาระสำคัญ ผู้สอบบัญชีจะเสนอรายการปรับปรุงและสื่อสารกับฝ่ายบริหารและผู้มีหน้าที่กำกับดูแล ผู้สอบบัญชีไม่มีอำนาจลงรายการบัญชีแทนบริษัท หากฝ่ายบริหารไม่แก้ไขข้อผิดพลาดที่มีสาระสำคัญ ผู้สอบบัญชีต้องพิจารณาผลกระทบต่อความเห็นในรายงาน และหากไม่สามารถได้หลักฐานการสอบบัญชีที่เหมาะสมอย่างเพียงพอ ก็ต้องพิจารณาผลจากข้อจำกัดนั้นเช่นกัน


ก.ล.ต. ทำหน้าที่ตรวจสอบอีกชั้นหนึ่ง โดยอาจตั้งคำถามว่างบการเงินที่เผยแพร่ปฏิบัติตามกรอบการรายงานทางการเงินหรือไม่ และมีอำนาจให้บริษัทนำส่งงบการเงินฉบับแก้ไข การที่งบการเงินเคยผ่านการตรวจสอบแล้วไม่ได้ทำให้ประมาณการทางบัญชีนั้นพ้นจากการตรวจสอบของหน่วยงานกำกับ ขณะเดียวกัน การเข้ามาดำเนินการของ ก.ล.ต. ก็ไม่ได้หมายความว่า ก.ล.ต. เข้ามาทำหน้าที่แทนฝ่ายบริหารหรือผู้สอบบัญชี


แต่ละฝ่ายจึงมีหน้าที่ต่างกันแต่เชื่อมโยงกัน ฝ่ายบริหารจัดทำประมาณการ ผู้มีหน้าที่กำกับดูแลท้าทายและกำกับกระบวนการ ที่ปรึกษาให้ความรู้เฉพาะทาง ผู้สอบบัญชีประเมินอย่างเป็นอิสระ และ ก.ล.ต. กำกับให้การรายงานต่อสาธารณะเป็นไปตามข้อกำหนด


บทสรุป: แบบจำลองคำนวณมูลค่าได้ แต่สร้างความสามารถในการได้รับคืนขึ้นมาไม่ได้


ประเด็นสำคัญของกรณี EE กว้างกว่าการพิจารณาว่าควรเปลี่ยนอัตราการเติบโตหรืออัตราคิดลดเพียงตัวใดตัวหนึ่ง ข้อสังเกตของ ก.ล.ต. ครอบคลุมความสัมพันธ์ทั้งหมดระหว่างประมาณการทางธุรกิจกับมูลค่าที่บันทึกของค่าความนิยม เงินลงทุน สินทรัพย์ดำเนินงาน สินค้าคงเหลือ และสินทรัพย์ชีวภาพ


การทดสอบการด้อยค่าที่น่าเชื่อถือต้องเริ่มจากสภาพของธุรกิจที่เกิดขึ้นจริง ณ วันรายงาน เชื่อมโยงประมาณการกับผลการดำเนินงาน ข้อมูลตลาด เงื่อนไขด้านกฎระเบียบ แหล่งเงินทุน และความสามารถในการดำเนินแผน พร้อมทั้งใช้สมมติฐานที่สอดคล้องกันในประมาณการทางบัญชีทุกส่วนที่เกี่ยวข้อง

ฝ่ายบริหารเป็นเจ้าของประมาณการ แต่ไม่ได้มีคำตัดสินสุดท้ายว่าประมาณการนั้นยอมรับได้สำหรับการรายงานทางการเงินหรือไม่ ที่ปรึกษาช่วยยกระดับการวิเคราะห์ ผู้สอบบัญชีประเมินความสมเหตุสมผล และหน่วยงานกำกับมีอำนาจให้แก้ไข ท้ายที่สุด มาตรฐานและหลักฐานเป็นสิ่งตัดสิน
